THIS INDENTURE made and entered into this Kday of / 2016, between
Georgia Vitrified Brick&Clay Co., a Georgia Limited Partnership, herein fter referrer to as
OWNER, and Augusta, Georgia, a political subdivision under the laws of Georgia, hereinafter
referred to as AUGUSTA;
WITNESSETH, that OWNER, for and in consideration of the sum of ONE DOLLAR
($1.00) in hand and truly paid by AUGUSTA at and before the sealing and delivery of these
presents, and other valuable consideration, the receipt whereof is hereby acknowledged, has
granted, bargained, sold,conveyed and confirmed, and by these presents does grant, bargain,
sell, convey and confirm unto AUGUSTA, its successors and assigns, an exclusive utility,
access and maintenance easement in perpetuity under, across and through the hereinafter
described parcel of land.
Said easement consists of 1.355 acres, more or less, of permanent utility, maintenance
and access easement,as shown on a two page plat prepared by Jachens Land Surveying, Inc.,
dated March 16,2016,revised April 22,2016,and attached hereto and made a part hereof,and
to which reference is made for a more accurate and complete description of the metes, t:ounds
and courses, and being for the purpose of accessing, laying, adding, expanding, reaying,
installing, extending, operating, repairing and maintaining pipelines transporting and carrying
AUGUSTA's utility services.

OWNER does also grant unto AUGUSTA a temporary easement consisting of 1.415
acres, more or less, of Temporary Construction Easement, as shown on said plat. Said
temporary construction easement is granted together with the right to dig such trenches ''1 said
parcel of land as may be necessary for this pipeline,to pile thereon the material excavated, and
to haul pipe,supplies and equipment connected with the construction and maintenance tiereof,
over, along and across the said parcel of land. Said temporary construction easement: shall
expire at the completion and final acceptance of this pipeline by AUGUSTA.
OWNER does also grant, bargain, sell and convey unto Augusta, its successors and
assigns,the right, but not the duty,to clear and to keep clear, all trees, undergrowth and other
obstructions from said permanent easement, along with the free right of ingress and egress to
and from said permanent easement for this purpose and all other purposes stated herein.
OWNER further grants unto AUGUSTA the right to stretch communication lines,or other
lines, within the easements, for the use of AUGUSTA, its successors, assigns, legal
representatives, agents, and designees, upon or under said land, within said easement;;, with
the necessary cables, wires, apparatus, fixtures and appliances; and with the right to .assign
said easements in whole or in part.
OWNER, its successors and assigns, after the completion of this Project, shall ha we the
right to use said parcel of land in any manner not inconsistent or interfering with the rights
herein granted to AUGUSTA, including the right to overlay the easement with a roadway,
however the roadway plans must be submitted to and approved by AUGUSTA/AUD prior to
being constructed. OWNER agrees that its heirs, legal representatives, successors and
assigns, shall repair, pave, or replace any private parking lot, road or street, or any portion
thereof, or any landscaping, through which AUGUSTA may have to excavate or perform other
work in connection with repairs,or maintenance of its sanitary sewerage system and further that
it relieves AUGUSTA of any and all responsibility and liability for and to the private roadway
system,so long as roadway system remains private.
OWNER, its successors and assigns agree to defend, indemnify and hold harmless
AUGUSTA against any and all claims,demands,and causes of action,including, but not limited
to claims for contribution and indemnity, based upon allegations of negligence, strict liability or
any other allegation of fault by AUGUSTA that are asserted by any person or entity based upon,
relating to or arising out of the construction and use of the private roadway system, as long as
roadway system remains private.
OWNER, its successors and assigns further agree that its right of use of said pem•ianent
easement,other than what has been stated heretofore,particularly excludes: 1.the right to plant
thereon any trees or other vegetation that may interfere with the accessing, expanding, adding,
laying, relaying, installing, extending, operating, repairing and maintaining of pil:elines
transporting and carrying utility services; and 2.the right to erect, construct or maintain thereon
any buildings, structures, or other permanent improvements, within the boundaries c:f said
permanent easement. OWNER, its successors and assigns also agrees should any damage
occur to any portion of AUGUSTA's sanitary sewer system during the construction :rr any

repairs to the private roadway system, regardless of whether caused by OWNER, its
successors, assigns, contractors, subcontractors, agents, and/or representatives, OWNER
hereby will be responsible for all costs incurred for repair of all portions of AUGUSTA's sanitary
sewer system and/or pipelines; said repairs shall be responsible and performed to the
satisfaction of AUGUSTA,as long as the roadway system remains private.
TO HAVE AND'TO HOLD the aforesaid rights, ways, easements, privileges and
appurtenances unto AUGUSTA,its successors and assigns,in perpetuity.
And OWNER, its successors and assigns shall and will forever warrant and defend unto
AUGUSTA, its successors and assigns, the rights, ways, easements privileges. and
appurtenances conveyed herein,against the claim of any person or persons whomsoever.
