Cooper, Esq. 535 Telfair Street,Building 3000 Augusta, GA 30901-2386 AUGUSTA, GEORGIA EASEMENT PARCEL IDENTIFICATION NUMBER: 234-0-008-00-0 ADDRESS: 4315 Mike Padgett Hwy PARCEL IDENTIFICATION NUMBER: 216-0-001-03-0 ADDRESS: 4231 Mike Padgett Hwy THIS EASEMENT is made and entered into this/744 day of 41,° / 2018, by and between Graphic Packaging International, LLC, a Delaware Limited Liability Company, hereinafter referred to as GPI, and Augusta, Georgia, a political subdivision under the laws of Georgia, hereinafter referred to as AUGUSTA; WITNESSETH, for and in consideration of the sum of ONE DOLLAR ($1.00) in hand and truly paid by AUGUSTA to GPI at and before the sealing and delivery of these presents, and other valuable consideration, the receipt whereof is hereby acknowledged, GPI and AUGUSTA agree as follows: GPI hereby grants unto AUGUSTA, its successors and assigns, the following temporary construction easements: Said temporary construction easements are shown on EXHIBIT"B-1", which is Sheet 1 of 5 (Drawing No. C-101) and EXHIBIT "B-2", which is Sheet 2 of 5 (Drawing No. C-102) of a Plan and Profile prepared by Johnson, Laschober & Associates, P.C. (JLA), dated September 26, 2017, attached hereto and made a part hereof, and to which reference is made for a more accurate and complete description of the metes, bounds and courses. Said temporary construction easements are marked "Temporary Construction Easement #1" and "Temporary Construction Easement #2", on C-101, and "Temporary Construction Easement #3", on C-102 (collectively, the "Temporary Construction Easements"). The Temporary Construction Easements are granted subject to the stipulations set forth in EXHIBIT "A" and shall be only for the duration of the Spirit Creek Basin Interceptor Rehabilitation Project #1 and shall expire and terminate upon the project's completion and Augusta's acceptance of same. At any time after the completion of said project, either party shall, within ten (10) days written request of the other party, execute an acknowledgement that the Temporary Construction Easements have terminated. GPI also grants unto Augusta, its successors and assigns, a permanent non-exclusive access easement for vehicular and pedestrian access (the "Access Easement"), which point of commencement will be at the intersection of the southern driveway centerline of Parcel 216-0- 001-03-0(GPI)and the right-of-way of Mike Padgett Highway. From the point of commencement, said access easement will extend along the centerline of the existing driveway westerly to the existing building, then North to the existing cleared roadway centerline through the wooded area and ending at Georgia Power Property. Said access easement will be 10 feet (10') O.C. of the RECORD BOOK 1629 P9570 centerline of the driveway. Said access easement is shown on a "Permanent Access Location Map" (Drawing No. C-102.2), prepared by JLA, dated February 20, 2018, and attached hereto as EXHIBIT "C" (the "Access Easement Area"). In the event that Augusta or its employees, agents or contractors damage contractors damage the Access Easement Area or any improvements located therein or thereon, then Augusta shall be responsible for promptly repairing said damage at Augusta's sole cost and expense. GPI reserves the right (i) to relocate the Access Easement Area; and (ii)to use the Access Easement Area for all purposes not inconsistent with the Access Easement hereby granted. Nothing contained herein shall be construed to be a gift or dedication of any portion of the Access Easement Area to or for the general public or for any public purposes whatsoever. The easements hereby granted, and the agreements herein contained, shall be binding upon and inure to the benefit of GPI and Augusta and their respective successors and assigns. This Easement shall not be modified or amended in any respect except by a written instrument executed by GPI and Augusta. This Easement shall be construed and interpreted under the laws of the State of Georgia. This Easement may be executed in counterparts and each counterpart shall be considered an original but all such counterparts together shall be considered only one document. All access through GPI's property is strictly limited to the existing Sanitary Sewer Easement and the Temporary Construction Easements and Access Easement Area as described herein. 3. Augusta's contractor shall refer to this Easement for a description of the Access Easement Area. 4. Augusta's contractor shall repair and maintain all easements described herein during the construction period. 5. After construction is completed Augusta's contractor shall remove all construction debris and matting, from the Temporary Construction Easements and any other portion of GPI's property, and re-establish said areas with grass and live staking. 6. Augusta's contractor is not to remove trees 12 inches (12") in diameter or greater, within the three (3) Temporary Construction Easements, as described herein. 7. Augusta shall cause its contractor to maintain appropriate and adequate workers' compensation, liability and other applicable insurance,with solvent, reputable insurance companies and shall not allow any mechanic's liens to attach to any portion of GPI's property in connection with any work done thereon.
