THIS ELECTRICrr�� LINE ENCROACHMENT PERMIT AGREEMENT (this
"Agreement") dated l,t Iri I 2L1 , 2018, is made by and between AUGUSTA-
RICHMOND COUNTY, GEORGIA, a political subdivision of the State of Georgia("Grantor")
and PCS NITROGEN FERTILIZER, L.P., a Delaware limited partnership ("Grantee").
WITNESSETH
WHEREAS, Grantor is the owner of certain real property located in Augusta, Georgia
that, as of the date hereof, is referenced by the Richmond County, Georgia Board of Tax Assessors
as Parcel Number 0361171010, a portion of which is depicted on Exhibit A attached hereto and
incorporated herein by reference(the"City Property");
WHEREAS, Grantee is the owner of certain real property located near or adjacent to the
City Property, on which property Grantee's manufacturing facility is located, and, as of the date
hereof,is referenced by the Richmond County, Georgia Board of Tax Assessors as Parcel Numbers
0760007000, 0750012000, 0760016000, 0760017000, 0750005040, a portion of which is depicted
on Exhibit B attached hereto and incorporated herein by reference, together with any other
contiguous property owned by Grantee(the "PCS Property");
WHEREAS, Grantor has agreed to grant for the benefit of the PCS Property a power line
encroachment, together with a construction right, over, under and across the portion of the City
Property, as more fully set forth herein.
NOW, THEREFORE, in consideration of Ten Dollars ($10.00) in hand paid, and other
good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged,
Grantor and Grantee agree as follows:

1. Grant of Encroachment. Grantor hereby grants,bargains,permits and licenses to Grantee,
its successors and assigns, for the benefit of the PCS Property, a non-exclusive, perpetual
encroachment along, across,under, over and through the fifteen(15) foot area being seven
and half (7.5) feet on each side of the centerline of each of the power lines generally
depicted as the "Overhead Power Line to be Installed" and "Underground Bored Power
Lines 5' Separation. 15' Offset from Toe of Slope Typical" on the figure entitled
"Compiled Map for PCS Nitrogen" prepared by Cranston Engineering as Job No. 2018-
0070 and attached hereto as Exhibit A and incorporated herein by reference (the
"Encroachment Area"), for the purpose of installing, constructing, excavating, laying,
using, operating, maintaining and repairing a power supply line, including, without
limitation, power lines, bore pits, sleeves, conduits, power poles and all machinery,
equipment and apparatus appurtenant to the foregoing, to be used in connection with the
operation of the PCS Property (the "Power Line Facilities"), together with any and all
purposes as may be necessary for the construction,maintenance or operation of such Power
Line Facilities, including, without limitation, ingress and egress to and from the
Encroachment Area, and the right to repair, maintain, alter, remove, expand, and replace
the Power Line Facilities. Grantor shall have access to Encroachment Area and shall have
right to traverse Encroachment Area with reasonable equipment and means of
transportation. With respect to any portions of the encroachment affecting Georgia Power
Company right-of-way or easements, approval by Georgia Power shall be required prior to
commencing any construction activities over such portions right-of-way or easements.
2. Construction Right. Grantor hereby grants, bargains, permits and licenses to Grantee, its
successors and assigns, for the benefit of the PCS Property, a non-exclusive right and
easement to enter the City Property to construct and, as is reasonably necessary from time
to time, repair, maintain, alter, remove, expand and replace the Power Line Facilities.
3. Relocation. This herein grant of encroachment is made with the stipulation by Grantor and
Grantee that Grantor may require the relocation of the Power Line Facilities, structure or
improvements authorized under this Agreement, if, in the sole determination of Grantor,
any future utilities or other improvements or maintenance activities are needed on or in
Encroachment Area and/or this parcel for a public purpose. In any such event, the Power
Line Facilities, structure or improvement will be relocated at Grantee's sole expense and
Grantor shall have no liability for the relocation of such Power Line Facilities, structure or
improvement. Notwithstanding the foregoing, Grantor shall not require relocation of the
Power Line Facilities, structure or improvement unless Grantor deems that there exist a
need for the protection of consolidated government of Augusta, Georgia such as but not
limited to flood control, redevelopment plan/project or other critical needs. Such
determination shall be at the sole right and discretion of Grantor. In the absence of an
emergency, Grantor shall provide Grantee with eighteen (18) months written notice of
relocation requirement, which shall include an alternative location on property owned by
the City deemed reasonable by Grantor. Grantor and Grantee shall work together to
determine where such Power Line Facilities can be relocated (a) on a commercially
reasonable basis; PROVIDED that in the event Grantor no longer or does not own property
deemed commercially reasonable for said relocation, Grantor shall have no obligation to
provide Grantee with such alternative location for the Power Line Facilities. In the event
of an emergency, as solely determined and deemed by Grantor, Grantor shall not be

required to provide eighteen (18) months written notice of relocation requirement. In the
event Grantor requires relocation, emergency or non-emergency, Grantor shall describe
and provide to Grantee, in writing, the reason(s) for the relocation requirement. Upon any
such relocation of the encroachment herein granted, the encroachment shall be deemed to
be automatically and immediately relocated to the new encroachment area; provided,
however, that upon written request of either Grantor or Grantee, herein parties agree to
execute, acknowledge and deliver to the other party under seal (duly witnessed and
notarized for recording in Georgia) new executed encroachment permit document on
substantially the same form as this Agreement.
4. Existing Rights and/or Easements. For the avoidance of any doubt, the terms of this
Agreement shall in no way limit, cancel or diminish any other rights and/or easements
previously granted to Grantee or the PCS Property.
5. Governing Law. This Agreement shall be governed by and construed in accordance with
the laws of the State of Georgia.
6. Counterparts. This Agreement may be executed in several counterparts, which shall
constitute one and the same instrument.
7. Binding Effect. The rights and obligations created herein shall run with title to City
Property and shall be binding upon the Grantor, its successors and/or assigns, and shall
inure to the benefit of Grantee, its successors and/or assigns. Grantor acknowledges that
Grantee may not avail itself of the rights granted herein for some period of time, and
Grantor agrees that any failure of Grantee to exercise such rights shall not be deemed an
abandonment thereof.
8. Amendments. This Agreement, along with the exhibits attached hereto, may not be
amended,waived or discharged, except by instrument in writing, executed by both Grantor
and Grantee, or their respective successors, heirs or assigns, as applicable.
