HomeMy WebLinkAboutPROFESSIONAL SERVICES AGREEMENT- UNIVERSITY HEALTH SYSTEM AS THE VENDOR FOR BASELINE ANNUAL & PRE-EMPLOYMENT MEDICAL EXAMS FOR THE AUGUSTA, GA FIRE DEPARTMENT PROFESSIONAL SERVICES AGREEMENT
This Agreement is made and entered into by and between Augusta, Georgia, a political
subdivision of the State of Georgia, by and through its Board of Commissioners, whose address is
535 Telfair Street,Augusta,Ga. 30901, hereinafter referred to as"Augusta", and University Health
Services, Inc., whose address is University Hospital, 3121 Peach Orchard Road, Suite 201,Augusta,
Ga. 30906, hereinafter referred to as"Consultant".
WHEREAS an Agreement was entered into between the parties on February 28, 2013,
specifying the services to be provided, the compensation for such services, and the term of
the Agreement; and,
WHEREAS, the terms of the Agreement were defined as a two-year Agreement
commencing on January 1, 2013; and further provided that the Agreement could be extended
for three (3) additional 1 year terms by written agreement of the parties unless sooner
terminated.
WHEREAS, the initial term has expired and the parties are desirous of extending the
Agreement as provided for in the original Agreement; and,
WHEREAS, the original Agreement stipulated the Standards of NFPA 1582 as the 2007
Edition; subsequently NFPA 1582 Standards have been revised to new Editions;
NOW THEREFORE, in consideration of the foregoing, the provisions contained herein and the
mutual benefits to be derived here from and for other good and valuable consideration, the receipt
and sufficiency of which are hereby acknowledged,Consultant and Augusta agree as follows:
1. Term. The parties agree to extend the original Agreement for an additional one (1)
year, beginning on the date of the execution of this Agreement, through the final one-
year term expiration,which date is December 31, 2017.
2. Standards of Performance. The parties agree to modify the language for this
Agreement to reference the current NFPA Standards, current edition. The NFPA
Standards current edition will be the Standards utilized for the extension term.
3. Other Provisions. The parties agree that all other provisions set out in the original
Agreement remain in full force and effect, other than as modified herein.
