AGREEMENT
This AGREEMENT, made as of this 1 3th_ day of November,2017, by and
between THE MERCER GROUP, INC. and AUGUSTA RICHMOND COUNTY,
GEORGIA a municipal corporation.
WITNESSETH:
WHEREAS, Augusta Richmond County (hereinafter referred to as "ARC") has made a
request for a scope of services to hire an executive recruiter to conduct an executive search for
a Director of Human Resources,and
WHEREAS, The Mercer Group, Inc. (hereinafter referred to as "Mercer") has submitted
a scope of services in response to ARC's request; and
WHEREAS,ARC has selected Mercer's scope of services as the scope of services that meets
its needs and ARC desires to hire Mercer to conduct ARC's search for a Director of Human
Resources, and
WHEREAS, Mercer desires to assist ARC in conducting ARC's search for a Director
of Human Resources.
NOW THEREFORE,in consideration of the following mutual covenants and other good
and valuable consideration, the receipt and adequacy of which is hereby acknowledged by all
parties hereto,Mercer and ARC hereby agree as follows:
I. Mercer agrees to provide services and support to ARC in the conduct of ARC's
search for a Director of Human Resources. Mercer agrees to conduct the project in
accordance with the scope of services outlined in its scope of services in its submittal
to Augusta Richmond County dated October 27, 2017 and is incorporated by
reference and thus made a part of this Agreement.
2. ARC agrees to compensate Mercer for its services in the amount of$16,000
for professional services and not-to-exceed $7,000 in expenses. Payments to
Mercer are to be made as follows: One-third upon commencement of the project,
one-third upon submission of semi-final candidates and one-third upon
submission of the final candidates.

3. ARC agrees to compensate Mercer for services rendered beyond the scope of
services of this engagement for $200.00 per hour. No work beyond the scope of
services discussed in the preceding pages will be undertaken unless prior written
approval is received from ARC and both parties agrees.
4. ARC and Mercer agree that this Agreement shall be governed by the laws of
the State of Georgia.
5. ARC and Mercer both agree that in the event that any dispute arises between
the parties, the complaining party shall promptly notify the other of the dispute in
writing. Each party shall respond to the other party in writing within ten (10)
working days of receipt of such notice.
6. ARC and Mercer both agree that any amendments to this Agreement shall be made in
writing, and executed by both parties.No proposed amendment which is not in
writing and executed by both parties shall effect the terms of this Agreement.
7. The parties shall have the right at either party's convenience to terminate this
Agreement following ten(10)days written notice to the affected party. Should either
party terminate this Agreement ARC shall only be obligated to pay Mercer for those
services already provided.
