HomeMy WebLinkAboutMEMORANDUM OF UNDERSTANDING BETWEEN AUGUSTA, GEORGIA AND HISTORIC AUGUSTA_ FOR FUNDING AS AUTHORIZED IN SPLOST PHASE VI MEMORANDUM OF UNDERSTANDING This Memorandum of Understanding entered into 1U , 2017, between AUGUSTA, GEORGIA ("Augusta") a consolidated government and political subdivision of the State of Georgia, and HISTORIC AUGUSTA, INC. ("Historic Augusta") a Georgia non-profit corporation, for the purpose of outlining how the cost of the construction of displays to be leased by Augusta to Historic Augusta will be funded. WITNESSETH: WHEREAS, the voters of Augusta, Georgia on June 16th 2009, approved the imposition of the Special Purpose County One Percent Sales and Use Tax ("SPLOST VI"), and designated the use of the proceeds of said tax for certain capital outlay projects, as defined on O.C.G.A. 48- 8-11(a) and further approved a project priority payment order in an Intergovernmental Agreement entered into by and between Augusta, Georgia, and the municipalities of Hephzibah and Blythe; and WHEREAS, the Augusta Commission approved SPLOST funding for certain recreational, historical and cultural improvement capital outlay projects including the creation of informational displays (the "Displays") for the Woodrow Wilson House; and WHEREAS, as a condition of the use of the SPLOST funds for the Displays was that Historic Augusta would raise a minimum of twenty five (25%) percent of the SPLOST allocation for the Displays (the "Matching Funds"); and WHEREAS, Augusta has verified that Historic Augusta has raised the Matching Funds; and WHEREAS, the parties wish to set forth their agreement regarding the payment of the costs associated with the creation of the Displays and the leasing of the Displays. NOW THEREFORE,the parties covenant and agree as follows: 1. Historic Augusta shall solicit a minimum of three bids from qualified contractors for the design and construction of the Displays. 2. Upon review of all submitted bids, Historic Augusta will advise the Augusta, Georgia Finance Department of the lowest bid and enter into a contract for the design and construction of the Displays with the lowest qualified bidder. 3. Historic Augusta shall be responsible for the payment of any deposits and the cost of the cost of the Displays. Historic Augusta is authorized to use the Matching Funds for the payment of the cost of the Displays. 4. Within ten (10) business days of the installation and acceptance of the Displays by Historic Augusta, Augusta shall deliver the SPLOST funds (or such part of the Page 1 of 2 SPLOST funds as necessary to reimburse Historic Augusta for Augusta's pro-rata share of the cost if the cost of the Displays is less than the total of the SPLOST funding and the Matching Funds). 5. Simultaneously with the delivery of the SPLOST funds Historic Augusta will execute a bill of sale to Augusta for the Displays and enter into a lease, in substantially similar form as provided on Exhibit A, for the use of the Displays.
