Re: Solar Walking Trail Access at Augusta Sewer Solar Array
To Whom it May Concern:
The purpose of this letter is to set forth the procedures and liabilities between WGL Georgia Project
Group, LLC ("WGL") and the City of Augusta, Georgia ("Augusta")for public walking tours that are
planned to occur at the solar array installed at 1802 Lock and Dam Road pursuant to the Lease
Agreement dated May 17, 2016 ("Lease") between WGL (by assignment) and Augusta. WGL and
Augusta may be referred to herein as the "Parties".
Augusta released that certain Request for Proposal 16-171 dated March 23,2016("RFP"),to which
WGL and its partner, Inman Solar, provided its proposal dated April 21, 2016. In its proposal,WGL
and Inman Solar committed to construct an educational solar trail at one of the RFP's designated
project sites. The trail would be made available to Augusta schools and other civic organizations
for the purposes of educating Augusta residents about solar power.
Inman Solar was awarded the RFP(which was subsequently assigned to WGL)and the Parties have
provided the aforementioned solar trail at the Augusta Sewer project site located at 1802 Lock and
Dam Road (the "Site"). This letter agreement sets forth procedures regarding the use of the solar
trail and liability with respect to use of the solar trail.
Primary coordination for all visitations to the Site for use of the solar trail will be conducted by
Augusta. Augusta will provide WGL a minimum of 72 hours advance notice prior to any walking

tours taking place. Prior to a tour,Augusta shall provide the attached Accident Waiver and Release
of Liability Form ("Form 1") to each tour participant to be signed prior to accessing the Site.
Augusta shall separately provide a voluntary photo and release form for participants to sign at the
conclusion of the tour("Form 2"and collectively with Form 1,the"Forms").Upon request,Augusta
shall provide signed Forms to WGL to verify that the Forms have been provided to and signed by
all tour participants.
The Parties acknowledge that the main access gate to the Site will normally be locked. Augusta
will keep the gate locked at all times when tours are not in progress. Augusta will be provided with
the gate access code, and at the start of a tour Augusta will unlock the gate in order to access the
solar trail. Augusta will inform all tour participants to stay together and to be mindful of safety
risks involved with walking the trail and not to wander off the trail path. Tour groups must be
properly managed such that an Augusta representative can properly supervise the group's
progress along the trail, keep the group together and prevent participants from walking around
the Site alone. To be clear, no participant or August representative shall be authorized to touch,
modify, or adjust any piece of equipment on site. This includes but is not limited to: Racking,
Modules,Combiner Boxes,Switches, Disconnects,Weather Sensors, Inverters,Wire, Conduit.
Once the tour is completed,Augusta will ensure that the same number of participants that entered
the Site will also leave the Site,and Augusta will lock the gate immediately following the conclusion
of the tour. Augusta will inform WGL within 24 hours of the tour conclusion that the tour ended
and report any incidents that took place during the tour.
Prior to conducting the first walking tour, Augusta will provide WGL with a designated point of
contact,and will provide WGL notification of any subsequent changes. WGL's designated point of
contact is Mr. Conrad Gross, who can be contacted at by phone at (571) 287-0210 or email at

Augusta acknowledges that it is responsible for the safety of all participants accessing the Site for
use of the solar trail, and will indemnify and hold WGL harmless for any harm to persons or
property resulting from such access and the conduct of the walking tour.
We request that Augusta signify your agreement with this letter by signing below. Thank you very
