1. Augusta, Georgia, a political subdivision of the state of Georgia ("Landlord")
hereby certifies to WGL Georgia Project Group, LLC, a Delaware Limited Liability Company
(the "Tenant") and, SFGF, LLC, a Delaware limited liability company ("Purchaser") as follows
(with the understanding that WGL Energy Systems, Inc. agrees to guarantee performance by
Tenant and Purchaser):
2. Pursuant to that certain Lease dated May 17, 2016, (the "Lease") between Lessor
and Lessee, Lessee leases the land described therein (the "Premises"). The Lease, as amended,
modified and supplemented, is in full force and effect, and represents the entire agreement
between Lessee and Lessor for the Premises. There are no amendments, modifications or
supplements to the Lease, whether oral or written except as follows (include the date of each
amendment, modification or supplement): N/A. A true and correct copy of the Lease, as
amended, modified and supplemented, is attached hereto as Exhibit"A".
3. The term of the Lease began on May 17, 2016 and will end twenty five (25) years
after obtaining Commercial Operation Authorization from Georgia Power pursuant to the
Georgia Power Distributed Generation Solar Power Purchase Agreement (PPA#GPC-22431).
4. The Lease provides for no further renewals without written amendment.
5. Lessor has neither sent nor received any notice of default under the Lease which
remains uncured and has no knowledge that either Lessor or Lessee is in default under the Lease
except as follows: N/A.
6. Lessee is currently paying Rent under the Lease in the amount of $19,750.00
annually(pro-rated to $12,336.99 for calendar year 2016).
7. Tenant has not prepaid any rent or other charge under the Lease to Landlord other
than the following: $195,000.00 pursuant to Lease Article VI Special Conditions.
8. No security deposit has been paid to and is presently held by Landlord under the
Lease.
IN WITNESS WHEREOF, Landlord has executed this Estoppel Certificate as of this
day of November, 2016.
