PARTICIPATION FEE
AGREEMENT
THIS AGREEMENT, made the I " ' day of JV0v fl &", 2016, by and
between Georgia Vitrified Brick & Clay Co., a Georgia limited partnership, as party of the first
part, hereinafter called "GVBC", and Augusta, Georgia, a political subdivision of the State of
Georgia, as party of the second part, hereinafter call "Augusta".
WITNESSETH:
WHEREAS, GVBC is in the process of developing a tract of land described on Exhibits
"A" and "B" (the GVBC property), located between Gordon Highway, Powell Road and Jimmie
Dyess Parkway, in Augusta, Georgia, and being that tract of land containing 159.13 acres,
known under the Parcel Identification Number 066-0-056-03-0 (less and except the portion of
said tract that lies on the west side of Powell Road) and Parcel Identification Number 066-1-
001-00-0; and
WHEREAS, a portion of said GVBC property will be used upon which to build a new
school; and
WHEREAS, GVBC is desirous of having sanitary sewer service provided for the GVBC
property, which will include the school; and
WHEREAS, the Augusta, Georgia Commission did approve the extension of utilities,
water and sanitary sewer, in the area of Gordon Highway and Jimmie Dyess Parkway, at its
regularly scheduled meeting held on April 21, 2015; and
WHERAS, it was agreed, at said meeting, that Augusta would construct both the water
main and sanitary sewer and that GVBC would reimburse Augusta, for the sanitary sewer, by
paying a per acre fee as the GVBC property is developed and other consideration; and
NOW, THEREFORE, for and in consideration of the sum of TEN DOLLARS, the
premises and other good and valuable consideration as detailed in this agreement, GVBC and
Augusta agree as follows:
(1) Augusta shall construct a sub-surface sanitary sewer line in accordance with plans
and specifications prepared by Bluewater Engineering Services, a firm contracted to,
and paid by, GBVC. GVBC will be responsible, for any and all charges, fees, etc.,
from Bluewater. Said plans and specifications have been provided to Augusta and
GVBC and have been placed on file at the Augusta Utilities Department. Such plans
and specifications are incorporated herein by reference.
(2) GVBC will grant to Augusta, gratis, a minimum twenty-foot (20') easement running
on the GVBC property alongside Jimmie Dyess Parkway, for the new water main,
and a minimum twenty-foot (20') easement running on the GVBC property, for the
new sanitary sewer pipeline.
(3) As an inducement to Augusta to install, operate and maintain the sanitary sewer
facilities, GVBC has and does hereby agree to pay to the Augusta Utilities
Department the sum of Four Hundred Sixty-Seven Thousand Seventy-Two and
no/100ths ($467,072.00) dollars, at the rate of$2,935.16 (Two Thousand Nine
Hundred Thirty-Five Dollars and Sixteen Cents) per acre for each of the 159.13
acres contained in the GVBC property. Such fee shall be paid, to the Augusta
Utilities Department contemporaneously with the sale and conveyance of lots and/or
parcels developed by GVBC or at the time of sale of undeveloped lots, tracts, or
parcels of land to third parties.
(4) Actual Cost of Construction:
a. The bid schedule is the sum stated in paragraph number 3 above and which
is reflected in Exhibit "C".
b. Both parties agree that should the final cost of constructing the sanitary
sewer vary by Ten Thousand Dollars ($10,000.00), or more, from the bid
schedule (Exhibit "C"), then at the end of the project Augusta shall prepare,
and both parties shall sign, an addendum to this agreement which will adjust
the per acre payment that GVBC will make to the Augusta Utilities
Department to reflect said change. This change will be computed by taking
the total construction costs and dividing that sum by the total acreage.
(5) The terms "GVBC", "Augusta" and "Augusta Utilities Department" as used herein
shall be deemed to mean their respective heirs, successors and assigns, and this
Agreement shall inure to the benefit of and be binding upon GVBC, Augusta and
their respective heirs, successors and assigns.
(6) This agreement shall remain in effect until the total debt has been discharged.
IN WITNESS WHEREOF, the parties hereto have hereunto set their hands and their
seals on the day and year above first written.
