DICKSON & CO MAJOR PROJECTS SUPPLEMENTAL CONSULTANT SERVICES AGREEMENT BETWEEN AUGUSTA, GEORGIA (CITY) AND CONSULTANT This Agreement is made and entered into this -- J day of and between AUGUSTA, Georgia, a political subdivision of the State 7 Geor ;�, he , rein 2014 e by called the "CITY" and W.K. Dickson & Co., Inc., a Corporation authorized to go business in Georgia, hereinafter called the "CONSULTANT." RECITALS It is the intent of this Supplemental Agreement ( "Supplemental Agreement ") to increase Consultant's scope of services to include all necessary construction means and methods ( "Construction Services ") for the Project set forth in Attachment A to the Consultant Services Agreement between the City and Consultant dated August 2, 2014 ( "Agreement "). All defined terms utilized in the Agreement, including the General and any Supplemental Conditions thereto, shall have the same meaning in this Supplemental Agreement. Except as modified herein, the parties ratify and incorporate herein by reference all terms and provisions of the Agreement. In the event of any conflict between the terms of this Supplemental Agreement and the Agreement, these terms shall control. NOW, THEREFORE, the parties agree to supplement the Agreement as follows: 1. Contract Price. The original contract amount is hereby increased from $ 37,500.00 to $ 375,013 to compensate the CONSULTANT for the Construction Services not otherwise included in the Agreement as set forth in Exhibit A, attached hereto and incorporated herein by reference. 2. Work. The Work called for in this Supplemental Agreement is all Construction Services needed to complete the Project Description set forth in Attachment A to the Agreement, the final plans and specifications prepared by Consultant for the Project and otherwise identified in the Contract, as that term is defined in the Agreement. 3. Payment. Consultant shall be paid for the Construction Services in monthly pay request for services rendered and approved by the Owner, pursuant to Exhibit A unit prices as verified in the field. 4. Construction Services. Consultant shall supervise, inspect and direct the Construction Services, which shall include the performance or furnishing of all labor, materials 2014 -10 -02 Augusta Avenue Contract Amendment • and equipment required for the Project as well the means, methods, techniques, sequences and procedures needed to see that the completed Work complies with the Agreement and the Contract. 5. Subcontractors. Consultant may utilize the services of one or more subcontractors approved by the City and needed to complete the Work and the Project, provided any such subcontractors will execute an appropriate subagreement acceptable to the City and which binds the subcontractor to the applicable terms and conditions of the Agreement and the Contract for the City's benefit. 6. Bonds. a) Consultant shall require its subcontractors to furnish performance and payment bonds ( "Bonds "), each in an amount at least equal to the cost of the Construction Services, as security for the faithful performance and payment of all obligations of such subcontractor to furnish, provide and pay for Work and related materials under this Supplemental Agreement or the Agreement, including any General or Supplemental Conditions. These Bonds shall name both the City and Consultant as dual obligees and shall remain in effect at least until one year after the date when final payment becomes due, except as provided otherwise provided by applicable statutes, laws or regulations. b) All Bonds shall be in the form prescribed by Consultant, and shall be executed by such sureties as are named in the current list of "Companies Holding Certificates of Authority as Acceptable Sureties on Federal Bonds and as Acceptable Reinsuring Companies" as published in Circular 570 (amended) by the Financial Management Service, Surety Bond Branch, U.S. Department of the Treasury. All Bonds signed by an agent or attorney -in -fact must be accompanied by a certified copy of that individual's authority to bind the surety. The evidence of authority shall show that it is effective on the date the agent or attorney -in -fact signed each bond. 7. Warranty. Consultant warrants and guarantees to the City that Consultant will provide the Construction Services so that, when completed, the Work complies with the Contract. Provided, Consultant's warranty and guarantee hereunder excludes defects or damage caused by: (1) abuse, modification or improper maintenance or operation by persons other than Consultant or its subcontractors, or any other individual for whom Consultant is responsible; or (2) normal wear and tear under normal usage. 8. Work Procedures. Consultant shall: a) Provide all design and construction services with the skill and care ordinarily used by members of the subject professions and trades in the Augusta area practicing under similar circumstances. b) Initiate, maintain and supervise all safety precautions and programs in connection with the Work; 2014 - - Augusta Avenue Contract Amendment c) Endeavor to comply with applicable laws, codes, and regulations; d) Obtain all necessary permits, licenses and approvals of governmental authorities; e) Promptly, and before conditions are disturbed, give a written notice to the City of subsurface or latent physical conditions which differ materially from those ordinarily encountered or from those indicated in the Contracts; or which Consultant otherwise believes would warrant a change in the Work pursuant to paragraph 3 of the General Conditions to the Agreement; AUGUSTA UTILITIES DEPARTMENT CONS •T , , By: , , , Printed Name: P Li t 0 fir 4U Name: id it,LI 6. iA,(L.4 Title: U Pi `16 A Title: Vi c Date: (t, ( Lo ( t t- Date: l 0 ° 3 - i 4- 2014-10-02 Augusta Avenue Contract Amendment 0 I EXIBIT A: SCOPE OF 'WORK AND UNIT PRICES Scope of 'Work: Investigation and determination of the location of all existing utilities along Augusta Avenue and Brown Street, to include the intersections of: Augusta Avenue and Wrightsboro Road, Augusta Avenue and I'cn Street, Augusta Avenue and Brown Street, Augusta Avenue and Florence Street, and Brown Street and Flolly Street, Demolition and removal of all subsequent construction material required for the installation of approximately one thousand and nine (1.00)) linear feet of eight (8) inch sanitary sewer including ten (10) manholes, sixteen (16) new services and eleven (11) service reconnections.
