This proposal is based on our phone conversation and the project sixty percent completion plans and specifications. Background Information The project is a renovation / addition of the Augusta Municipal building located in Augusta, Georgia. The building was built in 1957 and is nine stories in height.. It is currently water tight and recently had a new roof and associated fleshings installed. The exterior structural walls are terracotta block covered with 3" marble panels secured with mortar and horseshoe clips. The major addition to the building will be a new, nine story elevator shaft with a metal panel skin system and a new, two story main entrance enclosed with a storefront glazing system. The project team has concerns with waterproofing, more specifically temporary measure during construction and the difficult interface between the old and new structures. The plans and specs are at 60% completion. Scope of Work The Building Envelope Consulting Services include the following: 1) Design Phase a) Conduct one (1) architectural drawing and specification review of the construction documents. i) Areas of review include water penetration, vapor diffusion, air leakage and thermal performance with emphasis on water tightness. ii) Specification review from CSI Divisions 4, 7, 8, and 9 as applicable to the building envelope. iii) Provide drawing mark -ups and a specification review memorandum. Drawing mark ups and specification review memorandum will be delivered to the design team electronically. b) Attend one (1) work session with Turner and /or the design team as required. i) Interactive face to face review of MH redlines and comments. Optional Services 1) Field Performance Water Penetration Testing a) Conduct ASTM E1105 chamber test (maximum sample size of 7' z 7'). b) Conduct (1) AAMA 501.2 spray nozzle testing i) Both tests may be performed on the same day depending on circumstances and volume of testing required. c) Issue a memorandum outlining the findings of the testing, including photos and recommendations for any remedial work that may be required. d) MH is responsible for providing the calibrated rain racks, associated test equipment and instrumentation. e) Client is responsible for providing vertical access, where required, construction of 2x4 stud framing for the test chambers, and make available a suitable source of power and water within the immediate vicinity of the windows to be tested at no cost to MH. In consideration of the mutual covenants expressed herein, and intending to be legally bound, the Parties agree as follows: 1. CLIENT DEFINITION CLIENT as used herein shall include and apply to all parties equally, be they individuals, corporations, partnerships, associations, government agencies, or other entities, whether acting alone or collectively as a group where the services of this Agreement are being provided to, or on behalf of, the group. 2. STANDARD OF CARE Services performed by MHC will be conducted in a manner consistent with that level of care and skill ordinarily exercised by other members of the engineering and science professions currently practicing under similar conditions subject to the time limits and financial, physical or any other constraints applicable to the Services. No other warranty, express or implied is made or intended, and the same are specifically disclaimed, including the implied warranties of merchant ability and fitness for a particular purpose. 3. INVOICES AND PAYMENT TERMS MHC will submit monthly invoices to CLIENT and a final bill upon completion of Services. CLIENT shall notify MHC within ten (10) days of receipt of invoice of any dispute with the invoice. CLIENT and MHC will promptly resolve any disputed items. Payment on undisputed invoice amounts is due upon receipt of invoice by CLIENT and is past due thirty (30) days from the date of the invoice. CLIENT agrees to pay a finance charge of one and one -half percent (1 -1/2 %) per month, or the maximum rate allowed by law, on past due accounts. If any invoice amount is past due, MHC shall have the right to suspend all work under this Agreement, without prejudice. CLIENT will pay all reasonable demobilization and other suspension costs. CLIENT agrees to pay attorneys' fees, legal costs and all other collection costs incurred by MHC in pursuit of past due payments. 4. CHANGES CLIENT and MHC recognize that it may be necessary to modify the scope of Services, the schedule, and /or the cost estimate proposed in this Agreement. Such changes shall change the scope of Services, - 7 - schedule, and/or the cost, as may be equitable under the circumstances. MHC shall notify CLIENT in a timely manner when it has reason to believe a change to the Agreement is warranted. MHC shall prepare a Change Order request outlining the changes to the scope, schedule, and/or cost of the project. CLIENT has a duty to promptly consider the Change Order request and advise MHC in a timely manner in writing on how to proceed. If after a good faith effort by MHC to negotiate modifications to the scope of Services, the schedule, and/or the cost estimate, an agreement has not been reached with the CLIENT, then MHC shall have the right to terminate this Agreement upon written notice to the CLIENT. 5. DELAYS AND FORCE MAJEURE If site conditions prevent or inhibit performance of Services or if unrevealed hazardous waste materials or conditions are encountered, Services under this Agreement may be delayed. Delays within the scope of this Article shall, at the option of either party, make the Agreement subject to renegotiation or to termination. CLIENT shall not hold MHC responsible for damages or delays in performance caused by acts of God, acts and /or omissions of Federal, State and local governmental authorities and regulatory agencies or other events that are beyond the reasonable control of MHC. For this purpose, such acts or events shall include, but not be limited to, storms, floods, epidemics, war, riot, strikes, lockouts or other industrial disturbances, and inability with reasonable diligence to supply personnel, information, or material to the project. Should such acts or events occur, it is agreed that MHC shall use reasonable efforts to overcome difficulties arising and to resume as soon as reasonably possible the normal pursuit and schedule of the Services covered by this Agreement. 6. DATA AND INFORMATION MHC shall be entitled to rely upon the reports, data, studies, plans, specifications, documents and other information provided by CLIENT or others in performing the Services and, MHC assumes no responsibility or liability for the accuracy or completeness of such. CLIENT waives any claim against MHC, and agrees to defend, indemnify and hold MHC harmless from any claim or liability for injury or loss allegedly arising from errors, omissions, or inaccuracies in reports, data, studies, plans, specifications, documents or other information provided to MHC by CLIENT. MHC will not be responsible for any interpretations or recommendations generated or made by others, which are based, whole or in part, on MHC's data, interpretations or recommendations. 7. OWNERSHIP OF DELIVERABLES AND RELATED DOCUMENTS All reports, drawings, plans, designs and other documents prepared by MHC pursuant to this Agreement (collectively, 'Deliverables") including all intellectual property rights therein, remain the property of MHC. Client agrees that the Deliverables (i) are intended for the exclusive use and benefit of, and may be relied upon only by, Client and (ii) will not be used at a Site or for a Project not expressly provided for in this Agreement. Client does not require MHC's permission for regulatory submittal of the Deliverables or, subject to all terms and conditions contained in this Agreement, reliance on the Deliverables provided to Client's design team, of which MHC is a member, solely for the design of the Project for which the Deliverables were intended. Client agrees that any prospective lender, buyer, seller or other third party who wishes to rely on any Deliverables must first sign MHC's Agreement. Client will defend, indemnify and hold harmless MHC, its parent, subsidiaries, affiliates and subcontractors, including their respective officers, directors, employees, agents, successors and assigns, (collectively, "Indemnities") from and against all claims, settlements, costs, expenses, liabilities, damages, penalties and interest, including attorneys' fees and litigation expenses, (collectively, "Liabilities ") asserted against or incurred by Indemnities as a result of any unauthorized use of, or reliance on, the Deliverables. Client further agrees that (i) the Deliverables may be based in part or in whole on facts and/or assumptions provided to, but not independently verified by, MHC, (ii) the Deliverables will reflect, MHC's findings as to conditions that existed only at the time the Services were performed and (iii) MHC makes no representations as to any facts or assumptions provided to, but not independently verified by, MHC. lir - 8 - 8. LIMITATION OF LIABILITY. To the maximum extent permitted by law Client expressly agrees, for itself and anyone claiming by, through or under it, that the liability of MHC, its parent, subsidiaries, affiliates and subcontractors, including their respective officers, directors, employees, successors and assigns for any and all causes of action whatsoever, including, without limitation, tort, contract, strict liability, indemnity or otherwise, arising out of, or in connection with, this agreement or MHC's professional services, shall be limited to the fee paid to MHC. Client acknowledges that (i) without the inclusion of liability provision, MHC would not have performed the Services, (ii) it has had the opportunity to negotiate the terms of this limitation of liability as part of an "arms - length" transaction, (iii) the limitation amount may differ from the amount of professional liability insurance required of MHC under this Agreement, (iv) the limitation of liability provision is merely a limitation of, and not an exculpation from, MHC's liability and (v) it has received special consideration of ($10) for this limitation of liability provision and waives any and all rights to dispute the receipt and sufficiency of such consideration. 9. INDIRECT DAMAGES. Each party hereby waives its rights to recover from the other party any consequential, indirect, or incidental damages (including, but not limited to, loss of use, income, profits, financing or reputation), arising out of, or related to, this agreement or the performance of the services, or both. 10. INSURANCE. MHC will carry insurance coverage during the performance of this Agreement that is required by law. In addition, MHC maintains the following insurance coverage: a) Commercial General Liability Insurance - $500,000 per claim and aggregate b) Professional Errors & Omissions - $1,000,000 per claim and aggregate 11. SITE RESPONSIBILITY If MHC is providing services on Site, Client will provide MHC with access to the Site and all available Site information deemed necessary by MHC. The Services do not include supervision or direction of the means, methods or actual work of other consultants, contractors and subcontractors not retained by MHC. Client agrees that each such other party will be solely responsible for its working conditions and safety on the Site. MHC's monitoring of the procedures of any such other party is not intended to include a review of the adequacy of its safety measures. It is agreed that MHC is not responsible for safety or security at the Site, other than for MHC's employees, and that MHC does not have the right or duty to stop the work of others. 12. NOTIFICATION AND DISCOVERY OF HAZARDOUS MATERIALS. Prior to commencing the Services, CLIENT shall furnish to MHC all documents and information known to CLIENT that relate to the identity, location, quantity, nature or characteristics of any hazardous materials or suspected hazardous materials, on or under the site. CLIENT hereby warrants that, if it knows or has any reason to assume or suspect that hazardous materials may exist at the project site, it has so informed MHC. Client recognizes that hazardous materials or suspected hazardous materials may be discovered on the project site property or on any adjacent property to the site. CLIENT recognizes that it is CLIENT's responsibility, and not MHC's, to inform the Owner of any affected property not owned by CLIENT of such discovery. CLIENT also recognizes that any such discovery may result in a significant reduction of the property's value. CLIENT waives any claim against MHC and agrees to defend, indemnity and hold harmless MHC from any claim or liability for injury or loss of any type arising from the discovery of hazardous materials or suspected hazardous materials on CLIENTs property or on property not owned by CLIENT. CLIENT agrees that discovery of anticipated hazardous materials shall constitute a changed - 9 - condition for which MHC shall be treated as outlined in Paragraph 4, changes. 13. UNANTICIPATED CONDITIONS. If MHC is providing services on Site, Client will inform MHC in writing of all known and identifiable contaminants or other conditions existing on or near the Site that are known to present a potential danger to health, the environment, or MHC's equipment or personnel prior to commencement of the Services. Should MHC encounter such conditions which were not reasonably anticipated or which increase the risk or cost, or both, involved in MHC's performance of the Services, upon notice to Client, MHC, in its sole discretion, may (i) suspend the performance of Services and submit a change order as outlined in Paragraph 4, changes to be signed by Client prior to proceeding or (ii) discontinue the performance of Services and terminate this Agreement. If the unanticipated condition presents an immediate or potential threat to health, safety, the environment, or MHC's equipment or personnel, MHC will immediately inform Client, so that Client can notify the appropriate government authorities. If Client fails to do so, Client will hold MHC harmless if MHC provides such notice. 14. TERMINATION. This agreement may be terminated by either party upon written notice in the event of substantial failure by the other party to perform in accordance with terms hereof. Such termination shall not be effective if that substantial failure has been remedied before expiration of the period specified in the written notice, such period shall not be less than seven (7) calendar days. In the event of termination, MHC shall be paid for services performed to the termination notice date, reasonable termination costs and a portion of its anticipated profits not less than the percentage of the contract services performed as of the termination notice date. MHC may complete such analyses and records as are necessary to complete their files and may also complete a report on the Services performed to the date of notice of termination or suspension. The expenses of termination or suspension shall include all direct costs of MHC in completing such analyses, records and reports. 15. DISPUTES. All disputes, daims, and causes one party makes against the other, at law or otherwise, including third party or "pass - through' claims for indemnification and /or contribution, shall be initiated, determined, and resolved by arbitration in accordance with the Construction Industry Arbitration Rules of the American Arbitration Association, and judgment upon the award rendered by the Arbitrator(s) may be entered in any court having jurisdiction thereof. In the event that one party makes a claim against the other, at law or otherwise, and then fails to prove such claim, then the prevailing party shall be entitled to all costs, including attorneys' fees incurred in defending against the claim. 16. INTELLECTUAL PROPERTY. All rights to patents, trademarks, copyrights, and trade secrets owned by MHC (hereinafter "Intellectual Property') as well as any modifications, updates or enhancements to said Intellectual Property during the performance of the Services remain the property of MHC, and MHC does not grant CLIENT any right or license to such Intellectual Property. 17. MISCELLANEOUS. a) This Agreement supersedes all other agreements, oral or written, and contains the entire agreement of the parties. No cancellation, modification, amendment, deletion, addition, waiver or other change in this Agreement shall have effect unless specifically set forth in writing signed by the party to be bound thereby. Titles in this Agreement are for convenience only. b) This Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors and assigns provided that it may not be assigned by either party without the written consent of the other. It is expressly intended and agreed that no third party ir - 10 - beneficiaries are created by this Agreement, and that the rights and remedies provided herein shall inure only to the benefit of the parties to this Agreement. c) No waiver of any right or remedy in respect of any occurrence on one occasion shall be deemed a waiver of such right or remedy in respect of such occurrence on any other occasion. d) All representations and obligations shall survive indefinitely the termination of the Agreement. e) Any provision, to the extent it is found to be, unlawful or unenforceable shall be stricken without affecting any other provision of the Agreement, so that the Agreement will be deemed to be a valid and binding agreement enforceable in accordance with its terms. f) Each of the parties has had an opportunity to negotiate the terms and conditions expressed herein; therefore, this Agreement will not be construed more strictly against either party as the drafter. We shall be promptly notified of material changes in the Owner's identity or financial arrangements and shall not be obligated to commence or continue work unless adequate assurance of payment is received. 3. An adequate and effective dewatering system, if required to provide a dry, firm, stable and level working grade, must be in place and operational prior to our arrival on site. The system must be satisfactorily maintained so that its performance remains uninterrupted throughout the duration of our work. 4. In the event of significant delay in delivery, or price increase, of material, equipment, or energy occurring prior to the performance of this work, through no fault of Berkel & Company Contractors, Inc., the price and/or time of completion shall be equitably adjusted. A change in price on an item of material, equipment, or energy will be considered significant when the price of an item increases two percent or more between the date of this proposal and the date of installation. 5. This quote is based on access to all pile locations using standard installation procedures and conventional equipment, i.e., crane with 90 feet of boom and 70 feet of pile leads. Adequate working space and ramps have to be provided to allow moving of crane and installation of piles. 6. Pile reinforcing steel detail shows a hook at the top of the bar. Bars configured in this fashion are impossible to install unless one of the three following options is implemented: (a) working grade, i.e., point of auger contact, is at or below the level of the hook (b) bars are provided and installed "straight" and hooks field bent later by others, or hooks connected with mechanical couplings to be installed later, by others. (c) a 180 degree bend or "J" hook is used with the diameter of the bend being equal to or less than the radius of the pile. This proposal is based on at least one of these options being satisfied. INCLUDED IN THE PRICES QUOTED ABOVE 1. Two (2) mobilizations and demobilizations of our personnel and equipment to and from the jobsite. 2. All labor, equipment and grout with an ultimate 28 day compressive strength of 4,000 psi or three times the maximum working stress whichever is less. 3. The removal of freshly placed grout to a maximum depth of four feet below working grade or to pile cut -off elevation, whichever is higher, where ground water table and subsurface soil conditions permit. We will make a concerted effort to reach the proper pile cut off elevation, however should subsurface soil conditions and /or ground water prevent us from so doing we will leave the piles one to two feet high to prevent the top of the pile from becoming contaminated. Any subsequent trimming or building up of piles, removing cans or cleaning rebar, to be performed by others. 4. Supplying and installing 8 No. 6 bars x 23'..0" tied with No 3 spiral ties at 2.5 inches on center in the basement and supplying and installing 8 No. 6 bars x 25' -0" tied with No 3 spiral ties at 2.5 inches on center on the first floor piles. NOT INCLUDED IN THE PRICES QUOTED ABOVE 1. Load test certification, cutting off test and reaction piles, inspection, grout testing, removing cans, or cleaning rebar. 2. Removal, i.e., haul -off, of augered spoil and excess grout from the jobsite. 3. Clean up and stock piling, adjacent to our work, all augered spoil and excess grout; estimated quantity 250 cy. This must be done on a timely basis in our immediate work area and requires the presence of manned backhoe, or equivalent, available exclusively to us on a full time basis for the duration of our work. 4. Sales and use taxes. 5. Performance and payment bond. If required, one will be provided for an additional fee of 1.2 %. TIME OF COMPLETION Our work will be continuous and will be completed in an uninterrupted consecutive sequence requiring only one move of our plant and equipment on and off the site. We plan to utilize one machine working ten hour shifts, five days per week, under merit shop conditions and expect to complete pile installation one week (for each phase) after the start of production drilling. Any modification of the project schedule differing from the bid schedule shall allow us a reasonable time to complete our work in an efficient manner. We shall be entitled to an equitable adjustment in the price of the work, including but not limited to any increased cost of labor, supervision, equipment or materials, plus reasonable overhead and profit, for any change of schedule, acceleration, out of sequence work or delays not caused by us, our sub - subcontractors, their employees or others for whose acts we may be liable. We shall not be required to commence or continue work unless sufficient areas are ready to ensure continuous work. ASSUMPTIONS AND CONDITIONS This proposal is based on the following assumptions and conditions which shall be deemed in and part of any subsequent contract whether incorporated by specific reference or not. AIA Document A401 -1997, Standard Form of Agreement between Contractor and Subcontractor, shall serve as the subsequent contract except as modified herein. In the event of conflict between the contents of this proposal and the contract, the former will govern. 1. The installation of production piles will commence immediately after completion of the pile load testing program. 2. We shall indemnify and hold harmless the Owner and Contractor from and against all claims, damages, losses and expenses arising out of or resulting from the performance of the work provided that such claim, damage, loss or expense is attributable to bodily injury, sickness, disease or death or to injury to or destruction of tangible property (other than the work itself) but only to the extent caused solely by our negligent acts or omissions. Under no circumstances do we accept responsibility for inconsequential or incidental damages. Page 4 AT13 -107 January 16, 2013 3. The unit price for additional footage is limited to a maximum drilled depth of 60 feet. Installation of deeper piles requires a change in equipment and or procedure. Our fee for this will be approved prior to installing the over- length piles. 4. Area will be free from all subsurface, surface and above surface obstructions which might interfere with our work. Working grade and access ramps (1V on 8H steepest) will be dry, firm, stable, level and capable of supporting the efficient movement of our equipment and ready -mix concrete trucks without mats for the duration of our work. Elevation will be no higher than top of pile cap. Excavations for pile caps, grade beams, pits etc. shall not be made prior to our work. 5. We assume no responsibility for and shall be held harmless from any liability for, damage to or interference with subsurface or above surface structures, services and utilities the location of which has not been previously established, and physically shown to us in the field by excavation and/or other means acceptable to us. 6. The auger will be carefully placed at each pile location and plum bness of the leads monitored during the installation process Should an obstruction be encountered which causes the auger to move off location or prevents further penetration, i.e., refusal, the pile will be completed and paid for as a job pile. The engineer will be notified immediately so that remedial measures can be enacted quickly and delays minimized. Additional piles, if required, will be paid for in accordance with the stipulated unit prices. Extra costs, such as redesign or pile cap enlargement, etc. will be the responsibility of others. 7. Water for clean up. Approximately 300 gallons per day under sufficient pressure and within reasonable distance from our work area, will be provided to us at no cost via a 3/4n hose bib or equivalent. 8. All work will be completed in accordance with the plans and specifications, except as modified by this proposal. 9. We assume no responsibility if damage to our piles in place or improper junction between our piles and later construction results from work subsequent to ours, including, but not limited to, cutting off, trimming and leveling tops of piles, cap and grade beam excavation and general filling and grading. 10. Where contaminated and /or hazardous materials are encountered we will be reimbursed for all associated costs including but not limited to delays, special training of personnel, removal procedures, disposition fees, etc. 11. The subsurface soil information and /or geotechnical report is accurate and fully representative of conditions at this site. 12. We shall be entitled to equitable adjustments of our schedule and contract price for: (a) delays, acceleration, out -of- sequence work and schedule changes beyond our control, including but not limited to those caused by labor unrest, or suspension or delays caused by others; and (b)extra work we perform pursuant to your written or verbal instructions. Page 5 AT13 -107 January 16, 2013 PAYMENT Payments shall be made to us thirty (30) days after receipt of invoice. Final payment shall be made no later than thirty (30) days after the completion of our work. Payments due us are not contingent upon your receipt of payment from the Owner. Should any payment be improperly withheld, or not paid in a timely manner, interest at the rate of 18% per annum will accrue on the unpaid balance from its original due date until payment is made. Any attorney's fees or other collection fees that are incurred by us in the collection of this debt also will be subject to reimbursement by you and /or the Owner. We will preserve our lien rights by filing the necessary lien documents within the specified time period in the amount of any balance due at the time our lien rights expire. DISPUTE RESOLUTION We shall endeavor to resolve all claims, disputes, and matters arising out of or relating to this Agreement by mediation as a condition precedent to any other dispute resolution procedure. If any dispute cannot be resolved within sixty (60) days after either party files a request for mediation then either party may submit the dispute for resolution by arbitration in accordance with the Construction Industry Mediation Rules of the American Arbitration Association. BACKCHARGE CLAIMS No backcharge or claim by you for services shall be valid except by an agreement in writing by us before the work is executed, except in the case of our failure to meet any requirement of the Subcontract. In such event, you shall notify us of such default, in writing, and allow us reasonable time to correct any deficiency before incurring an costs chargeable to us. No backcharge shall be valid unless billing is rendered no later than the 15" day of the month following the charge being incurred. Furthermore, any payments withheld under a claim of our default shall be reasonably calculated to cover the anticipated liability and all remaining payment amounts not in dispute shall be promptly paid.
