THIS AGREEMENT, entered into this day of /2 P r . 2012, by and between
AUGUSTA VILLAGE AT RIVERWATCH; LLC, a Delaware limited liability company, and THE
MGHERRING GROUP, INC., a Delaware corporation, hereinafter referred to as the "DEVELOPER ", and
AUGUSTA, GEORGIA, a political subdivision of the State of Georgia, hereinafter referred to as the "AUGUSTA ":

WHEREAS, the DEVELOPER has requested that AUGUSTA accept the water distribution system, as
shown on a set of Water As -Built Drawings, prepared by Southern Partners, Inc., dated October 3, 2011, and
revised November 10, 2011, and as shown by a Deed of Dedication, contemporaneously tendered and recorded in
the office of the Clerk of the Superior Court of Richmond County, Georgia, with this document; and
WHEREAS, said water distribution system is located in the VILLAGE AT RIVERWATCH, hereinafter
referred to as the "DEVELOPMENT ", as shown on a plat of same prepared for The MGHerring Group, by
GeoSurvey, Ltd., dated December 10, 2010, revised September 14, 2011, and October 13, 2011; and
WHEREAS, AUGUSTA has adopted a policy requiring the DEVELOPER to maintain those installations and
systems laid or installed in the DEVELOPMENT, which AUGUSTA does accept by Deed of Dedication, for a period
of eighteen months;
NOW, THEREFORE, in consideration of the premises, the expense previously incurred by the DEVELOPER
and the mutual agreement hereinafter set out, IT IS AGREED that:
(1) AUGUSTA accepts the water distribution system for the DEVELOPMENT, respectively described in
the Deed of Dedication contemporaneously tendered herewith to the Augusta- Richmond County Commission and
that said water distribution system was duly inspected by the Augusta Utilities Department on November 28, 2011,
and said water distribution system did pass such inspection.

(2) The DEVELOPER agrees to maintain all the installations laid or installed in said DEVELOPMENT as
described in said Deed for a period of eighteen months from the date of the acceptance of said Deed of Dedication
by the Augusta- Richmond County Commission.
(3) The DEVELOPER agrees that, if during said eighteen month period there is a failure of the
installations laid or installed in said DEVELOPMENT described in the Deed of Dedication, due to failure or poor
workmanship, the DEVELOPER shall be responsible for adequate maintenance and repair.
(4) In the event of such failure of the improvements, AUGUSTA shall notify the DEVELOPER and set
forth in writing the items in need of repair. The DEVELOPER shall present, within fifteen business days of the date
of said writing, its proposed plan of repair and shall have the repairs completed in a reasonable time, as determined
by AUGUSTA.
(5) If, in the event of an emergency, as determined by AUGUSTA, the DEVELOPER is unable to
respond in a timely manner, AUGUSTA shall be authorized to erect barricades, traffic direction devices and such
other temporary measures as are necessary to remedy the emergency nature of the problem at the DEVELOPER'S
expense and allow the DEVELOPER time to make the needed repairs.
(6) In the event the DEVELOPER fails to comply with the terms of this agreement, then AUGUSTA shall
proceed to have the necessary corrective work done, and the DEVELOPER agrees to be responsible to AUGUSTA
for payment, in full, of the costs of repairing the improvements due to failure of material or poor workmanship as
liquidated damages.
IN WITNESS WHEREOF, the DEVELOPER has hereunto set its hand and seal and AUGUSTA has caused
the execution of this agreement by and through its duly authorized officers and agents, with its seal affixed,
the day and year first above written.

Village at Riverwatch
[Water Distribution System in Alexander Drive (Public) and Comcast Lane (Private)]
WHEREAS, Augusta Village at Riverwatch, LLC, a Delaware Limited Liability Company,
and The MGHerring Group, Inc., a Delaware corporation, hereinafter known as "DEVELOPER ",
own a tract of land in Richmond County, Georgia, known as the Village at Riverwatch, as shown
on a plat of same prepared for The MGHerring Group, by GeoSurvey, Ltd., dated December 10,
2010, revised September 14, 2011, and October 13, 2011, recorded in the Realty Records
section of the Clerk of the Superior Court of Richmond County, Georgia, in Plat Book 7, Pages
191 -194, and in the development of said property, has laid out a water distribution system; and
WHEREAS, it is the desire of DEVELOPER, to deed the water distribution system to
AUGUSTA, GEORGIA, (hereinafter known as "AUGUSTA "), a political subdivision of the state of
Georgia, acting by and through the Augusta- Richmond County Commission, for maintenance
and control; and
WHEREAS, a set of Water As -Built Drawings, of the above stated development,
prepared by Southern Partners, Inc., dated October 3, 2011, and revised November 10, 2011,
said drawings being recorded as an attachment to this document, and to which reference is
hereby made to said drawings for a more complete and accurate description as to the land
herein described; and
WHEREAS, AUGUSTA, by and through the Augusta- Richmond County Commission, has
consented and agreed to accept and maintain said water distribution system; and
NOW, THEREFORE, this indenture made this

DEVELOPER, for and in consideration of the sum of Ten and no /100 ($10.00) Dollars, to it
in hand well and truly paid by AUGUSTA, at and before the sealing and delivery of these
presents, the receipt of which is hereby acknowledged and for the further consideration of the
benefits to its property by the maintenance of said water distribution system, by AUGUSTA, has
and does by these presents, grant, bargain, sell and confirm unto AUGUSTA, its successors and
assigns, the following, to -wit:
A water distribution system, as shown on said Water As -Built drawings,
including all pipelines, fire hydrants, valves, and other apparatus, fixtures and
appliances, which are located in Alexander Drive and Comcast Lane (which is
also noted as "New 70' Access and Utility Easement on the Village at Riverwatch
plat); and
In COMCAST LANE / "New 70' Access and Utility Easement" - a Private Road:
Exclusive 20 foot easement(s) in perpetuity centered over the water distribution
system, as shown on the aforementioned drawings, together with all of the
necessary rights of ingress and egress for the purpose of maintaining, expanding,
repairing, adding, constructing, installing, extending, operating, replacing, laying
and relaying pipelines carrying and transporting Augusta's utilities services.
ALSO, in ALEXANDER DRIVE - a Public Right -of -Way: Exclusive 20 foot
easement(s) in perpetuity centered over the water distribution system,
as shown on the aforementioned drawings, together with all of the necessary
rights of ingress and egress for the purpose of maintaining, expanding,
repairing, adding, constructing, installing, extending, operating, replacing,
laying and relaying pipelines carrying and transporting Augusta's utilities services.
DEVELOPER, having elected to maintain Comcast Lane / "New 70' Access and Utility
Easement" as a private street, covenants that its heirs, legal representatives, and successors
and assigns, shall repair, pave, or replace any private parking lot, road or street, or any portion
thereof, through which AUGUSTA may excavate or perform other work in connection with
repairs, construction, maintenance, or dxtension of its water distribution system, and shall

grant to the AUGUSTA the necessary easement(s) in connection with such construction or
extension.
DEVELOPER does agree that when construction or maintenance is necessary, on any part
of the water distribution system, AUGUSTA may dig such trenches in said property, as may be
necessary for the project; to pile and store thereon the material excavated, and to haul and
store pipe, supplies and equipment connected with the construction and maintenance thereof,
over, along, and across the said property, along with the free right of ingress and egress to and
from said permanent easements for these purposes.
ALL EASEMENTS are granted unto AUGUSTA with the right to stretch communication
lines, or other lines, within the easements, for the use of AUGUSTA, its assigns, representatives,
agents, and designees, upon or under said land, within said easements, with the necessary
cables, wires, apparatus, fixtures and appliances; and with the right to assign said easements in
whole or in part.
DEVELOPER grants AUGUSTA the right, but not the duty, to clear and keep clear, all
trees, undergrowth and other obstructions from said permanent easement, along with the right
of free ingress and egress to and from said permanent easement for this purpose.
DEVELOPER further agrees that no trees or other vegetation that may interfere with the
constructing, laying, relaying, replacing, installing, adding, expanding, extending, operating,
repairing and maintaining of pipelines transporting and carrying utility services shall be planted
on said easement(s) and that no buildings, structures, or other permanent improvements shall
be erected, constructed, or maintained thereon; and, if such prohibited trees, vegetation,
buildings structures, or other permanent structures (hereinafter referred to as "obstructions ")
are placed, built, planted within said permanent easements, such action will be considered a
violation of this agreement and Augusta shall have the absolute right to immediately remove,
or have removed, such obstructions and shall bear no responsibility, or liability, for said
obstruction's value.
TO HAVE AND TO HOLD said water distribution system, together with all and singular,
the rights, members, appurtenances thereof to the same being, belonging, or in anywise
appertaining to the only proper use, benefit and behoof of AUGUSTA, its successors and assigns
forever.
AND DEVELOPER, its heirs, legal representatives, successors and assigns, will warrant
and defend the right and title to the above described property, to AUGUSTA, its successors and
assigns, against all claims of all persons whosoever.

incorporate said street(s) and roadway(s) into its system of streets in Richmond County.
TO HAVE AND TO HOLD the aforesaid rights, ways, easements, privileges and
appurtenances unto the said Party of the Second Part, its successors and assigns, in
perpetuity.

Village at Riverwatch
[Sanitary Sewer System: Gravity, Lift Station and Force Main]
WHEREAS, Augusta Village at Riverwatch, LLC, a Delaware Limited Liability Company,
and The MGHerring Group, Inc., a Delaware corporation, hereinafter known as "DEVELOPER ",
own a tract of land in Richmond County, Georgia, known as the Village at Riverwatch, as shown
on a plat of same prepared for The MGHerring Group, by GeoSurvey, Ltd., dated December 10,
2010, revised September 14,2011, and October 13, 2011, recorded in the Realty Records
section of the Clerk of the Superior Court of Richmond County, Georgia, in Plat Book 7, Pages
191 -194, and in the development of said property, has laid out a sanitary sewer system; and
WHEREAS, it is the desire of DEVELOPER, to deed the sanitary sewer system to
AUGUSTA, GEORGIA, (hereinafter known as "AUGUSTA "), a political subdivision of the state of
Georgia, acting by and through the Augusta- Richmond County Commission, for maintenance
and control; and
WHEREAS, a set of Sanitary Sewer As -Built Drawings, of the above stated development,
prepared by Southern Partners, Inc., dated October 3, 2011, and revised November 10, 2011,
said drawings being recorded as an attachment to this document, and to which reference is
hereby made to said drawings for a more complete and accurate description as to the land
herein described; and
WHEREAS, AUGUSTA, by and through the Augusta- Richmond County Commission, has
consented and agreed to accept and maintain said sanitary sewer system; and

DEVELOPER, for and in consideration of the sum of Ten and no /100 ($10.00) Dollars, to it
in hand well and truly paid by AUGUSTA, at and before the sealing and delivery of these
presents, the receipt of which is hereby acknowledged and for the further consideration of the
benefits to its property by the maintenance of said sanitary sewer system, by AUGUSTA, has
and does by these presents, grant, bargain, sell and confirm unto AUGUSTA, its successors and
assigns, the following, to -wit:
A sanitary sewer system, as shown on said Sanitary Sewer As -Built drawings,
including all pipelines, the lift station, an existing 6" force main, and any other
apparatus, fixtures and appliances needed to operate the system; and
Exclusive easements in perpetuity centered over the sanitary sewer system,
as shown on the Village at Riverwatch plat as "Easement A ", "Easement B ",
"Easement C ", "Easement D ", "Easement E ", "Easement F ", "Easement G ", and
"Easement H ", to which reference is hereby made for more accurate
descriptions; and
An exclusive 20 -foot easement in perpetuity, centered over the gravity sanitary
sewer pipeline, located near the conjunction of Alexander Drive (Public) and
Comcast Lane (Private) as shown on page 2 of the Sanitary Sewer As- Builts, but
is not shown on the Village at Riverwatch plat; and
An exclusive 20 -foot easement in perpetuity, centered over the gravity sanitary
sewer pipeline, where it crosses Comcast Lane (Private); and
Exclusive 20 -foot easements over the "Existing 6" PVC Sanitary Sewer
Force Main ", as shown in the Sanitary Sewer As -Built drawings;
Together with all of the necessary rights of ingress and egress for the
purpose of maintaining, expanding, repairing, adding, constructing, installing,
extending, operating, replacing, laying and relaying pipelines carrying and
transporting Augusta's utilities services.
DEVELOPER, having elected to maintain Comcast Lane / "New 70' Access and Utility
Easement" as a private street, covenants that its heirs, legal representatives, and successors

and assigns, shall repair, pave, or replace any private parking lot, road or street, or any portion
thereof, through which AUGUSTA may excavate or perform other work in connection with
repairs, construction, maintenance, or extension of its sanitary sewer system, and shall grant to
the AUGUSTA the necessary easement(s) in connection with such construction or extension.
DEVELOPER does agree that when construction or maintenance is necessary, on any part
of the sanitary sewer system, AUGUSTA may dig such trenches in said property, as may be
necessary for the project; to pile and store thereon the material excavated, and to haul and
store pipe, supplies and equipment connected with the construction and maintenance thereof,
over, along, and across the said property, along with the free right of ingress and egress to and
from said permanent easements for these purposes.
ALL EASEMENTS are granted unto AUGUSTA with the right to stretch communication
lines, or other lines, within the easements, for the use of AUGUSTA, its assigns, representatives,
agents, and designees, upon or under said land, within said easements, with the necessary
cables, wires, apparatus, fixtures and appliances; and with the right to assign said easements in
whole or in part.
DEVELOPER grants AUGUSTA the right, but not the duty, to clear and keep clear, all
trees, undergrowth and other obstructions from said permanent easement, along with the right
of free ingress and egress to and from said permanent easement for this purpose.
DEVELOPER further agrees that no trees or other vegetation that may interfere with the
constructing, laying, relaying, replacing, installing, adding, expanding, extending, operating,
repairing and maintaining of pipelines transporting and carrying utility services shall be planted
on said easement(s) and that no buildings, structures, or other permanent improvements shall
be erected, constructed, or maintained thereon; and, if such prohibited trees, vegetation,
buildings structures, or other permanent structures (hereinafter referred to as "obstructions ")
are placed, built, planted within said permanent easements, such action will be considered a
violation of this agreement and Augusta shall have the absolute right to immediately remove,
or have removed, such obstructions and shall bear no responsibility, or liability, for said
obstruction's value.
TO HAVE AND TO HOLD said sanitary sewer system, together with all and singular, the
rights, members, appurtenances thereof to the same being, belonging, or in anywise
appertaining to the only proper use, benefit and behoof of AUGUSTA, its successors and assigns
forever.
AND DEVELOPER, its heirs, legal representatives, successors and assigns, will warrant
and defend the right and title to the above described property, to AUGUSTA, its successors and
assigns, against all claims of all persons whosoever.

WHEREAS, Costco Wholesale Corporation, a Washington corporation, hereinafter
known as "COSTCO ", owns a tract of and in Richmond County, Georgia, which is shown as "Lot
One" on a plat of Village at Riverwatch, prepared for The MGHerring Group, by GeoSurvey, Ltd.,
dated December 10, 2010, revised September 14, 2011, and October 13, 2011, recorded in the
Realty Records section of the Clerk of the Superior Court of Richmond County, Georgia, in Plat
Book 7, Pages 191 -194; and
WHEREAS, in the development of the Village at Riverwatch and the COSTCO property, a
sanitary sewer system was constructed, a portion of which is located on the COSTCO property;
and
WHEREAS, it is the desire of COSTCO, to deed that portion of the gravity sanitary sewer
to AUGUSTA, GEORGIA, hereinafter known as "AUGUSTA ", a political subdivision of the state of
Georgia, acting by and through the Augusta- Richmond County Commission, for maintenance

WHEREAS, AUGUSTA, by and through the Augusta- Richmond County Commission, has
consented and agreed to accept and maintain said gravity sanitary sewer; and

the receipt of which is hereby acknowledged and for the further consideration of the benefits
to its property by the maintenance of said gravity sanitary sewer, by AUGUSTA, has and does by
these presents, grant, bargain, sell and confirm unto AUGUSTA, its successors and assigns, the
following, to -wit:
That portion of a gravity sanitary sewer, as shown on a set of Sanitary Sewer As -Built
drawings, prepared by Southern Partners, Inc., dated October 3, 2011, and revised
November 10, 2011, and located on the property of COSTCO.
Also, a 30 foot wide perpetual nonexclusive easement centered over the gravity
sanitary sewer pipeline, and which is shown as "Easement A" on the
aforementioned plat for the Village at Riverwatch, together with all of the
necessary rights of ingress and egress for the purpose of maintaining, expanding,
repairing, adding, constructing, installing, extending, operating, replacing, laying
and relaying pipelines carrying and transporting Augusta's sanitary sewer services.
The easement area is also depicted on the drawing attached hereto as Exhibit A.
As shown on Exhibit A, the surface of the easement area is intended to be improved,
by COSTCO, with paved parking areas, drives and related curbing, along with
landscaping islands. Also, any signage and Tight structures, as depicted on Exhibit A,
so long as they are a minimum of 5 feet from both sides of the centerline of the
sanitary sewer pipeline. Collectively, the "Permitted Improvements ", EXCEPT,
therefore, the two (2) Tight structures that are within the required 5 feet distance
from the pipeline, as shown on Exhibit A, which are not included in the Permitted
Improvements and are considered "Encroachments ". COSTCO does hereby agree to
indemnify and save harmless Augusta, its agents, officers, servants and employees
from any and all lawsuits, actions and /or claims of any character brought because of
any damages to, or destruction of, these two Encroachments, due to Augusta
exercising any of its rights granted herein.

COSTCO does agree that when construction or maintenance is necessary, on any part of
the gravity sanitary sewer pipeline, AUGUSTA may dig such trenches In said property, as may be
necessary for the project; to pile and store thereon the material excavated, and to haul and
store pipe, supplies and equipment connected with the construction and maintenance thereof,
over, along, and across the said property, along with the free right of ingress and egress to and
from said permanent easements for these purposes.
AUGUSTA does agree that it will 1) give reasonable notice to COSTCO of its intention to
enter the said property in the exercise of the rights herein conferred, except in the case of
emergency; 2) limit, as much as is possible during the exercise of maintaining, repairing, or
constructing the pipeline, the closing or blocking of any roads or drive aisles; and 3) restore
disturbed areas, including paved areas and other Permitted Improvements, in a timely manner.
COSTCO grants AUGUSTA the right, but not the duty, to clear and keep clear, all trees,
undergrowth and other obstructions, other than the Permitted Improvements, from the
easement area, along with the right of free ingress and egress to and from the easement area
for this purpose.
COSTCO further agrees that, except for the Permitted Improvements and
Encroachments, from time to time, maintained on the easement area, no trees or other
vegetation that may interfere with the constructing, laying, relaying, replacing, installing,
adding, expanding, extending, operating, repairing and maintaining of pipelines transporting
and carrying utility services shall be planted on the easement area and that no buildings,
structures, or other permanent improvements shall be erected, constructed, or maintained
thereon, except for the Permitted Improvements; and, if such prohibited trees, vegetation,
buildings structures, or other permanent structures (hereinafter referred to as "obstructions ")
are placed, built, planted within the easement area, such action will be considered a violation of
this agreement and Augusta shall have the absolute right to immediately remove, or have
removed, such obstructions and shall bear no responsibility, or liability, for said obstruction's
value.
AUGUSTA hereby grants COSTCO, its successors, assigns and designees, the right to
relocate the easement, herein granted, and the gravity sanitary sewer, at the sole cost and
expense of COSTCO, upon obtaining written approval from AUGUSTA, such approval not to be
unreasonably withheld, conditioned, or delayed. Upon the completion of the relocation,
COSTCO agrees to dedicate the new easement and pipelines to AUGUSTA, and AUGUSTA agrees
to abandon to COSTCO any portion of the easement herein granted from which the pipeline has
been relocated.
TO HAVE AND TO HOLD said gravity sanitary sewerage system, together with all and
singular, the rights, members, appurtenances thereof to the same being, belonging, or in

AUGUSTA VILLAGE AT RIVERWATCH; LLC, a Delaware limited liability company, and THE
MGHERRING GROUP, INC., a Delaware corporation, hereinafter referred to as the "DEVELOPER ", and
AUGUSTA, GEORGIA, a political subdivision of the State of Georgia, hereinafter referred to as the "AUGUSTA ":

WHEREAS, the DEVELOPER has requested that AUGUSTA accept the sanitary sewer system, as shown
on a set of Sanitary Sewer As -Built Drawings, prepared by Southern Partners, Inc., dated October 3, 2011, and
revised November 10, 2011, and as shown by Deeds of Dedication, contemporaneously tendered and recorded in
the office of the Clerk of the Superior Court of Richmond County, Georgia, with this document; and
WHEREAS, said sanitary sewer system is located in the VILLAGE AT RIVERWATCH, on property of both
Augusta Village at Riverwatch, LLC and Costco Wholesale Corporation, and is hereinafter referred to as the
"DEVELOPMENT ", as shown on a plat of same prepared for The MGHerring Group, by GeoSurvey, Ltd., dated
December 10, 2010, revised September 14, 2011, and October 13, 2011, recorded in the Realty Records of the
Office of the Clerk of Superior Court of Richmond County, Georgia, in Plat Book 7, Pages 191 -194; and
WHEREAS, AUGUSTA has adopted a policy requiring the DEVELOPER to maintain those installations and
systems laid or installed in the DEVELOPMENT, which AUGUSTA does accept by Deed of Dedication, for a period
of eighteen months;
NOW, THEREFORE, in consideration of the premises, the expense previously incurred by the DEVELOPER
and the mutual agreement hereinafter set out, IT IS AGREED that:
(1) AUGUSTA accepts the sanitary sewer system for the DEVELOPMENT, respectively described in the
Deed of Dedication from Costco Wholesale Corporation and the Deed of Dedication from DEVELOPER,
contemporaneously tendered herewith to the Augusta- Richmond County Commission, and that said sanitary sewer
system was duly inspected by the Augusta Utilities Department on November 28, 2011, and said sanitary sewer
system did pass such inspection.

(2) The DEVELOPER agrees to maintain all the installations laid or installed in said DEVELOPMENT as
described in said Deeds of Dedication for a period of eighteen months from the date of the acceptance of said Deed
of Dedication by the Augusta- Richmond County Commission.
(3) The DEVELOPER agrees that, if during said eighteen month period there is a failure of the
installations laid or installed in said DEVELOPMENT described in the Deeds of Dedication, due to failure or poor
workmanship, the DEVELOPER shall be responsible for adequate maintenance and repair.
(4) In the event of such failure of the improvements, AUGUSTA shall notify the DEVELOPER and set
forth in writing the items in need of repair. The DEVELOPER shall present, within fifteen business days of the date
of said writing, its proposed plan of repair and shall have the repairs completed in a reasonable time, as determined
by AUGUSTA.
(5) If, in the event of an emergency, as determined by AUGUSTA, the DEVELOPER is unable to
respond in a timely manner, AUGUSTA shall be authorized to erect barricades, traffic direction devices and such
other temporary measures as are necessary to remedy the emergency nature of the problem at the DEVELOPER'S
expense and allow the DEVELOPER time to make the needed repairs.
(6) In the event the DEVELOPER fails to comply with the terms of this agreement, then AUGUSTA shall
proceed to have the necessary corrective work done, and the DEVELOPER agrees to be responsible to AUGUSTA
for payment, in full, of the costs of repairing the 'improvements due to failure of material or poor workmanship as
liquidated damages.
IN WITNESS WHEREOF, the DEVELOPER has hereunto set its hand and seal and AUGUSTA has caused
the execution of this agreement by and through its duly authorized officers and agents, with its seal affixed,
the day and year first above written.
