EMPLOYEE ASSISTANCE PROGRAM
THIS AGREEMENT made the 1st day of May 2012 between CONCERN: Employee
Assistance Program, 2610 -B Commons Blvd., Augusta, Georgia 30909, (hereinafter referred to
as "CONCERN "), and AUGUSTA, GEORGIA, (hereinafter referred to as "AUGUSTA ").
WHEREAS, CONCERN provides assistance to business and governmental organizations
located in its geographic service area in connection with the design, implementation, and
maintenance of Employee Assistance Programs for employees of such businesses and
organizations.
WITNESSES that for and in consideration of mutual promises herein attached; it is understood
and agreed as follows:
1. The CONCERN: Employee Assistance Program will consist of:
• Counseling services for employees and their immediate family members provided
at Employee Assistance Program offices, 2610 -B Commons Blvd., Augusta, GA
Monday — Friday, 8:30 a.m. — 5:00 p.m.
• Included in this model are a maximum of five (5) visits per employee, or eligible
family member, per year for the purpose of assessment, referral, crisis
intervention or short term problem focused counseling.
• Supervisory training will be provided at mutually agreeable times and locations.
• Telephone and /or on -site consultations with management and supervisors are
included, also mental /nervous and alcohol and drug assessment and referral to
appropriate network providers or community resources.
• Assistance with promotion of the program through an internal promotional
campaign consisting of posters, flyers, or payroll stuffers.
• Demographic and utilization reports are provided upon request.
• Additional services are available at varying rates.
2. CONCERN agrees to maintain malpractice liability insurance ($1,000,000 / $3,000,000).
3. The rate will be fifteen dollars ($15) per employee per year, based on the number of
employees as of May 1, 2012 (2,200 employees) to be paid in monthly installments. The
cost in subsequent years will be based on the total number of employees employed as of
May 1, 2012 as verified with the Augusta, Georgia Human Resources Department.
4. The term of this Agreement shall commence on the effective date first stated above and
shall continue for a period of three (3) years, unless otherwise terminated as set forth
below. Unless terminated in accordance with this Section, this Agreement shall renew
automatically for two successive annual terms.
5. Augusta, Georgia's obligation under this Agreement is contingent upon the availability of
appropriated funds from which payment for contract purposes can be made. No legal
liability on the part of Augusta, Georgia for any payment may arise until funds are made
available to the Contracting Officer for this contract and until the CONCERN receives
notice of such availability, to be confirmed in writing by the Contracting Officer.
6. This Agreement may be terminated, by either party, upon sixty (60) days written notice to
the other party. CONCERN shall be paid for any services rendered under this Agreement
up to the time of termination.
7. This Agreement, including all Exhibits, constitutes the entire agreement of the Parties
regarding the subject matter of the Agreement and supersedes all previous agreements,
proposals, and understandings, whether written or oral, relating to this subject matter.
This Agreement may be amended or modified only by a written instrument signed by
authorized representatives of both Parties.
8. Georgia Open Records Act. CONCERN acknowledges that this Agreement and certain
documentation may be subject to the Georgia Open Records Act (O.C.G.A. § 50- 18 -70,
et seq.). CONCERN shall cooperate fully in responding to such requests and shall make
all records, not exempt, available for inspection and copying as required by law.
9. Georgia E- Verify Requirements. All contractors and subcontractors entering into
contracts with Augusta, Georgia for the physical performance of services shall be
required to execute an Affidavit verifying its compliance with O.C.G.A. § 13- 10 -91,
stating affirmatively that the individual, firm, or corporation which is contracting with
Augusta, Georgia has registered with and is participating in a federal work authorization
program. CONCERN agrees to provide their E- Verify number and to be in compliance
with the electronic verification of work authorized programs operated by the United
States Department of Homeland Security or any equivalent federal work authorization
program operated by the United States Department of Homeland Security to verify
information of newly hired employees, pursuant to the Immigration Reform and Control
Act of 1986 (IRCA), P.L. 99 -603, in accordance with the applicability provisions and
deadlines established in O.C.G.A. § 13 -10 -91 and shall continue to use the federal
authorization program throughout the contract term. Additionally, CONCERN agrees
that, should it employ or contract with any subcontractor(s) in connection with the
physical performance of services pursuant to its contract with Augusta, Georgia
CONCERN will secure from such subcontractor(s) each subcontractor's E- Verify number
as evidence of verification of compliance with O.C.G.A. § 13 -10 -91 on the subcontractor
affidavit provided in Rule 300- 10- 01 -.08 or a substantially similar form. CONCERN
agrees to maintain records of such compliance and provide a copy of each such
verification to Augusta, Georgia at the time the subcontractor(s) is retained to perform
such physical services.
10. The laws of the State of Georgia shall govern this Agreement between CONCERN and
Augusta, Georgia with regard to its interpretation and performance, and any other claims
related to this Agreement. All claims, disputes and other matters in question between
CONCERN and Augusta, Georgia arising out of or relating to this Agreement, or the
breach thereof, shall be decided in the Superior Court of Richmond County, Georgia.
CONCERN, by executing this Agreement, specifically consents to jurisdiction and venue
in Richmond County and waives any right to contest the jurisdiction and venue in the
Superior Court of Richmond County, Georgia.
