SECTION 1. PURPOSE OF AMENDMENT No. 3
The purpose of Amendment No. 3 (the "Amendment ") is to update and revise the scope
of work, schedule and budget of the Project elements in reference to the "Cooperative
Agreement" entered into between the U.S. Department of Transportation, Federal
Highway Administration (the "Government "), and the City of Augusta, Georgia (the
"Grantee" or "Recipient ") on March 2, 2011. This amendment is also intended to and
does obligate the remainder of the TIGER II award funding available to the Grantee. The
Cooperative Agreement is being amended as the Georgia Department of Transportation
(GDOT) is currently ready to move forward on the 15th Street segment and, due to this
fact, the Grantee's efforts are no longer needed as was envisioned in the original
Cooperative Agreement.
SECTION 2. AMENDED SECTION II OF THE COOPERATIVE AGREEMENT
a) Section II of the Grant Agreement, Subsection A. Obligated Funding, is hereby
amended and restated in respective sections to read as follows:

A. Obligated Funding
The total not to exceed amount of Federal funding that may be provided under this
Cooperative Agreement is Nine Hundred Eight Thousand Three Hundred and Seven
Dollars ($908,307.00) for the entire period of performance This is the maximum
obligation of the Government payable under this award and shall be subject to all the
terms and conditions of this Cooperative Agreement.
The Government's liability to make payments to the Recipient is limited to those funds
obligated under this Agreement, subject to any conditions specified in this agreement, as
indicated above and in any subsequent amendments.
Currently, Federal funds, in the amount of Three Hundred Seventy -Three Thousand
Three Hundred and Seven Dollars, ($373,307.00) are already obligated under the terms
of the original Cooperative Agreement. Subject to availability of funds and execution of
this Amendment to the Cooperative Agreement, to be signed by the Agreement Officer
(AO), the Government will obligate the remainder of the TIGER II award, Five Hundred
Thirty-Five Thousand Dollars ($535,000.00), to raise the total value of the grant to Nine
Hundred Eight Thousand Three Hundred Seven Dollars ($908,307.00). This is to make
available to the Grantee all of the necessary funds for the full completion of the two
Tasks, Task No. 1 and Task No. 2, as is described and delineated in the Amended Project
Scope of Work (Amended Attachment A). Therefore, the additional sum obligated under
this Amendment, is Five Hundred Thirty-Five Thousand Dollars ($535,000.00). The
Government's liability to make payments to the Recipient is limited to those funds
obligated under the Cooperative Agreement and under this Amendment to the
Cooperative Agreement, as indicated above.
As delineated in the Project Scope of Work (Attachment A), work on the revised project
scope, of the multimodal transportation corridor, will now involve two tasks:
Task 1 and Task 2 — Summary of Scope of Work Revisions:
Task No. 1 is to work with the Georgia Department of Transportation (GDOT) to include
context sensitive design features, in the form of landscape and hardscape elements, within
the proposed right -of -way of the State Route 4115 Street road widening project located
within the City of Augusta, Georgia.
Task No. 2 is to develop concept level design plans for the section of Deans Bridge Road
(State Route 4) between Milledgeville Road and Gordon Highway (State Route 10, US
78, US 278) located within the City of Augusta, Georgia.
Under the original Cooperative Agreement the grant consisted of an initial obligation
amount of Three Hundred Seventy -Three Thousand Three Hundred Seven Dollars,
($373,307.00) for costs associated with the Base Phase elements. The remainder of the
grants funds were to be obligated in the Option Phase — Phase 2. The two Phases will
now be replaced by the Tasks as defined in this Amendment as Task No. 1 and Task No.
2. By execution of this Amendment, Amendment No. 1, to the Cooperative Agreement,
as signed by the AO, the remaining balance of the maximum obligation amount listed in

part (a) of this section — Five Hundred Thirty-Five Thousand Dollars ($535,000.00) —
will be obligated for the work necessary to fully complete the two tasks as is described
and delineated in the Amended Attachment A.

AMENDED ATTACHMENT A - PROJECT SCOPE OF WORK AND
SCHEDULE
Introduction and Overview of Change in Scope of Work:
The Augusta Sustainable Development Implementation Program consists of four
interrelated planning initiatives designed to implement sustainable development in the
city. One of these initiatives, and the focus of this Cooperative Agreement, is to develop a
plan and implementation program for a multimodal transportation corridor within the
identified project target area. The multimodal plan will incorporate private and public
input throughout the implementation process to ensure benefit to the community as a
whole. The core thesis of this combined planning effort is to build on Augusta's existing
attributes: natural, historic, cultural and human; focus both public and private
development into denser and more pedestrian oriented neighborhoods and centers;
provide better access to jobs, goods and services; expand green space; and connect this
new investment into the fabric of the existing environment.
In the original Scope of Work the Cooperative Agreement set out two separate phases of
work. The first phase, Base Phase or Phase 1, related to work to be done by Grantee in
regards to the 15 Street segment. However, as GDOT is currently ready to proceed with
work on the 15th Street segment and, due to this fact, the Grantee's planning efforts are
no longer necessary as was envisioned in the original Cooperative Agreement. Therefore,
the parties have recognized the need to amend the Cooperative Agreement.
As proposed in the Grantee City of Augusta's Grant Application, the goal of Initiative #2
was to develop a detailed plan and implementation program for a multi -modal
transportation corridor running through the Priority Development District. More
specifically, the initiative would involve a complete redesign of the State Route 4 /15th
Street widening project to accommodate all users, incorporate context sensitive design
features and, most significantly, add a dedicated transit way /greenway to the project
footprint. The Grantee would be responsible for working with GDOT in all major
preconstruction activities of the project, including concept design, preliminary
engineering, development of alignment and section plans, incorporating green
infrastructure and context sensitive design features, environmental clearance, revising
right -of -way plans and cost estimating. The design recommendations would tie the
project area to other focus areas along the 15th Street corridor.

This amendment of the Project's Scope of Work replaces the Phase 1 (Base Phase) and
Phase 2 (Option Phase) with work elements divided into two tasks, Task No. 1 and Task
No. 2. The revisions are intended to amend the Grantee's work regarding the in the
preconstruction activities on the 15 Street widening project. Grantee's efforts will now
be shifted to working with GDOT to include context sensitive design features, in the form
of landscape and hardscape elements, within other right -of -way areas identified by
GDOT. This amendment will allow GDOT to begin actual construction related activities
on other portions of the Project.
In order to compensate for the reduction in the Grantee's participation with GDOT in the
road widening project, and in keeping with the original goal of the multimodal
transportation initiative, the Grantee will now be tasked to develop concept level design
plans for the section of Deans Bridge Road (State Route 4) between Milledgeville Road
and Gordon Highway (State Route 10, US 78, US 278). This 3/4 - mile section of Deans
Bridge Road bisects the southern end of the Priority Development District and includes
two travel lanes in each direction, a flush - median left turn lane and curb, gutter and
sidewalks. The consultant's work and deliverables will adhere to GDOT's Plan
Development Process (PDP) for concept level plans, reflect the design envisioned for the
corridor and coordinate with the final plans for the 15th Street widening project.
Revised General Project Description
In Augusta, Georgia a blighted 4.5 -mile urban corridor is the key link between
neighborhoods on the south side of the city and key employment centers in the midtown
and downtown areas. The objective of the Augusta Sustainable Development
Implementation Program is to develop mixed -use, multimodal transit- oriented nodes
along this corridor, thereby facilitating more sustainable development and redevelopment
in the residential and commercial areas adjoining the corridor. The corridor includes parts
of 15 Street, Martin Luther King, Jr. Blvd., Milledgeville Road and Deans Bridge Road.
The revised Scope of Work for the multimodal transportation corridor involves two tasks:
Task No. 1 is to work with GDOT to include context sensitive design features, in the
form of landscape and hardscape elements, within the proposed right -of -way of the State
Route 4 /15 Street road widening project, a project currently being designed in -house by
GDOT.
Task No. 2 is to develop concept level design plans for the section of Deans Bridge Road
(State Route 4) between Milledgeville Road and Gordon Highway (State Route 10, US
78, US 278).
Together these two tasks will build on master planning studies completed in 2009 and
2010 and provide and shape them into a clear, integrated picture. Completion of both
tasks will facilitate development of a multimodal transportation corridor that
accommodates pedestrians, bicyclists, public transit riders and, possibly, electric vehicles.
These improvements will help weave new development into the fabric of existing
neighborhoods located throughout the corridor.

These tasks will include public comments, stakeholder committees and other forms of
outreach communication to foster public and private development into denser and more
pedestrian- oriented neighborhoods and job centers that would provide employment
opportunities, goods and services, and expand green space throughout the corridor.
The Grantee, the City of Augusta, will engage a consultant to complete the tasks for the
multimodal transportation corridor, as well as the other initiatives related to the Augusta
Sustainable Development Implementation Program. The Grantee, working through its
consultant, will also be responsible for developing a public /stakeholder involvement plan
for the project. The Augusta Planning and Development Department will be responsible
for overall project management and monitoring the work of the consultant. Other city
departments of the Grantee to be involved will include Engineering, Public Transit,
Housing and Community Development, Finance and Procurement. The responsibility for
the overall program rests with the Augusta Commission, facilitated by the Augusta
Administrator's Office.
GDOT has a significant supporting role to play in the overall project. GDOT has been,
and will continue to be the lead agency for all of the preconstruction phase activities on
the State Route 4 /15th Street road widening project (e.g. design, engineering,
environmental clearance, right -of -way plans, etc.). As more fully described below, the
Grantee, through its project consultant, will work with GDOT personnel to incorporate
landscape and hardscape elements into the final design for the road widening project.
GDOT will be responsible for assuring compliance with applicable standards for such
elements. GDOT to will also be involved in reviewing the work and deliverables
completed by the Grantee, through its consultant, on the concept plan for the Deans
Bridge Road section of the corridor.
Revised Scope of Work into Task Based Elements:
A. TASK No. 1
Include Context Sensitive Design Features in Road Widening Project
In Task No. 1 the Grantee will work with GDOT to develop and include context sensitive
design features, in the form of landscape and hardscape elements, within the proposed
right -of -way of the State Route 4 /15th Street road widening project, a project currently
being designed in -house by GDOT. The role of the Grantee, again acting through its
consultant, will be to work with GDOT to identify the potential locations for, and design
of, landscape and hardscape features for inclusion in the project. The desired outcome of
this task is a transportation improvement project that accommodates all uses (vehicles,
pedestrians, bicycles and public transit) and includes sufficient amenities so that
multimodal nodes are developed at key intersections along the corridor. Possible
landscape and hardscape improvements include planted medians and edges, decorative
lighting, benches and trash receptacles. In collaborating with GDOT, the Grantee will
also explore opportunities for incorporating green infrastructure into the design and
construction plans for the road widening project.

The State Route 4 /15th Street project (PI #220680) is in the Augusta Regional
Transportation Study (ARTS) Transportation Improvement Program and the Georgia
State Transportation Improvement Program. As currently designed by GDOT, the project
involves road widening and related improvements on 15th Street and Martin Luther King,
Jr. Blvd., from Government Street to Milledgeville Road. The current concept includes
two (2) travel lanes in each direction separated by a raised median with left turn lanes at
median openings. Pedestrian components would include a combination of 5 -foot wide
sidewalks and 8 -foot wide shared use paths. As of February 2012, preliminary plans for
the project are 80% complete, the draft environmental document has been submitted to
FHWA and a subcontract has been signed for street light design and engineering.
Environmental approval is expected in August 2013, with ROW acquisition to begin
shortly thereafter. Construction is currently programmed for FY 2017.
GDOT is managing all of the pre - construction activities for the State Route 4 /15th Street
widening project. In doing so, GDOT is following the Plan Development Process
employed for design and approval of all federally- assisted transportation projects. This
includes all of the steps included in concept development, the preliminary plan
development process and the final plan development process. GDOT is designing the
project in- house, but has subcontracted for the development of the NEPA document and
streetlight design and engineering.
To ensure public opinion is included in the project, the Grantee will develop and
implement a public /stakeholder involvement plan in concert with a project management
team and a Project steering committee. The Project's public involvement plan will be
coordinated with GDOT's public involvement plan for the road widening project, so as
not to confuse stakeholders and the general public. This matter will be discussed in
further detail below under section, Administration, Communications, and Outreach.
Task No. 1- Deliverables
Include Context Sensitive Design Features in Road Widening Project
Deliverables for Task No. 1 include the following:
• Selection of a Project consultant in June 2012.
• Findings Report detailing existing conditions, issues and constraints regarding the
addition of landscape and hardscape elements to the State Route 4 /15th Street
road widening project in September 2012. The Report would also document
collaboration with GDOT on revisions to the plans for the State Route 4 /15th
Street road widening project
• Draft revisions to the plans for the State Route 4 /15th Street road widening
project that incorporate additional landscape and hardscape elements in

Task No. I - Administration, Communications, and Outreach

Administration, Communications and Outreach will involve overall administration of the
grant project, coordinating work on the various components, and communications and
outreach to stakeholders and the community at large throughout the duration of the
review, agencies such as GDOT, Board of Education, Housing Authority, along with
local churches, community groups, and others input on the proposed plans.
Outreach efforts will ensure information is disseminated throughout the process to
discuss both concurrences and differences of thought regarding the proposed project.
Committees will be established and be comprised of multi- sector stakeholders. The
committees will ensure a seamless communication structure for all. The committees will
be comprised of multi- sector government officials, stakeholders, such as, residents,
workers, business owners, property owners, environmental advocates, nonprofits, city
agencies and elected officials that are experienced in communicating information to the
community at large.
Incorporating all the aforementioned counterparts will ensure that the plan adopted by the
Recipient will ensure and address the livability principles of the community Private and
public comments will further enhance the objective of ensuring the targeted area become
a multi - modal, mixed - income, and mixed -used area for all stakeholders.
Communications and outreach will be overseen by the City of Augusta Mayor's office in
coordination with the Administrator's Office. A public kick -off meeting focusing on
partnership collaboration will be conducted. Afterward, ongoing meetings will be held
with churches, potential developers, and property owner for input, review and comment,
negotiation and finalization of the proposed plan. These meetings will continue until
January 2014.
Ongoing public education regarding the status of the project will begin with a kickoff
session about the project. The established committees will meet a regularly scheduled
assembled of various stakeholders will ensure a seamless communication structure for all.
Committees will record the concerns of the community at large, and report the findings
so that such matters can be discussed and addressed. An interactive online
communication system will be implemented to create a communication structure.
Ongoing outreach communiques will be conducted until the completion of the project in
January 2014. Each committee will meet on a regular semi - monthly basis. Joint quarterly
sessions have been established for communication purposes. An online communication
structure will also be created to enable constant updating and sharing of information. An
internet accessible site will allow documents to be distributed to the community
B. TASK No. 2
Develop Concept Design for Deans Bridle Road (State Route 4)

Task No. 2 is to develop concept level design plans for the section of Deans Bridge Road
(State Route 4) between Milledgeville Road and Gordon Highway (State Route 10, US
78, US 278). Completion of the concept plans will adhere to the steps in GDOT's Plan
Development Process. The concept plans will reflect the corridor design envisioned by
the Augusta Sustainable Development Agenda and be coordinated with plans for the 15th
Street widening project and the separate 15th Street Pedestrian Improvement project.
In undertaking this task, Grantee, through its consultant, will be responsible for
completing all of the requirements outlined in GDOT's concept development process for
transportation projects. This includes, but is not limited, the following activities:
• Identify and develop a need and purpose for the Project
• Identify a project footprint and logical termini
• Complete traffic and operational studies and accident analysis
• Analysis of the benefit -to -cost ratio
• Complete environmental screening for the Project
• Identify social and economic impacts
• Identify possible permit requirements
• Identify utility considerations
• Determination of project deficiencies
• Study of alternative project designs
• Estimate of right -of -way and construction costs
• Holding coordination meetings with GDOT and FHWA representatives
The end result of this task, and primary deliverable, is a Final Concept Report for a
transportation project enhancing the section of Deans Bridge Road (State Route 4)
between Milledgeville Road and Gordon Highway (State Route 10, US 78, US 278). The
concept report would follow the GDOT approved format.

Task No. 2 - Administration, Communications, and Outreach
Outreach efforts will be overseen by the City of Augusta Mayor's office in coordination
with the Administrator's Office. These outreach efforts will ensure public and private
comments on the proposed concept for the identified roadway. Various community
organizations, stakeholder groups, and civic leaders will be involved in disseminating
information about the project and providing feedback on the concept plan.
Ongoing outreach communiques will be conducted until the completion of the project in
January 2014. The Project's subcommittees will meet on a regular basis and jointly on a
quarterly basis. A website will be used to provide project updates and to facilitate the
sharing of information.
Ongoing Meetings will be held with property owners, business owners, residents and
other community stakeholders to obtain input on the layout, design and potential impacts
of the project. The Grantee will continue to work with stakeholders to complete the
concept plan.

There are three (3) identical counterparts of this Amendment No. 3 in typewritten hard copy; each counterpart is
to be fully signed in writing by the parties and each counterpart is deemed to be an original having identical
legal effect. When signed and dated by the authorized official of the Government, this instrument will
constitute a formal amendment to the Cooperative Agreement. Except as modified, changed, and supplemented
by this Amendment No. 3, all terms of the original Cooperative Agreement shall continue in full force and
effect. Upon final execution of this Amendment by the Grantee, the effective date will be the date the
Government executes this Amendment as set forth below.
