oaths, the undersigned P. Mike Clanton ( "Deponent "), who after being duly sworn, deposed and said on oath
the following:
1. That Deponent is a Vice President of GEORGIA POWER COMPANY, a corporation
existing under the laws of the State of Georgia (the "Corporation "), and that, as such Vice President,
Deponent is authorized to execute this Affidavit in a representative capacity on behalf of the Corporation,
and has knowledge of the facts contained herein.
2. That, to the best of Deponent's knowledge and without independent investigation, no
improvements or repairs have been made at the instance of the Corporation on the real property containing
1,970 square feet, more or less, together with a temporary construction easement, less and except the
Reserved Rights, (the "Property ") all as described in the Quitclaim Deed from the Corporation to the City of
Augusta, Georgia ( "City "), dated on or about even date herewith, during the one hundred twenty (120) days
immediately preceding the date hereof, or if any such improvements or repairs have been made, that there
are no outstanding bills incurred for labor or materials used in making said improvements or repairs or for
the services of architects, surveyors or engineers incurred in connection therewith.
3. That the Corporation is not a foreign corporation, foreign partnership, foreign trust or
foreign estate (as those terms are defined in the Internal Revenue Code and Income Tax Regulations); that
the Corporation is not a disregarded entity as defined in Section 1.1445- 2(b)(2)(iii) of the Code; that the
Corporation's U. S. Employer Identification Number is 58- 0257110; that the address of the Corporation is
241 Ralph McGill Boulevard, Atlanta, Georgia 30308 -3374; and that Deponent understands that this
certification may be disclosed to the Internal Revenue Service and that any false statement contained herein
may be punishable by fine or imprisonment or both. Under penalty of perjury, Deponent declares that he
has examined the certification in this paragraph and, to the best of his knowledge and belief, such
certification is true, correct and complete.
4. That, to the best of Deponent's knowledge and without independent investigation, the
Corporation has not received written notice of any pending suits, judgments, bankruptcies, liens or
executions that affect the title to, or use or possession of, the Property.
5. That this Affidavit is made for the purposes of inducing the City to accept a quitclaim of the
Property from the Corporation.

CLANTON, known personally to me, who, being duly sworn and on oath, deposed and said, to the best of
his knowledge and belief, the within and foregoing statements are true and correct this 15 day of March
2012.
