1. Seller shall be responsible for paying to the applicable authority
prior to delinquency the ad valorem taxes for the Property for 2012.
Purchaser shall be responsible for paying the ad valorem taxes for
the Property for years subsequent to 2012. Purchaser shall be
responsible for paying any Georgia Real Estate Transfer Tax in
connection with the conveyance of the Property and Easement, and
shall pay all recording fees.
2. Seller agrees to indemnify and hold Purchaser, its successors and
assigns, harmless from and against any and all claims of real estate
agency or brokerage fees in connection with this transaction, which
are made by any broker or agent claiming by, through or under
Seller. Purchaser agrees to indemnify and hold Seller, its heirs,
successors and assigns, harmless from and against any and all claims
of real estate agency or brokerage fees in connection with this
transaction, which are made by any broker or agent claiming by,
through or under Purchaser.
3. Purchaser and Seller have this date checked, reviewed and approved
the figures appearing on this Settlement Statement, and each
acknowledge receipt of a copy of same. This Settlement Statement
may be executed in multiple counterparts, each of which shall
constitute an original, but all of which taken together shall

constitute one and the same agreement. The executed signature pages
of any counterpart hereof may be appended or attached to any other
counterpart hereof, and, provided that all parties hereto shall have
executed a counterpart hereof, this Settlement Statement shall be
valid and binding upon the parties notwithstanding the fact that the
execution of all parties may not be reflected upon any one single
counterpart. The undersigned parties hereby affirm that this
Settlement Statement is a complete, true and correct account of the
terms of the sale and purchase consummated on this date.

Statement as of the date first set forth above.
