The Authority, a public corporation existing under Chapter 62 of Title 36 of the . Official Code of Georgia Annotated, entitled the "Development Authorities Law," as amended (the "Act"), proposes to issue its $8,950,000 maximum principal amount tax-exempt obligation (the "Obligation"), to be issued for the purpose of ftnancing for the beneft of Goodwill [ndustries of Middle Georgia, Inc,, a Georgia nonprofit corporation (the "Borrower") and/or its successors and assigns, for the following purposes: (i) to refinance the qualifying portion of the Authority's Revenue Bond, dated October 9, 2004, previously issued in the original principal amount of $4,7]5,600 for the benefit of Borrower, said revenue bond being currently held by Regions Equipment Finance Corporation and ariginally incurred to finance the acquisition, rehabilitation and reconfiguration of up tp 8.77 acres located at 3133-3137 Washington Road, Augusta, Georgia 30907-3835 (the "Project Site") for use as a goodwill donation drop off, retail and training facility; (ii) to finance construction of a new 22,000 approximate square foot restaurant, conference center and training kitchen located at or adjacent to the Project Site; (iii) to i finance the construction/renovation of an approximate 4,44] square foot Helms Career Institute and Academic Achievement Center at or adjacent to the Project 5ite which will offer fully accredited post-secondary vocational college training providing a range of entry-to middle-level job skill training in career fields including culinary arts, aulomotive technology, residential construction, commercial custodial and healthcare; and (iv) to pay the costs of issuance, (collectively, the "Project"). The Project will be owned and used by Borrower for use for the foregoing purposes at the foregoing location and for amounts payable by Borrower at such times and in such amounts as shatl be sufficient to provide for the due and punctual payment of the Obligation. 4. Pursuant to the terms of the Financing Agreement by and among the Authority, Borrower, and Regions Capital AdvantAge, I.nc. which memorializes the loan for the Project, the Issuer has represented and agreed therein that the Obligation cannat and will not create an obligation (whether direct, indirect, or contingent), or result in the exemption or abatement (in whole or in part), of any tax of the County of Richmond, Georgia, or the State of Georgia. 5. A public hearing concerning the proposed issuance of the Obligation to 6nance the Project was held at a public meeting of the governing body of the �uthority in the Conference Room at the Office of the Development Authority of Richmond County located at Suite 560 Historic Enterprise Mill, 1450 Greene Street, Augusta, Georgia, at 10:00 am on Thursday, January 9, 20I2. 6. Solely for purposes of Section 147(� of the lnternal Revenue Code of 1986, as amended, the undersigned, in his capacity as the chief elected official of Richmond County, Georgia, does hereby consent to the acquisition and financing of the Project by the Authority and to the location and nature of the Project, and daes hereby approve the issuance of the Obligation to finance the Aroject, all in accordance with the foregoing proposa(s ofthe Authority.
