IIIII I!I!I !!!I lIII 2012012035 Augusta - Richmond County After recording, retum to Augusta Utilities Department Atm: Land Acquisition 360 Bay Street, Suite 180 Augusta, GA 30901 (706) 312 4143 STATE OF GEORGIA COUNTY OF RICHMOND INDEMNITY AND ENCROACHMENT AGREEMENT This Indemnity and Encroachment Agreement entered into this � day of ���y 2012, by NHEP, LLC, c!o 2701 Partners, LLC, a limited liability company rganized and existing under the laws of the State of Georgia (hereinafter called the "Applicant") in favor of Augusta, Georgia, a political subdivision of the State of Georgia, acting by and throuqh the Augusta-Richmand County Commission, its employees,�representatives, agents and assigns (hereinafter "Augusta"); WITNESSETH: Eor and in consideration of Augusta's grant of permission for the allowing applicant to construct a concrete patio, approximately 4-inches in thickness, as shown on Exhibit "A[', across the easements of, and across the pipelines of, its gravity sanitary sewer and water main, as shown on Exhibit "B", (hereinafter called the "encroachment"). Said sanitary sewer and water main do cross Applicant's property, presently known as "National Hills Shopping Center", and are situated within a 20-foot easement centered over the sanitary sewer and a 15-foot easement centered over the water main. The Applicant shall and does agree to indemnify and save harmless Augusta, its agents, officers, servants and employees from any and all lawsuits, actions or claims of any character brought because of any injuries or damage received or sustained by any person, persons or property arising out of the construction and/or maintenance of the encroachment located as described herein. The Applicant shall and does agree that it realizes said encroachment is being built over a sanitary sewer pipeline, and that such pipelines may, from time to time, emit odors, and Applicant does hereby agree to indemnify and save harmless Augusta, its agents, officers, servants and employees from any and all lawsuits, actions or claims of any character brought because of any injuries or damage receiveci or sustaineci by any person, persons or property arising out of the emission of such odors. The Applicant shall and hereby agrees to maintain the encroachment in good repair at the Applicant's sole expense and shall and does hereby release Augusta from any claims arising out of the Applicant's failure to maintain the encroachment. . , , Book 01333:0144 Augusta - Richmond County ' � � 2012012035 02/10/2012 10:32:00.00 Augusta reserves all rights, within the easementlencroachment area, to construct, lay, relay, install, extend, expand, add, aperate, repair and maintain pipelines transporting and carrying utility services, and for any purpose deemed necessary by Auqusta. Applicant does understand and agrees that this may mean damage to, or the destruction of, the encroachment and hereby releases Augusta from any and all claims for damages to the encroachment as a result of such work by Augusta, and any and all expenses for restoration of the encraachment shall be born solely by Applicant. Augusta reserves the right to enter the area described in the encroachment to pertorm any of the rights listed in this document. Augusta shall notify Applicant prior to entering the encroachment, unless it is a case of emergency. Applicant does agree that no trees, or shru�bery, shall be planted over the pipeline, or within 10 feet of the centerline of the entirety of the sanitary sewer pipe and water main which run across applicant's property. Applicant does agree that no vegetation which may interfere with the laying, relaying, installing, extending, operating, repairinq and maintaininq of pipelines transporting and carrying utility services, shall be planted over the pipeline, or within 10 feet of the centerline of said pipelines. Applicant also agrees that absolutely no permanent structure shall be erected over the pipeline, or within 10 feet of centerline of said pipelines. This Agreement in no way releases any interest and rights that Augusta has in, and to, its easements referenced herein. . This Agreement sha11 be deemed a covenant running with the land and shall be binding upon the Applicant's successors, heirs, legal representatives, and assigns.
