AIA DOCUMENT A101 * OWNER-CONTRACTOR AGREEMENT * TWELFTH EDITION' AIA O* OO 1987 THE AMERICAN INSTITUTE OF ARCHITECTS, 1735 NEW YORK AVENUE, N.W., WASHINGTON, D.C. 20006 A101-1987 1 ARTICLE 1 THE CONTRACT DOCUMENTS The Contract Documents consist of this Agreement, Conditions of the Contract (General, Supplementary and other Conditions), Drawings, Specifications, Addenda issued prior to execution of this Agreement, other documents listed in this Agreement and Modifications issued after execution of the Agreement; these form the Contract, and are as fully a part of the Contract as if attached to this Agreement or repeated herein. The Contract represents the entire and integrated agreement between the parties hereto and supersedes prior negotiations, representations or agreements, either written or oral. An enumeration of the Contract Documents, other than Modifications, appears in Article 9. ARTICLE 2 THE WORK OF THIS CONTRACT The Contractor shall execute the entire Work described in the Contract Documents, except to the extent specifically indicated in the Contract Documents to be the responsibility of others, or as follows: ARTICLE 3 DATE OF COMMENCEMENT AND SUBSTANTIAL COMPLETION 3.1 The date of commencement is the date from which the Contract Time of Paragraph 3.2 is measured, and shall be the date of this Agreement, as first written above, unless a different date is stated below or provision is made for the date to be fixed in a notice to proceed issued by the Owner. (Insert the date of commencement, if it differs from the date of this Agreement or, if applicable, state that the date will be fixed in a notice to proceed.) If decisions on other alternates are to be made by the Owner subsequent to the execution of this Agreement, attach a schedule of such other alternates showing the amount for each and the date until which that amount is valid.) 4.3 Unit prices, if any, are as follows: AIA DOCUMENT A101 * OWNER-CONTRACTOR AGREEMENT * TWELFTH EDITION * AIA O" �O 1987 THE AMERICAN INSTITUTE OF ARCHITECTS, 1735 NEW YORK AVENUE, N.W., WASHINGTON, D.C. 20006 A101-1987 3 ARTICLE 5 PROGRESS PAYMENTS 51 Based upon Applications for Payment submitted to the Architect by the Contractor and Certificates for Payment issued by the Architect, the Owner shall make progress payments on account of the Contract Sum to the Contractor as provided below and elsewhere in the Contract Documents. 5.2 The period covered by each Application far Payment shall be one calendar month ending on the last day of the month, or as follows: �ne' Calendar month ending on the twenty-fifth of:#he monih. 5.3 Provided an Application for Payment is received by the Architect not later than the tw0nty-fifth (2�#h), day of a month, the Owner shall make payment to the Contractor not later than the Tenth (10th) day of the ' n2�ct ' month. If an Application for Payment is received by the Architect after the application date fixed above, payment shall be made by the Owner not later than telt (10� ' days after the Architect receives the Application for Payment. 5.4 Each Application far Payment shall be based upon the Schedule of Values submitted by the Contractor in accordance with the Contract Documents. The Schedule of Values shall allocate the entire Contract Sum among the various portions of the Work and be prepared in such form and supported by such data to substantiate its accuracy as the Architect may require. This Schedule, unless objected to by the Architect, shall be used as a basis for reviewing the Contractor's Applications for Payment. 5.5 Applications for Payment shall indicate the percentage of completion of each portion of the Work as of the end of the period covered by the Application for Payment. 5.6 Subject to the provisions of the Contract Documents, the amount of each progress payment shall be computed as follows: 5.6.1 Take that portion of the Contract Sum properly allocable to completed work as deternuned by multiplying the percentage completion of each portion of the Work by the share of the total Contract Sum allocated to that portion of the Work in the Schedule of Values, less retainage of < Ten percent ( '[� %). Pending final deternunation of cost to the Owner of changes in the Work, amounts not in dispute may be included as provided in Subparagraph 73.7 of the General Conditions even though the Contract Sum has not yet been adjusted by Change Order; 5.6.2 Add that portion of the Contract Sum properly allocable to materials and equipment delivered and suitably stored at the site for subsequent incorporation in the completed construction (or, if approved in advance by the Owner, suitably stored off the site at a location agreed upon in writing), less retainage of tBn ', percent ( ' 1 � ', %); 5.6.3 Subtract the aggregate of previous payments made by the Owner; and 5.6.4 Subtract amounts, if any, for which the Architect has withheld or nullified a Certificate for Payment as provided in Para- graph 9.5 of the General Conditions. 5.7 The progress payment amount determined in accordance with Paragraph 5.6 shall be further modified under the following circumstances: 5.7.1 Add, upon Substantial Completion of the Work, a sum sufficient to increase the total payments to E7ne Hundr2d percent ( 1 Qa <%) of the Contract Sum, less such amounts as the Architect shall deternune for incomplete Work and unsettled claims; and 5.7.2 Add, if final completion of the Work is thereafter materially delayed through no fault of the Contractor, any additional amounts payable in accordance with Subparagraph 9.10.3 of the General Conditions. 5.8 Reduction or limitation of retainage, if any, shall be as follows: (If it is intended, prior to Substantial Campletion of the entire Work, to reduce or limit the retainage resulting from the percentages inserted in Subparagraphs 5.6.1 and 5.6.2 above, and this is not explained elsewhere in the Contract Documents, insert here provisions for such reduction or limitation.) AIA DOCUMENT A101 * OWNER-CONTRACTOR AGREEMENT * TWELFTH EDITION * AIA O* O 1987 THE AMERICAN INSTITUTE OF ARCHITECTS, 1735 NEW YORK AVENUE, N.W., WASHINGTON, D.C. 20006 A101-1987 4 ARTICLE 6 FINAL PAYMENT Final payment, constituting the entire unpaid balance of the Contract Sum, shall be made by the Owner to the Contractor when (1) the Contract has been fully performed by the Contractor except for the Contractor's responsibility to correct nonconfornung Work as provided in Subparagraph 12.2.2 of the General Conditions and to satisfy other requirements, if any, which necessarily survive final payment; and (2) a final Certificate for Payment has been issued by the Architect; such final payment shall be made by Owner not more than 30 days after the issuance of the Architect's final Certificate far Payment, or as follows: ARTICLE 7 ` MISCELLANEOUS PROVISIONS 7.1 Where reference is made in this Agreement to a provision of the General Conditions or another Contract Document, the ref- erence refers to that provision as amended or supplemented by other provisions of the Contract Documents. 7.2 Payments due and unpaid under the Contract shall bear interest from the date payment is due at the rate stated below, or in the absence thereof, at the legal rate prevailing from time to time at the place where the Project is located. (Insert rate of interest agreed upon, if any.) I. SCOPE OF WORK: DESIGN FEES — We will employ Definitive Designs Group to provide the architectural and structural design, S& G Engineering for the plumbing and HVAC design and Alektrocon Engineering for the electrical design. Since the building is less that 5000 SF in area, the building code does not require them to be stamped by the architect and engineers. GENERAL CONDITIONS - Full time supervision, progressive clean up, final clean up, insurance, performance and payment bond and building permit fees. We anticipate being allowed to use water and electricity from the Marshal's office during construction. SITE WORK — The site work for this building was performed when the Marshal's Office was constructed. The only site work that will be required is stripping new grass off of the building pad. TERMITE TREATMENT - Provide soil poison below slab of building addition. P.O. Box 949 — Evans, GA 30809 — 706-731-0978 — Fax: 706-733-4030- E-mail: sdclifton@knology.net Page 2 CONCRETE FOUNDATION — The concrete foundation for the building will be a continuous spread footing 2'-0" wide and 1'-0" thick reinforced with two number 5 reinforcing bars. CONCRETE SLAB - Slab is to be 4" thick 3000-PSI concrete over at least 2" of sand fill and 6-mil vapor barrier. The slab will be reinforced with fiber mesh reinforcing. Slab is to be cured with curing compound. The concrete slab at the covered pad will be 4" thick 3000-PSI concrete over 2" sand fill with a 12" deep turned down slab edge. MASONRY — The exterior walls will be reinforced, load bearing, 8" concrete block walls. The concrete block walls will be reinforced with horizontal joint reinforcing at 16" on center horizontally and one #5 rebar at 32" on center vertically. The building will be designed so that we can utilize the existing 8" split face, smooth, colored, concrete block stockpiled on site. WOOD FRAMING — The roof structure will be framed using pre-engineered wood trusses with a 4:12 roof pitch with gables at each end of the building. The roof sheathing will be 5/8" thick OSB sheathing. The interior walls will be framed using 2 x 4 wood studs at 16" on center. Wood furring strips will be installed on the concrete block walls in the Restroom to receive the drywall. INSULATION — R-19 fiberglass insulation will be installed above the drywall ceiling in the Office, Restroom and Laundry Room. R-11 fiberglass batt insulation will be installed in the walls around the Office, Restroom and Laundry. ROOFING- Architectural asphalt shingles will be installed over 15# asphalt felt over the roof sheathing. VINYL 50FFIT, FASCIA AND SIDING- We have included furnishing and installing vinyl soffit and fascia at the cornice around the building and vinyl ceiling at the covered pad area. DOORS — The exterior door will be a hollow metal door in a welded hollow metal door frame. The three interior doors will be solid core pre-hung wood doors in wooden frames with wood door casing. HARDWARE - Hardware is to be medium grade commercial hardware. This hardware is to be the lever type hardware to meet the current ADA requirements. P.O. All doors and frames to receive three coats semi gloss enamel. The exterior concrete block will receive a coat of clear water repellant. TOILET ACCESSORIES & SPECIALTIES — Includes, mirror (1 ea.), handicap grab bars (2 ea.), and toilet paper holder (1 ea). We have included one 10# fire extinguishers. PLUMBING - Plumbing system complete: -One tank type handicapped toilet -One wall mounted lavatory with faucet -One 30 gallon electric water heater -One laundry sink -One washing machine connection box -One Frost Proof Exterior Hose Bibb -Water and Sewer piping stubbed out 5' from building HEATING AND AIR CONDITIONING — We are providing HVAC equipment for the building as flows: • Heating and air conditioning for the office to be provided by a 9000 BTU Ductless Mini Split System. • Heat for the Laundry Room will be provided by an electric wall heater. • One restroom exhaust fan with wall cap ELECTRICAL — Complete electrical system to include: • Single phase electrical service • Fluorescent strip lighting • Includes power to HVAC and water heater. \ • Includes exit lights as required by code • Receptacles per code P.O.
