This Memorandtam af Understanding (hereinafter referred to as "11�DU"} is
entered into this 20` d�y of �ebruary, 2Q12 (hereinafter referred tc� as the "Effective
Date"}, by and between Columbia County, GA (hereinafter referred to as "Columbia
Coun#y"), and Augusta, GA (hereinafter referred to as "i�ugust�").
WHEREA5, Augusta is a political subdivision of #he State of Georgia, v►rith a mission to
deliver 3� 1 services to its citizens with respect to aii matters. Augusta desrres ta work
with Cnlumbia Caunty ta pravide 311 services ta all custorr�ers in the most effective and
professional manner.
WHEREAS, Columbia County is a political subdivisio� of the State of Geargia,
with a missian to deliver 311 services to its citizens v�ri#h respect to all ma##ers. Coium�ia
CQUnty desires tQ work with Augusta fo pravide 311 senrices to all custamers in the most
effeetive and professiona! manner.
NOW, TFiEREFORE, in consideratian of the mutual covenants and promises
contained herein, the parties agree as follaws:
Term The "Term" of this MQl! shall begin on the Effective Date and end sixty ($0}
tnonths thereafter, or upon terminafinn, whichever occurs �rst. The Term may be
renewed by mutual wri#ten agreement of the pacties an a month-to-manth, annual ar
ext�nded term basis. Each party agr��es tn make a written request t� tfie other of its
desire ta e�ctend the Term na less than ninety (90) days prior to the expiration ofi the
Term.
Terrnina#ion �ither party may termfnate this MQU for cause. "�ause" shall mean a
brsach ar defautt of any obligation hereunder which defau[t is incapable of cure, or
vuhich, being capabie of cure, has not been cured wifihin thirty (30) days after receipt
of notice of such defautt (or such additional cure perit�d as the nan-defaulting party
may authorize).

and eith�r transmitted via avernight caurier, hand delivery ar certifi�d vr registered
mail, posfage prepaid and return receipt requested to th� parties at the fo4lowing
addresses. Notices will be deemed to have been given when received.

the laws of the State of Georgia.
Assi�nment and �ele�ation Neither party shall assign a�y o# its rights or delegate
the pe�Formance of any of its duties under this MOU withaut prior written consent
from the ather party. Any purpo�tecf assignment or delegatian shall be null and void,

subj�ct ma#ter and supersedes any and all other prior and contemporaneous
agreements and understandings be#ween the parties, whether ora( or written, Na
amendmeni ta this MC7U shall b� valid unless made in writing a�d signed by both
parties.
Central +�fFice lnformation Columbia County shall use the s�me central offices that
are currently in use. Ti�ese central offices are defined as Martinez, Appiing and
Harlem. A�gus#a shaU use #he central offices defined as The Hill, Fleming, Main and
Hephzibah. Both par#ies acknowledge that these centra! off'ices cross jurisdictional
boundaries and agree to make euery effort ta provide 311 servie�s in the mast
professiona( manner passibie to constituents within these cer�tra{ office boundaries.
Cali Transfer Procedures Bcatl� pa�ties shall make ev�ry efft�rt to as�i�t caliers
without transferring calls to the other party. Each party will prvvid� inforrna#ion tt��t
will assist the +ather party ir► resolving cafls and producir�g inforrnative li#erature. Na
effort wi11 be given to the determination af the jurisdiction of the caller. Qn[y when the
transferring of a cailer will result in faster caii resolutic�n will a transfer take place,
When calE transfers are required, the transfer should take place in a seamless
manner fo the c�stomer. Ail inforrnation preuiously callected should be forward�d to
the rec�iving call taker and the call sender shou(d stay on the line to announce the
call and insure the call is being received prior to completing the transfer. The
transfer should take place wothin a minimum amaunt vf time to the customer and the
call #aker.
Reportinq Both par�ies shali provide information to the other, quarteriy, regarding the
nucnber of calls taken from constituents within the ottter's jurisdiction. When
transfers have occurred, the �eso3ution wiff be documented ta reduce the need for
future transfers. This information wifl be collected and repvrked on an as available
basis_ The ealiers wi[( not be asked ta provide this informatian as this witl increase
the time required to resolve the call.
Expenses Both parties shail operate their 311 Centers independently of each other.
No expenses shall be back charged to the other. !f at any point, in the future,
�expenses are incurred for the mutual benefit af both parties the expense wilf be
ider�tified, in writing, and agreed upon by bvth parties prior to the expense being
incurred.

This AGREEMENT made and entered this 1 st day of January, 2012, between Augusta,
Georgia, acting by and through the Augusta-Richmond County Commission, a political
subdivision of the State of Georgia (hereinafter referred to as "Augusta" or "County"), and the
Augusta Richmond County Library, (hereinafter referred to as the "Organization" or
"AGENCY"); WITNESSETH:
WHEREAS, the Augusta-Richmond County Commission desires to contract
with the above named Organization to PROVIDE FUNDS FOR THE OPERATIONS OF
THE AGENCY
Whereas the amount of $ 2,466,100.00 are now available for use by AGENCY.,
according to the GENERAL FUND BUDGET ADOPTED ON November 15,2011
NOW, THEREFORE, for and in consideration of the mutual covenants and
agreements between the parties, it is agreed as follows: �
The County agrees to appropriate the following sums to the Organization for the
purpose of: Operating Expense $ 2,466,100.00
The Organization agrees to use such funds that it may receive, pursuant to this
Agreement, solely and exclusively for the above described Project; said Project, including the
Project Budget, is more specifically described at "Exhibits" attached hereto and incorporated
herein.
In consideration of the disbursement of said funds, AGENCY shall observe all
conditions that the law imposes on the use of said funds, which shall include, but not be
limited to, the following
1. The agency shall provide the county with a narrative description of the program and a
detailed program budget. The budget should include all funding sources that the
agency anticipates receiving.
2. The Agency shall provide the following information as part of the narrative:
a. Mission Statement
b. Performance Budget Overview
c. Budget Request
d. Summary
3. The Agency shall complete the following forms as part of the budgeting process:
� a. Budget Preparation Checklist
b. Agency / Joint Funding Budget Request (Form AJ) �
c. Agency / Joint Funding Budget� Request Payroll Costs (Form AJ-1)
d. Copy of Agencies most recent financial statements.
4. The agency shall have an annual audit performed by an independent CPA Firm. The
Agency should specify the County as a funding source. The agency shall provide the
County a copy of the audited financial statements within 30 days of delivery of the
audit by the contractor. Said reports shall be delivered to Augusta Finance
Department, Municipal Building Augusta, GA 30911 to the attention of Ms. Donna
Williams, Finance Director or her Designee.
5. The agency shall also submit a completed form W-9 to Augusta Finance Department.
