F AMENDMENT NUMBER ONE � TO i UNIVERSAL COMMUNICA'I'IONS SYSTEM AGREEMENT � This Amendment made this day of February 1, 2011 by and between Augusta, Georgia l (hereinafter referred to as "CiienY'} and Twenty First Century Comrnunications, Inc. (hereinafter � referred to as "Provider"). WHEREAS, Client and Pravider entered into that certain Universal Communication � System Agreement dated October 31, 2007 (the "Agreement"): I� WHEREAS, the parties desixe to extend the term of the Agreement and replace in its � entirety the Universal Communications System Purchase Order Form attached to the � Agreement; and � WHEREAS, the parties wish to amend certain terms of the Agreement in furtherance of � the foregoing: THEREFORE, the parties agree as follows: 1. The term for the Agreement shall be extended from Febnzary 1, 2011 through January 31, 2014. k 2. To delete the "UNIVERSAL C014ZMIJNICATIONS SYSTEM PURCHASE ORDER � FORM" in its entirety and replace with the attached "ALERT SYSTEM PURCHASE ORDER FORM". I This Amendment together with the Agreeraent constitutes the final, complete, and � exclusive staternent of agreement between the parties pertaining to the subject matter contained therein, and supersedes all prior and contemporaneous understandings, conversations, or agreements between the parties. A fully hosted emergency notification system. � 2. Fixed annual fee which includes $9,000 of system usage applicable to any messaging channel. 3. Messaging via: voice (fnbound/outbound), SMS text, email and true TTY/'fTD. � 4. GIS mapping annually. 5. 24/7/365 Tech and Help Desk Support and dedicated accour�t management. 6. Training via web cast. 7. Telephone Number Geo-coding provided monthly. 8. System usage in excess of Annual prepaid level will be billed at the contracted rate below. COST. The cost for TFCC's Alert System is $8,000 annually. A one-time fee of $1,000 will be charged for a Public Sign Up Page. Annual fee is comprised of �9,000 af system usage applicable to outboundlinbound phone usage, paging, text messaging and facsimile notification, which shalt be deducted at the following rates: e Both inbound and outbound minutes shall be deducted at the rate of $0.25 pe� minute. � i r Paging and/or SMS texting shall be deducted at the rate oi $.05 per attempt, � E-mails transmitted using the Alert System are free. � Facsimiles shall be deducted at the rate of $0.25 per page. ADDlTIQNAL COSTS: Additional on-site training in excess of initial training shall be billed at the rate of $100 per hour. 1 Custom programming charges are $18Q per hour. Out-of-pocket travel expenses, after the initial training, related to the installation and mafntenance of the TFCC's Alsrt System prog�am are billed as incurred and invoiced at actua! cast. � The Annual Fee sha11 be biiled on the Eifecfive Dats set forth under Section 1 of this Agreement and shall be billed on � that date each year thereafter for the term of this Agreement. Unused system usage may not be aggregated or carried over to subsequent years. USAGE AND NOTtF/CAT10N CHARGES: � Usage and notificetion charges in excess of the initial system usage pur+chased shall be billed at the following rates: The basic usage charge for inbound and outlsound call will be $0.25 per minute, including carriar long distance i charges. ` Per call minute pricing is billed on a second-by-second basis with a 30-second minimum. Unless specifled otherwise, all LEC or carrier advanced network features wiU be passed through at cost, if appiicable. Paging and/or SMS texting shall be billed at tha rate of $.05 per attempt. E-mails transmitted using the Alert System are free. � Facsimiles shall be bi!!ed at the rate of $0.25 per page. � d ! Client must notify Provider of any disputed charges within nine (9) months from the date of invcice, othervvise Glient will be deemed fo agree ta such charges, will be precluded from disputing such charges, and Provider will not be subject to matcing any adjustments to such charges or invoices.
