This Agreement is made and entered into this � day of � �Gt , 2ozi, by and betwe�n
City of Augusta, (hereinafter referred to as "Client"), and Jenni�r Langford, AIA, CNU, PA
(hereinafter referred to as the "Consultant").
WI'I'NESSETH
WHEREAS, the Client is undertalang certain activities related to the revitalization of certain
neighborhoods; and
WHEREAS, the Client desires to engage the Consultant for the purpose of providing
Architectural Services in support af the revitalization initiative in the Laney-Walker and
Bethlehem neighborhoods; and
NOW, THEREFORE, the parties hereto do mutually agree as follows:
1. EMPLOYMENT OF CLIENT. Client agrees to engage the Consultant, and the Consultant
agrees to provide Client services which involve worlang with Client's staff, contractors,
developers, funding sources and neighborhood-based organizations as part of providing
Architectural Services for home developed as part of the redevelopment of Laney-Walker
and Bethlehem neighborhoods.
2. SCOPE OF SERVICES. The Consultant will provide the services ("Services" set forth in
Appendix A(also knQwn Task Orders), attached hereto and incorporated herein by
reference. Scope of Services/Task Orders may be added to this agreement through the
mutual consent of both the Client and Consultant.
It is understood and agreed by the parties that the services of the Consultant do not
include any of the follawing: the disbursement or account of funds distributed by the
Ciient's financial officer, legal advice, fiscal audits or assistance with activities not
related to this project.
3. LIAISON. The Client's designated liaison with the Consultant is APD Urban Planning
and Management, LLC.
4. EFFECI'IVE DATE AND TIME OF PERFORMANCE This Contract takes effect on
� , 2oii. Client may discontinue contract after one year or at any time during the
contract period with 3o days notice to Consultant. Consultant may discontinue contract
with 6o-day notice to Client.
5. COMPENSATION. For the satisfactory completion of the services to be provided under
this Contract, the Client will issue Task Orders to the Consultant. Each Task Order will
request a specific scope of work, time-frame to complete the scope of work and fee for
the requested services. The Client reserves the right to negotiate the proposed scope of
work and fee provided by the Consultant as a condition of issuing a Notice to Proceed for
the work requested within any specific Task Order
6. INDEPENDENT CONTRACTOR It is understood by the parties hereto that the
Consultant is an independent cantractor and as such, neither it nor its employees, if any,
are employees of the Client for purposes of tax, retirement system, or sacial security
(FICA) withholding. It is further understaod that the Consultant will maintain at its
expense for the duration of this Contract, coverage in a workers' compensation plan for
its principles and employees for the services to be performed hereunder or provide
documentation of exemption.
7. ELIGIBILI'I'Y The Consultant eertifies that the Consultant's firm and the firm's
principals are not debarred, suspended, voluntarily excluded, or atherwise ineligible for
participation in federally assisted contracts under F.�cecutive Order i2549; "Debarment
and Suspension" [24 CFR 2 4•5 0 5�•
8. CONFLIC'i' OF INTEREST. The Consultant covenants that it presently has no interest
and will not acquire any interest, direct or indirect, in the project that would conflict in
any manner or degree with the performance of its services hereunder. The Consultant
further covenants that, in performing this Contract, it will employ no person who has any
such interest. Consultant shall not be permitted to build or develop any property, or
provide an services in the Laney Walker/Bethlehem Redevelopment Project Area for the
e�cpress purpose of selling the subject progerty, or delivering the service, to the City of
Augusta without the written consent of the Client.
9. ENTIRE AGREEMENT: MODIFICATION. This Contract eontains the entire agreement
between the parties, and no statements, promises or inducements made by either party,
or agents of either party, that are not contained in the written Contract, are valid or
binding. No changes, amendments or alterations shall be effective unless in writing and
signed by both parties. The Consultant specifically acknowledges that in entering into
and executing this agreement, Consultant relies solely upan the provisions contained in
this agreement and not others.
10. NON-ASSIGNMENT OF AGREEMENT. Inasmuch as this agreement is intended to
secure the specialized services of the Consultant, Consultant may not assign its rights,
including the right to compensation, transfer, and delegate or subcontract any interest
herein without the prior written consent of Client. Any subcontractor or assignee will be
bound by all the terms and conditions of this contract.
11. ASSIGNMENT OF PERSONNEL. The Consultant shall not substitute any personnel for
those specifically named in its praposal unless personnel with substantially equal or
better qualificatians and e�perience are provided and acceptable to Client, as is evidence
in writing.
12. INDEMNIFICATION. The Consultant waives any and all claims and recourse against
the Client, including the right of contribution for loss and damage to persons or property
arising from, growing aut of, or in any wayy connected with or incidental to the
Consultant's performance of this contract. Further, the Cansultant will indemnify, hold
harmless, and defend the Client against any and all claims, demands, damages, costs,
expenses, liability arising out of the Consultant's performance of this Contract except for
liability arising out of the cancurrent or sole negligence of the Client or its officers,
agents or employees. Consultant shall also indemnify Client for any adverse
determination made by the Internal Revenue Service or the State Franchise Tax Board
against the Consultant with respect to Consultant's `independent contractor' status that
would establish a liability for failure to make any social security or income t�
withholding payments.
• 13. TNSURANCE. Consultant shall have and maintain in full force and effect for the
duration of this Agreement, insurance insuring against claims for injuries to persons or
damages to praper�y which may arise from or in connection with the performance of the
work by Consultant, its agents, representatives, or employees.
14. BREACH OF CONTRACT. In the event of breach of Contract by the Consultant, the
Client may at its option, engage the services of another Consultant to complete the work
and deduct the cost of the completion from the amount due to the Consultant. In the
event either the Consultant does not fulfill performance under this agreement, then the
affected party may pursue all Iegal remedies available for breach of contract.
15. TERMINATION OF CONIRACT. This Contract may be terminated as follows:
(a) Termination for cause.
(i) If the Client determines that the Consultant has failed to comply with the terms and
conditions of the Contract, it may terminate this Contract in whole or in part any time
before the date of compietion. If the Cansultant fails to comply with any of the terms
and conditions of this Contract, the Client may give notice, in writing, to the Consuttant
of any or all deficiencies ciaimed. The notice will be sufficient far all purposes if it
describes the defauit in general terms. If all defaults are not cured and corrected within
a reasonable period to be specified in the notice, the Client ma��, with no further notice, -
declare this Contract to be terminated. The Consultant wiIl thereafter be entitled to
receive payment for those services reasonably performed to the date of ternunation, Iess
fihe amount of reasonable damage suffered by the Client by reason of the Consultant's
failure to comply with this Contract.
(ii) Notwithstanding the above, the Consultant is not relieved af Iiability to the Client for
damages sustained by the Client by virtue of any breach of this Contract by the
Consultant, and the Client may withhold any payments to the Contractor for purposes of
setoff until such time as the exact amount of damages due - the Client from the Consultant
is determined.
(iii}Client may terminate this contract should funding cease or be materially decreased.
16. LEGAL FEES. In the event either party ineurs legal e�penses to enforce the terms and
conditions of this Contract, the prevailing party is entitled to recover reasonable
attorney's fees and other costs and expenses, whether the same are incurred with or
without suit.
17. DOCLTMENTS INCORPORATED BY REFERENCE. The Client's Request for
Qualifica�ions for Architectt�ral Services for the Laney-Walker and Be�thlehem
neighborhoods, submitted by the Consultant and all applicable federal and state statutes
and regulations incorporatea into this Cantract by this reference are binding upon the
Client and Consultant. '
18.OWNERSHIP AND PUBLICATION OF MATERIALS. All drawings, reports,
information, data, and other materials prepared by the Consultant pursuant to this
contract, or future contracts as amended through the issuance of a Task Order, are to be
the property of the Client, which have nonexclusive and unrestricted authority to release,
publish or otherwise use, in ��hole or in part, information re�ating thereto, in relatzon to
the Laney Walker / Betnlehem Neighborhood Redevelopment Area project. Any reuse
v��ithout written verification or adaptation by Consultant for the specific purpose
intended will be at the Owner's sole risk and withont liability or legal exposure to the
Client. No material produced in whole or in part under this Contract, or may be subject
to copyright or patent in the United States or in any other country without the prior
. written permission of the Client Consultant retains inteilectual rights to a11 originaI
design work.
'! 9. REPORTS AND INFORMATION. The Consultant will maintain accounts and records,
including personnel, property and financial records, which are adeqnate to identify and
account for all costs pertaining to this Contract; and such other records as may be
deemed necessary by the Client to assure proper accounting for all project funds, both
federal and non-federal shares. These records will be made available for audit purposes
to the Client or its authorized representative, and will be retained by the Client for five
(5} years after the e�iration of this Contract, unless permission to destroy them is
granted by the Client
20. The Consultant, at sueh times and in such forms as the Client may require, shall furnish
Client monthly progress reports.

Approach:
For each builcling, the Architect wilI review schematic designs provided bp the Cit�, interact
with the Owner or the Citp (Client) to develop the designs into final constructiarz
doeuments for permit and construction of buildings consistent �rith the historic
neighborhood conte�t and the City's desire to encourage sustainable, efficient housing
stock as a continuing asset to the communit�� �'�rchitect will assess and offex potential
alternatives to builcling features with regard to sustainability, efficiency of energy use and
resources, aestherics and general layout and site design.
Tasks / Actions / Scope:
The Architect wil.l begin wori�ing with the Owner / Client to develop initial provided
schematic designs into a final design concept, balancing aesthetics, functian, cost, efficienc�,
and other sustainability features. After the design concept is finalized, the Architect w�l
complete preliminary constructian documents, compliant with alt applicable codes, the
Pattern Book, and Consttuction Manual pro�rided by APD, prepare a preliminar5� cost
estimate, and develop bid package and specifications. �lrchitect will of£er a matrix of
alternative methods, materials, and sqstems to improve energy efficiency, with associated
estimated costs and benefit�. Architect will also provide information and cost estimates for
any appropriate certificarion programs, such as Energy Star or LEED(R) for Homes. Final
submittal would include all documentations required for permit.

After the design phase, during t.he con.rtruction of t.he fzrst hou.re, the Architect will make a
minimum of 4 additional visits far Task #1. These 9nsit.r zvill be hilled at an hourly rate, �itf� a
rizinimurn of 3 hr.r charged per visi�:
Pre-construction: Meeting with Owner, Cit�, and GC to review any quesrions, unusual
conditions, or areas of concern.
Rough Framing / Pre-mechanical: Site meeting to xe�-ie�� structural s,=stem installation
and any quesrions ar concerns prior to mechanical / electrical j plumbing systems rough-
in.
Thermal Bypass: Site meeting to review en�Telope system installation, including insulation
and vapor or moisture infiltration abatement, and any questions or concerns prior to
drywall instal.lation.
Final Walk-through: Site meeting to retiriew completed project, address Home Owner
education and inquiries, and discuss any final questions or concerns regaxding the
construction process.
Time line:
Upan execution of agreement, Architect will be immediatelp available to begin the design
development phase of work. The Architect estimates a 6-�0 week time frame from initial
owner approval of final design to submittal of permit documents. It is assumed that all
buildings in Task #1 will proceed concurrently and meetings for all jobs will be schedule on
the same day. The rlrchitect may provide a comprehensive proposed job schedule to
include all proposed meeting dates to align with the anricipated pace of construction.
Cost Estimate / Fee:
Cost estimates are based on schematic drawings and estimated construction costs provided
by APD and include fees for all required engineering and consultant documentatioii, with
the exceprion of site work such as surveying and soil testin� Thep include all meering time,
conference calls, and tra�Tel expenses. Additionall�, there is a multi-project discount applied,
as these bu.ildings are assumed to be progressing simultaneously and share many of the
same construction details.

Scope does not include any costs associated a�ith local pexmit oY utility fees or taxes, civil site work,
surveying, soil testing ar site engineering such as reraining walls or roadway spec'if`ications. It is the
responsibility of the General Contractor to insure propex use of materials and merhods of
construction and equipment installation, appropriate site safety precautions, and compliance with
all applicable permitting, codes, and site inspecrion regulations, and building system perfoxmance.

Approach:
Architect will re�riew construction documents provided by the City and pro�ride comments,
suggestions and / or alternatives to building features with regard to sustainability, efficiency
of energy use and resaurces, aesthetics and general layout and site design.
Tasks / Acrions / Scope:
Architect will review plans and provide City with a repost consisting of redline plan notes,
additional supporting documents with regard to options for alternative methods and
materials, and sketches, d�awings, or ovexlays illustrating an�r design alternatives. Time
estimate includes a brief follow-up meeting or conference call to review the report with
APD, City Staff, or Clients. An� face-to-face meeting is assumed to coincide with a meeting
date for another task.
Tirne line:
Upon exeeution of agreement, Architect will pro�ride initial report to APD / The Gity of
Augusta within 7 worl�irig da�s.
Cost Estimate / Fee:
Primary review �vill be performed by the Principal Architect. Some supporring
documentation may be prepared by draftisig or administrative staff. The following rates will

Project Manager: $100 / hr
Senior Drafting: $90 / �
Junioz Drafting. $65 / hr
Administrarive and technica.l suppart: $60 / hr

Billing:
An invoice will be prepared and submittec� at the time af completion of the uutial report
for woik performed to that point. Additional fees will be billed as addirional services are
performed.
Work outside of the above scope, such as re�isions to or re-drafting of construction documents,
construction cost estimating, site visits during constsuction, meetings with Contractors, etc. can be
proirided as additional work at the same houYly rates as listed hexe. Rates in effect from 12/1 /10
thYOUgh 12/31/11 for RFQ No. 10-172.

Billing:
In�Toices will be prepared and submitted at 4 sta.ges of completion as follows:
Completion and approval of design concepts 25%
Compietion of preiiminary CD's and specs for bids 35%
Submittal of permit — xeady CD's 40%
Invoices for hourl�F work wili be billed monthly ar upon completion of the Task.
Instruments of Service:
Designs and drativ�ngs for the above buildings may be retained and re-used by the Client /
Owner throughout the Laney �Ualker / Bethlehem neighborhood project (RFQ no.10-172}
area urithout Iimit The Cfient / Owner may not transfer awnership of drawings or
documents to an� other developer or conrxactor for use ox publication outside of the
Laney Walker / Bethlehem neighborhood project (RFQ no.10-172). Architect's original
documents may not be altered by others. Original design content remains the property of
the Architect.
Scope does not include anp costs associated with local permit or utility fees or taxes, civil site work,
surveying, soil testing or site engineering such as re tainina walls ar roadwa� specifications. It is the
responsibility of the General Contractor to insure proper use of materials and methods of
construction and equipment installation, apprapriate site safety precaurions, and complia.nce with
all applicable perrnittitig, codes, and site inspection regulations, and building system perforrnance.
APD or The Citp of Augusta shall supply any requested dtawings, reference informarion, special
area requirements or other documents that pextain to the redevelapment project area. This
proposal must be accepted with 90 days of the above da.te o� shall Uecome void. Fees specifically
prepared for RFQ No. 10-172.
