SECOND AMENDMENT CONTR.A.CT $ETWEEN AUGUSTA, GE�RGIA & A P D URBAN PLANNING AND MANAGEMENT, LLC This Second �lmendment to the Contract executed by and between the Parties on December 4, 2008, is made and entered into on the � day of December 2oYO, by and between AUGUSTA, GEORGIA, (hereinafte.r referred to as "GRANTEE"), and t1SSET PR�PERTY DISPOSTTION, INC. herein known as A P D URS.AN PLANNI�G AND MANAGEMENT, LLC, (hereinafter referred to as "Consultant"). WHEREAS, GRANTEE desires to amend the ORIGINAL CONTRACT to allow a one (i) year extension for continuatron of Property Management Services for the HUD approved Laney Waiker/Bethlehem Ne'rghborhood Revitalizatian Strategic {NRS) Plan; w WFiEREAS, GRANT�� has deterznined that this extension is in its best interest and CONStiLTANT agrees to said extension; NOW THEREFORE, in exchange for their mutual gaod and valuable consideration, the receipt and su�ezency of which each PARTY acknowledges, and intending to be legaily bound, GRANTEE and CONSULTANT agree to amend said CONTRACT as follows: t Section 4. EFFECTIV�. DAxE AND TIME OF PERFORMANCE, Paragraph #i, as amended December 4, 2009, is hereby deleted in its entirety and changed to read: "This Contract takes effect on December 4, 2a1o, with the GRANTEE's ri,qht to renew contract ierms, conditions and compensation annuatly until December ,3, �011. GRAN'fEE may discontinue coni�•act after one year or at any time during the contract period with 3o days notice to CONSULTANT. CONSULTANT may discontinue contract with 6o-da j no�ice to GRANTEE." � Section 5. C0IVTPENSATiON, Paragraph #i, as amended December 4 2009 is hereby daleted in its entirety and changed to read: "For the satisfaceor� completion of the seruices to be provided under this Cantract, the GRANTEE will pa� the CONSULT.ANT a sum not to exceed Four Hundred Fifiy-Three Thousand, Two Hundred Sixiy- Four pollars and no cents ($453,26�.00) annuailr�, which the GRA1V'lFF agrees to pay as set forth in "Appendix B– Compensation/Budget", attachec� hereto and inc�rporuted herein by reference. TotaI ,payrnents for the services rerzdered under thts Contract witl not exceed $4,53,264.00 Compensation for seruices wi�i be prouided in instaIIments, based on actual work performed aiottg with other reimbursable costs, Payment will be based upon compteiion of key components of the praject work plan. TOTAL BUDGET- $453, THEREFORE, the terms and conditions of ORIGINAL CON'I'RACT between AUGUSTA, GEORGIA and A P D URBAN PL,ANNING taI�TD MANAGEMBNT, LLC. dated December 4, 2008, and amended Decemher 4, 2oog, are hereby extended through December 3, 2oii. All ather provisions of CONTRACT between said PAKTIES shall rema'rn in force and effect.
