(hereinafter referred to as "Provider"). � � WHEREAS, Client and Provider entered into that certain Universal Communication I System Agreement dated October 31, 2007 (the "Agreement"): ; � . � WHEREAS, the parties desixe to extend the term of the Agreement and replace in its � � entirety the Universal Communications System Purchase Order Form attached to the Agreement; and � ; WHEREAS, the parties wish to amend certain terms of the Agreement in furtherance of � the foregoing: i f T'HEREFORE, the parties agree as follows: � � 1. The term for the Agreement shall be extended from February 1, 2011 through January i 31, 2014. I_ ;: 2. To delete the "LJNIVERSAL COMMIJNICATIONS SYSTEM PURCHASE ORDER ; FOR1V1" in its entirety and replace with the attached "ALERT SYSTEM PURCHASE f ORDER FORM". � i This Amendment together with the Agreement constitutes the final, complete, and i exclusive staternent of agreeznent between the parties pertaining to the subject matter contained � therein, and supersedes all prior and contemporaneous understandings, conversations, or i agreements between the parties. � � This Amendment may be supplemented, amended, or modified only by the mutnal ! agreement of the parties. A fully hosted emergency notification system. I 2. Fixed annual fee which includes $9,000 of system usage applicable to any messaging channel. ! 3. Messaging via: voice (fnboundlflutbound), SMS text, email and true TTY/TfD. 4 4. GfS mapping annually. ; 5. 24/7/365 Tech and Help Qesk Support and dedicated account management. i 6. Training via web cast. , 7. Telephone Number Geo-coding provided monthly. i 8. System usage in excess of Annual prepaid level will be billed at the contracted rate below. � , ; COST. � � The cost for TFCC's Alert System is $9,000 annually. A one-time fee of $1,000 will be charged for a Public Sign Up ; Page. Annual fee is comprised of $9,000 af system usage applicable to ou#bound/inbound phone usage, paging, text j messaging and facsimile notification, which shall be deducted at the following rates: � Both inbound and outbound minutes shall be deducted at the rate of $025 per minute. � I Paging and/or SMS texting shall be deducted at the rate of $.05 per attempt, i E-mails transmitted using the Alert System ara free. i i Facsimiles shall be deducted at the rate of $0.25 per page. i ADDITIQNAL C(JSTS: i Additional on-site training in excess of initial training shall be billed at the rate of $100 per hour. j i Custom programming charges are $18Q per hour. j I Out-of-pocket travel expenses, after the initial training, related to the installation and maintenance of the TFCC's Alert ; System program are billed as incurred and invofced at actuaf cast. i i The Annual Fee sha11 be billed on the Ef�ective Date set forth under Section 1 of this Agreement and shall be billed on ; that date each yea� thereafter for the term of this Agreement. Unused system usage may not be aggregated or ; carried over to subsequent years. ; USAGEAND NOTIFICATION CHARGES: ` Usage and notification charges in excess of the initial system usage purchased shall be bilEed at the following rates: ; The basic usage charge for inbound and outbound call will be $0.25 per minute, including carrier long distance f charges. Per call minute pricing is billed on a second-by-seconc! basis with a 30-second minimum, Unless specified 4 otherwise, all LEC or carrier advanced network features will be passed through at cost, if applicable. i Paging and/or SMS texting shall be billed at the rate of $.05 per attempt. � E-mails transmitted using the Alert System are free. ; �acsimiles shall be billed at the rate of $0.25 per page.
