Eacamination of Sonded Contract and Proiect bv Completion Contractor. Performance of Obli�tions of Princinal. Completion Contractor agrees to � complete the remaining vvork of the Bonded Contract by serving as the completion contractor through tender arrd substitution. Completion Contractor agrees to aUide by aIl the terms, conditions, arid gravisions of the Campletion Ag�eement and the Contract Docum,ents. � Notwithstanding the Completian Contractor's obligatian to complete the remaining work on the Bonded Contract, Campletion Cantractor does not a�sume Iiability or responsibility far Latent Defects or Excluded Items (as defined in the Cornpletian Agreement). However, in the e�ent , that work is required to be pezfaixned to addr�ss any La.tent Defacts ar issues with respec� to the Excluded Items, Cornpletion Contractar shall, if directed by the S�rety and Obligee to do sfl, correct, repair, andfor replace any such d�fects ar perforn� sueh worl�, provided t�C�.t if I,�t�nt � Defects wer� caused by a s�zl�cont�aetor of Pri.neip�l tkat is also utilized by Ccunpletian Contrac�or far compl�tic�n o£ tt�,e Project, then Compl��ion Contractor shall endeavor in , gQOd £aith to enforce the r�pa�nsibility of that subcontract and/or its surety to evn�eet, replace an�i/or ' rep�ir said def�ctive work. Obli�atian of Suretv Und+ar the Pavmemt Ba�d. It is expressly agreed b� and , between Sure�y and Obiigee that the obligations of Suret� under the Payment Bond sha11 nat include labor and/or materials performed or provided by Completion Contractor, its suppliers, and subcontractors pwrsua�nt to t.�is Agreement. Surety shall remain liable under the Payrnent , Bond only for valid etaims for labor and mat�riais contracted for by Principal and provided to the Project prior to the default by Principal. Completion Contractar's payrnent bond sha11 he responsible for claims arising from labor and/or materials supplied to Campletion Contractar or � its subcantractors. . 5. Pavment of Completion Price. "Completion Price" means Completion Contractor's ' price to complete the Praject work remaining to be perfarmed under the Banded Contract in accordance with the terms of the Bonded Contract, based upon the unit prices set by the Completion Contractor in the attached Ezhibit A. The Completion ` Price, based on currently estimated quantities, is $2,429,639.63. Pursuant to the terms of the t `' Performar��e Bond, Sur�t�r will tender to 4bligee payment in the amount of $?77,847.41 (the "Surety Payrnant") within thirty (30) days of the executivn of this Agreement.
