AGREEMENT

THIS AGREEMENT made and entered into this ' day of December, 2010,
by and among Augusta - Richmond County, a political subdivision of the State of Georgia
through its Board of Commissioners, Clean Augusta Downtown Initiative, Inc., and Georgia
Bank & Trust Company of Augusta, collectively referred to as the "Parties ".
RECITAL:
The Parties entered into a certain agreement dated February 17, 2010 (the
"Agreement "), which provided for a line of credit secured by an assignment of the right to
receive funds from fees collected with ad valorem taxes to pay for services rendered in
connection with the Business Improvement District.
NOW, THEREFORE, in consideration of the mutual covenants hereinafter
contained with each of the parties intending to be bound hereby, it is agreed that:
1. The Agreement is continued for an additional one year and shall terminate
at 11 :59 p.m., on December 31, 2011, unless renewed during the thirty (30) day period prior
thereto.
2. All other terms and provisions of the Agreement are ratified and
confirmed and shall remain in full force and effect except as modified herein.
IN WITNESS WrIEREOF, this Agreement is executed as of the date first
written above.
