RESOLUTION OF THE AUGUST A RICHMOND COUNTY COMMISSION
REGARDING PURCHASE OF ASSETS OF LAND GAS OF GEORGIA, LP
WHEREAS the Commission in a special called meeting of March 6, 2007 approved the
recommendation of the mediator in the case of Augusta, Georgia v Land Gas of Georgia, LP
Civil Action No. 2005-RCCV-643, Superior Court, Richmond County, Georgia and authorized
the execution of a contract for purchase and sale of the assets of Land Gas of Georgia, LP which
included all of its property located on the real propelty used as the Augusta Richmond County
Solid Waste Landfill; and
WHEREAS such contract has been negotiated and fully executed and a copy of said
contract spread upon the minutes of this body contemporaneously with the consideration of this
proposed resolution; and
WHEREAS the Solid Waste Director, the Administrator, Special Environmental Law
Counsel and County Attorney recommend the closing of said contract according to its terms on
or about January 3, 2008 as is more specifically set forth in said contract and that the Solid
Waste Director, Administrator and Finance Director represent that there are sufficient funds in
the Solid Waste accounts to fund the purchase of said assets as set forth in the contract, to wit
$4,000,000.00 and associated ordinary and necessary closing expenses;
NOW THEREFORE BE IT RESOLVED that the Mayor and/or Mayor Pro Tern is
authorized to close said transaction on behalf of the Augusta Richmond County Commission for
Augusta, Georgia and this resolution shall be evidence of said authority and evidence of the
assent of said Commission to the closing of said transaction and be it further resolved that said
Mayor and/or Mayor Pro Tern is hereby expressly authorized to execute any and all documents
necessary or convenient to the closing of said sale of assets on behalf of Augusta, Georgia as
purchaser or said assets and fulther Special Environmental Law Counsel and/or County Attorney
is authorized to execute any and all documents which are necessary or convenient to accomplish
dismissal of the litigation styled Augusta, Georgia v. Land Gas of Georgia LP, Civil Action No.
2005-RCCV-643, Superior Court, Richmond County, Georgia and execute any and all documents
necessary or convenient to the closing of said asset sale which are required or permitted to be
signed by legal counsel.
