HomeMy WebLinkAboutLIVING HORIZONS TWELVE INC 1068 BERTRAM ROAD RESOLUTION TO AUTHORIZE TRANSFER AND SALE OF PROPERTY TO INDEPENDENT LIVING HORIZONS TWELVE, INC. WHEREAS, the Augusta Commission (hereinafter "City" or "Augusta") authorized the Administrator of Augusta to execute an Option and Purchase Agreement dated October 2, 2008, for the sale of the property commonly known as 1068 Bertram Road (Map and Parcel 012-0-358- 00-0) (the "Property"), to Georgia Rehabilitjition Institute, Inc.; and WHEREAS, said Option has been extended twice and has been assigned as permitted by the Option and Purchase Agreement to Independent Living Horizons Twelve, Inc., an affiliated entity of Georgia Rehabilitation Institute, Inc.; and WHEREAS, Independent Living Horizons Twelve, Inc. has indicated that it is exercising its right to purchase the Property under the terms of the Option and Purchase Agreement for a total purchase price of $30,000.00; and WHEREAS, it is necessary and appropriate for a resolution be adopted authorizing the sale of the Property and the execution of the necessary closing documents by the Mayor and the Clerk of Commission. NOW THEREFORE, it is hereby resolved as follows: 1. That the Property commonly known as 1068 Bertram Road (Map and Parcel 012-0- 358-00-0) and more fully described on Exhibit A, shall be transferred to Independent Living Horizons Twelve, Inc., pursuant to the Option and Purchase Agreement dated October 2, 2008 for $30,000.00 with the net sales proceeds being delivered to Augusta, Georgia for deposit in the General Fund of Augusta, Georgia. 2. It is further resolved that the Mayor and Clerk of Commission of Augusta, Georgia are hereby authorized to execute a warranty deed, closing statement and owner's affidavit and such other documentation as may reasonably be required, in form approved by counsel for Augusta, conveying all of Augusta's interest in the Property, which interest is subject to all easements and restrictions of record. 3. This Resolution shall be recorded in the Minutes of the Augusta-Richmond County Commission, accompanied by the exhibits referred to herein.
