RESOLUTION GRANTING CONTINGENT
APPROVAL FOR CLOSING OF GOSHEN
INDUSTRIAL BOULEVARD
, WHEREAS, Augusta, Georgia and Norfolk Southern Corporation have been
negotiating the possible closure of Goshen Industrial Boulevard in exchange for certain
undertakings by Norfolk Southern Corporation and others, including (a) securing of funding
from the Georgia Department of Transportation and from certain industries along State Route 56
Spur for installation of railroad crossing protection devices at three railroad crossings on said
State Route 56, (b) necessary property exchanges and (c) application, installation, and use of
Railway Technology, Inc. (RTI) Hydra-Switch 3000™ (HS-30bO) in the Joint Track shared by
CSX Railroad and Norfolk Southern in Augusta, Georgia; and
WHEREAS, Norfolk Southern is pursuing discussions and negotiations with
CSX Corporation for such application and use of the HS-3000 in the Joint Track; and
WHEREAS, Norfolk Southern desires to proceed with securing of funding from
the Georgia Department of Transportation and industries along State Route 56 Spur to expedite

Industrial Boulevard, contingent upon approval of a joint agreement among CSX Corporation,
Norfolk Southern, and Augusta, Georgia, relating to the Hydra-Switch 3000™ application,
installation, and use in the Joint Track shared by CSX and Norfolk Southern in Augusta,
Georgia:

NOW, THEREFORE, be it resolved that the Augusta-Richmond County
Commission, does hereby grant contingent approval upon ah agreement between Norfolk
Southern Corporation and Augusta, Georgia, for the installation of. the railroad crossing
protection devices, including flashing lights and bells, along State Route 56 Spur, conveyance of
the agreed upon property exchanges, with the subsequent closing of the crossing of Goshen
Industrial Boulevard, contingent upon the execution of an agreement between Augusta, Georgia,
CSX Corporation and Norfolk Southern for the application, installation, and use of the RTI
Hydra-Switch 300QTM in the Joint Track shared by CSX Corporation and Norfolk Southern in
Augusta, Georgia. It is specifically understood and agreed, however, that Augusta, Georgia,
shall have no obligation to close the crossing on Goshen Road until such time as an agreement
has been approved by the Augusta-Richmond County Commission, and jointly entered between
Augusta, Georgia; CSX Corporation, and Norfolk Southern, for the application and use of the
RTI Hydra-Switch 3000™ as herein provided.
