RESOLUTION
A RESOLUTION AUTHORIZING THE ESTABLISHMENT AND
MAINTENANCE OF CERTAIN SECURITIES AND CASH
ACCOUNTS WITH THE ROBINSON-HUMPHREY COMPANY
FOR THE PURPOSE OF MANAGING, INVESTING,
SELLING AND OTHERWISE DEALING IN ASSETS OF THE
RICHMOND COUNTY 1945 AND 1977 PENSION PLANS,
AUTHORIZING CERTAIN AGREEMENTS RELATED THERETO
AND AUTHORIZING THE MAYOR AND CLERK TO EXECUTE
AND DELIVER CERTAIN DOCUMENTS AND AGREEMENTS
IN CONNECTION THEREWITH.
WHEREAS, the Augusta-Richmond County Commission-Council
has heretofore elected to employ The Robinson-Humphrey Company to
manage all assets for the Richmond County 1945 and 1977 Pension
Plans; and
WHEREAS, In order to perform such services The Robinson-
Humphrey Company and its parent company, Smith Barney, Inc. have
requested that Augusta-Richmond County Commission-Council adopt a
resolution authorizing the establishment and maintenance of certain
securities and cash accounts and have requested that the Mayor and
Clerk execute and deliver to them certain documents and other
agreements routinely required by The Robinson-Humphrey Company in
connection with the services to be performed in the management of
such assets.
WHEREAS, the Augusta-Richmond County Commission-Council,
as Trustee under said Pension plans desires to adopt such

resolution and to authorize and direct the Mayor and Clerk to
execute and deliver such documents and agreements and to take such
action and exercise such authority as may be provided therein.
NOW, THEREFORE, BE IT RESOLVED, that the Augusta-Richmond
County Commission-Council as Trustee under the Richmond County,
Georgia 1945 and 1977 Pension Plans, as heretofore amended, does
hereby adopt the resolution authorizing the establishment and
maintenance of certain cash accounts attached hereto as Exhibit "A"
and does hereby authorize and direct the Mayor and the Clerk to
execute and deliver to The Robinson-Humphrey Company and its parent
company, Smith Barney, Inc. such documents and agreements and to
take such action and exercise such authority as may be authorized
or provided therein.
Duly adopted by the Augusta-Richmond County Commission-
Council this ~ day Of~' 1996, by a vote of ~ ayes,
I nays and 0 abstaining.
