HomeMy WebLinkAboutBONDS RESOLUTION OF THE AUGUSTA-RICHMOND COUNTY COMMISSION WHEREAS, the Augusta-Richmond County Commission (the "Commission") adopted a resolution on September 6,2006, for the purpose of submitting to the qualified voters ofthat political subdivision of the State of Georgia now known as Augusta, Georgia ("Augusta") the question of whether to impose, levy, and collect a one percent sales and use tax (the "Sales Tax") within Augusta, conditioned upon approval by the qualified voters voting in an election held on November 8, 2005 for such purpose, and providing that in the event the Sales Tax is approved by the voters such vote shall also constitute approval ofthe issuance of general obligation debt of Augusta in the principal amount of$44,000,000 (the "Bonds") for the purpose of financing the cost of certain public facilities for Augusta, consisting of an exhibit hall and expansion of county jail facilities known as the Webster Detention Center (collectively, the "ProjeCt"); and WHEREAS, the election was held on November 8, 2005 in accordance with said resolution and a majority ofthe qualified voters voting in said election voted in favor of the imposition ofthe Sales Tax and the issuance ofthe Bonds in the principal amount of $44,000,000. WHEREAS, prior to the issuance ofthe Bonds, the Commission reasonably expects Augusta may expend funds on the Project and wishes to be reimbursed for such expenditures from proceeds ofthe sale of the Bonds; and WHEREAS, the Commission wishes to adopt this resolution for the purpose of declaring its official intent to issue the Bonds and to reimburse the above described expenditures from proceeds of the sale of the Bonds; and WHEREAS, prior to the issuance ofthe Bonds, the Bonds must be validated in the Superior Court of Richmond County, and the Commission wishes to authorize the Mayor of Augusta to notify the District Attorney of the Augusta Judicial Circuit of the proposed issuance of the Bonds and to request said District Attorney to institute a proceeding to validate the Bonds. NOW THEREFORE, be it resolved by the Commission as follows: 1. Prior to issuance of the Bonds, the Commission reasonably expects that Augusta may expend funds on the Project. The Commission wishes to be reimbursed for such expenditures from Bond proceeds. Therefore, the Commission, pursuant to Treasury Regulation S 1.150-2, hereby declares its official intent to issue the Bonds in the principal amount of$44,000,000 and to reimburse original expenditures on the Project with proceeds from the sale ofthe Bonds. 2. The Mayor is hereby authorized and requested to notify the District Attorney of the Augusta Judicial Circuit of the proposed issuance ofthe Bonds, to request said District Attorney to institute a proceeding to affirm and validate the Bonds and to pass upon the security therefor, and the Mayor is further authorized to acknowledge service, submit an answer and execute and deliver such other documents and papers as may be necessary in connection with the validation proceedings. CLERK'S CERTIFICATE The undersigned Clerk ofthe Augusta-Richmond County Commission (the "Commission"), hereby certifies that the foregoing is a true and correct copy of a resolution duly adopted by the Commission at a meeting called and held on March 29,2006, at which meeting a quorum of the Commission members were present and L voted in favor of said resolution, L voted against the resolution and _ abstained from voting; that said resolution was lawfully adopted, has been spread upon the corporate records ofthe Commission, has not been modified or amended, and is in full force and effect.
