INTRODUCTION
Background
The City of Augusta, Georgia Utility Department (Augusta Utilities Department - AUD)
and Systems and Software (5&5) have agreed to engage in the upgrade of their Customer
Information System (CIS) system. Under this arrangement, AUD will upgrade from their
currently installed release of 5&5' UtilitySuite, enQuesta Version 1.1 to 5&5' most current
software release of UtilitySuite, enQuesta Version 3.0. This enQuesta upgrade will provide
AUD the opportunity to implement the latest generation of CIS software and facilitate the
capability to better serve their customers.
Objectives

. Establish AUD on the standard, most current version of UtilitySuite, enQuesta 3.0
. Increase AUD's end-user productivity through the improved usability of the enQuesta 3.0
front end complemented by 5&S' improved product documentation and training
methodologies
. Reduce project risk by leveraging 5&5' existing knowledge of AUD's environment, current
processes and terminology
. Strive to establish project team continuity by maintaining a consistent core group of AUD
and 5&5 members I
. Utilize 5&5' improved implementation methodology to meet and exceed project
expectations by clearly defining roles and responsibilities and enabling open, consistent
project communication
. Provide AUD the opportunity to achieve greater efficiencies and data access through the
implementation of 5&5' advanced reporting solution, the enQuesta Reporting Portal and
Cognos' ReportNet, and deliver timely, accurate role-based reports to AUD enQuesta
end-users

PROPOSED HIGH LEVEL SCOPE AND RESPONSIBILITIES
Proposed High Level Scope
It is anticipated that AUD will port forward all existing enQuesta Version 1.1 functionality to
enQuesta Version 3.0. This includes the CIS (Billing) and skeletal GL (Financial) modules.
Current enQuesta system interfaces, that have been covered under the Annual Software
Maintenance and Support Contract, will be ported forward and maintained in their "as is" state and
be tested to ensure proper functionality within the enQuesta environment.
Any additional enQuesta modules, supplementary system interfaces or business process
modifications and improvements are not yet scoped or priced as part of this initial quote.
However, 5&5 looks forward to the opportunity to discuss these requirements with AUD.
Project Responsibilities
For a project of this nature and in order to ensure a successful enQuesta upgrade, it is necessary
for the Customer (AUD) and Vendor (5&5) to work together jointly and cohesively as a team. To
achieve this goal and set the proper expectations regarding roles and responsibilities, AUD and
5&5 will each maintain a set of general project duties. 5&5' knowledge of AUD's environment
and business process can significantly minimize, but not eliminate, AUD's involvement. These
general responsibilities include:
A. General AUD Responsibilities
A. Assistance with overall project oversight and management to include ensuring
availability of AUD Functional Subject Matter Experts for input to and participation
during: requirements, specifications, test plans creation and test plan execution
activities
B. Provide 5&5 with written process documentation and requirements for those
business procedures that have been modified since the original enQuesta 1.1 Go
Live in May 2003
C. Ensure that the enQuesta 1.1 data environment is as clean and consistent as
possible prior to the data conversion to enQuesta 3.0. Extraneous information
should ~e cleansed from the ~ystem by completing outstanding or 'in flight' business
processes. Examples of recommended areas for attention would include name and /
or mailing address changes or the closing out of open work orders.
D. Sign off on project related documents and deliverables including: requi;ements,
specifications, test plans developed and executed covering business critical
functional areas, including interfaces
E. Primary responsibility, with assistance from 5&5, to create and execute a set of Test
Cases that will ensure the system is tested thoroughly and to AUD's satisfaction
F. Work with 5&5 to jointly create the set of Acceptance Criteria to cover the scope of
effort contained within this Statement Of Work
G. Sign off on developed and executed Acceptance Criteria for the purpose of achieving
system acceptance
H. Ensure that Key personnel and user participate in end-user and operational training
to be offered remotely and/or onsite. If project activities such as Training or Testing
are scheduled to occur in Vermont, AUD will bear the responsibility for any and all
travel related expenses for AUD personnel
I. Provide proper seating space and meeting room space for 5&5 on-site project team
needs, as necessary

J. Provide proper meeting room space to serve as a Project Conference room, as
necessary. Meetings will typically range from 4 to 6 people.
K. Provide proper and adequate hardware and software environments that will enable
current production enQuesta 1.1 and test / train enQuesta 3.0 to be run
successfully
L. Provide proper and adequate hardware and software environments that will enable
S&S to execute final enQuesta 1.1 to enQuesta 3.0 data conversions
M. PostScript Printers - enQuesta 3.0 generated Work Orders, Letters and Documents
must be printed on a PostScript enabled printers. Note: This does not include
enQuesta reports. As part of the migration from enQuesta 1.1 to enQuesta 3.0,
WordPerfect templates have been replaced by Microsoft Word based templates.
AUD will be required to migrate their existing WordPerfect-based templates to
Microsoft Word. 5&5 will provide basic training on the Microsoft Word template
creation and aid in the conversion of up to 5 document templates. Over and above
the 5 document templates which 5&5 provides assistance in migrating, AUD will
bear the responsibility.
a. Pin-feed or dot-matrix printers will no longer be supported within enQuesta
3.0. Laser printers with network connectivity will be required.
N. Existing enQuesta 1.1 History - enQuesta maintains a vast amount of account
level historical information including Billing, Payment, Consumption and Work Order
History. Over time, some of this information becomes extraneous and unnecessary
to maintain. Additionally, increasing volumes of data will slow system performance.
As part of the enQuesta 3.0 upgrade, AUD should plan to retire older years of
Consumption, Billing, Reading, Payment and Work Order history. To optimize AUD's
enQuesta environment, 5&5 will discuss with AUD their legal requirements for
maintaining history so that the appropriate plans for conversion may be developed.
Ideally, history older than 3 years may be migrated but this decision will be based
upo,n AUD's requirements.
O. Adherence to all 3rd Party Software maintenance requirements, including:
a. Micro Focus upgrades -Customers not currently at Micro Focus version
"Server Express" 2.2, 4.0 SP1 or above need to upgrade to this level. For
customers not a~ this level, this is a charged upgrade from the vendor, as it
is a new product entirely
b. IBM AIX upgrades - Customers wishing to utilize existing IBM servers and
not acquire new hardware, are required to be at AIX operating system level
5.3 or greater to accommodate enQuesta. The upgrade to AIX 5.3 would
be a charged upgrade from the vendor (IBM) if the Customer does not have
an in-force IBM Software Maintenance agreement
c. Cog nos levels - Customers who utilize Impromptu but are not currently at
Cog nos v7.0 or greater will need to upgrade to this level to accommodate
enQuesta. This upgrade would be provided under the 5&5 Annual
Software Maintenance program, assuming the Customer is paying Cognos
maintenance thru 5&5 for a prior Cog nos version.
d. Oracle 9i Release 2 Enterprise Edition including Tuning and Diagnostics
packs
e. enQuesta Oracle Communications software and Thin-Client software
f. Microsoft Word - AUD will require Microsoft Word to create and manage
enQuesta Work Order, Letter and Document Templates. WordPerfect is
no longer supported within enQuesta.
g. Other 3rd party software, such as Apache Tomcat and the Java JDK, as
necessary, and as determined in future

P. Adherence to enQuesta Client PC Hardware & Software requirements, including:
a. Client PC's, which will be running enQuesta, should have an operating
system of Windows 2000, Windows NT or Windows XP
b. Client PC's, which will be running enQuesta, should be of at least a
Pentium III 1.2Ghz CPU class with 256MB of memory and have available
10MB of disk space.
c. Client PC's, which will be running enQuesta, should have Internet Explorer
6.0 or above installed. Screen resolution should be at least 1024 x 768.
d. Client PC's, which will be running enQuesta and need to take advantage of
enQuesta's ability to export Excel type information, will need to have
Microsoft Excel installed.
e. Network speed for Client PC's running enQuesta should be capable of a
minimum of 100 Mbps to the desktop and have a valid TCP/IP network
connection. I
f. Ethernet network utilization should not exceed more than 25% utilization in
LAN segments that will have enQuesta users. enQuesta performance will
degrade due to insufficient network infrastructure, including to remote sites.
Fiber, or equivalent, to remote sites is highly recommended.
Q. Adherence to the terms and conditions contained within the Systems & Software
Annual Software Maintenance and Support Contract (ASMSC).
B. General 5&5 Responsibilities
A. Overall Project Management and adherence with the Project Communications Plan,
including the providing and updating of Project and Resource Plans and monthly
Status Reports, to ensure the successful, on-time delivery and implementation of
enQuesta.
B. Delivery of end-user and operational training for AUD core-team and key personnel
to be offered onsite and/or remotely.
C. As necessary, execution of AUD defined test cases to ensure proper operation of
specific functional areas and external interfaces with enQuesta
D. Joint participation with AUD to create a set of Acceptance Criteria for this Statement

E. Project Management, Data Conversion, Implementation, Testing Assistance,
Documentation, Go Live and Support Services to be provided both remotely and
onsite. Night and weekend work included as necessary.

Description - High Level Project Activities
The following describes the high level project activities, services and scope of the AUD enQuesta
3.0 upgrade
A. Proiect Manaaement - 5&5' project management methodology incorporates a structured
project implementation process that defines the required steps to successfully and
efficiently implement enQuesta. By integrating project management methodologies, the
team ensures a standard progression of research, information exchange, and actions for the
combined team that are executed over the course of the project Iifecycle. Together AUD's
and 5&5' "Core Group" represent the project implementation team. 5&5' Project Manager
and AUD's Project Manager will work together closely to ensure that project dates and
activities are reasonable, that the necessary resources from each side are scheduled and so
that internal communication, within the respective organizations is clear.

5&5: Project Manager is r~sponsible for the overall execution of the formal project plan and
for adhering to the communication plan. The communications plan details the frequency,of
joint Core Team meetings and status reports as well as indicates the Change Management
and Issue Resolution processes. The project plan and communications plan serve as the
roadmaps which outline the required steps to successfully and efficiently implement
enQuesta and communicate effectively throughout the project.
For AUD's 'base upgrade, 5&5 has planned for a project duration of 6 months with a
Project Manager allocated at 30% effort for the duration of the project.
B. Data Conversion - The data conversion process consists of a set of activities grouped into

The Assessment segment entails identifying new and modified tables and data
attributes from between AUD's enQuesta 1.1 and enQuesta 3.0. Data mapping and

verification, as well as the preparation and testing of conversion routines are
accomplished during the Design and Conversion Planning segment. During the Testing
and Execution phase, data is moved from enQuesta 1.1 to the enQuesta 3.0
Training environment using methods developed in the previous segments. The
conversion process is executed in two parts: initially in an iterative manner to
perform parallel billing and testing; then finally immediately prior to production go-
live.
5&5 will migrate existing enQuesta 1.1 AUD data to enQuesta 3.0 in an 'as is'
state. No plan or effort has been scoped or included for special AUD requests to
parse, transform or provide AUD specific data conversion services. For AUD's 'base
upgrade, 5&5 has planned for and budgeted 4.5 person weeks of data conversion and
testing effort.
C. Imolementation & Testinq - The Implementation and Testing activities involves analyzing,
implementing and verifying the appropriate enQuesta 3.0 system configuration in a
Training / Test environment preceding the deployment to Production. The activities
encompass the existing AUD business processes and those new or modified enQuesta 3.0
business procedures, agreed to in advance and as defined in this SOW, from AUD's
,enQuesta 1.1 implementation. Additionally, the activities include migrating forward, in
their current enQuesta 1.1 state, AUD's existing interfaces. Examples of interfaces would
include the current meter reading, General Ledger, IVR and IWR.
During this phase, enQuesta 3.0 will be installed into a Training / Testing environment on
the existing AUD production server (other arrangements may be made at AUD request).
This environment will serve as the environment in which Application Testing, Data
,Conversion Testing and end-user Training1are to be conducted. When, per the project plan
dates, enQuesta 3.0 is operating properly, the next steps towards the production Go-Live
will commence.
Please note, 5&5 maintains primary responsibility for testing enQuesta prior to
deployment to the AUD Train / Test environment. AUD maintains primary responsibility for
testing enQuesta functionality once deployed to the Train / Te~t environment. 5&5 will
offer testing support and assistance for enQuesta functionality deployed in the Train / Test
environment.
5&5 has planned forjand budgeted 8 person weeks of Implementation and Testing effort.

D. Traininq & Documentation - A successful upgrade or implementation cannot be achieved
'without AUD's experienced enQuesta 1.1 users being trained on the new product features
,being implemented with enQuesta 3.0. The 5&5 team will work with AUD to develop the
Training Plan, which details which AUD personnel will receive which enQuesta 3.0 module
training. A combination of eLearning, self-paced modules, actual classroom-style training
and individual mentoring will be utilized. Optionally, AUD may choose to contract for 5&5'
enQuesta Certified Train-the- Trainer or enQuesta Certified User programs.
5&5 will additionally deliver, in PDF form, the enQuesta 3.0 product and training material.
5&5 has planned for and budgeted 4 person weeks of Training and Documentation effort
for AUD's enQuesta 3.0 base upgrade.
E. Go-Live - 5&5 strives to make the actual cutover, or Go-Live, be as much of a "non-
event" as possible. Strong project planning and execution should lead to the cutover being
as smooth, productive and as least disruptive as possible. 5&5 will execute the cutover
plan, which will include the final drawing down of the enQuesta 1.1 environment,
enQuesta 3.0 final data conversion and the "turning on" of the configured enQuesta 3.0
environment. The System Test Cases will be executed and the system verified to be
assured it is executing properly. 5&5 staff will be on-site over the Go-Live weekend, as

well as during the initial business days after cutover, to aid in any issue resolution and to
offer mentoring and assistance.
5&5 has planned for and budgeted 7 person weeks of Go-Live effort for AUD's enQuesta
3.0 base upgrade.
F. Post Go-Live Suooort -Immediate production-critical, support services are provided from
5&5' facility in Vermont. Following system go-live, a punch list and plan of action regarding
outstanding issues is created prior to 5&5' team leaving AUD's site. All of the outstanding
issues and remaining project deliverables are documented and given the highest priority.
Periodic status reviews, via phone or video conference, are held between the AUD and 5&5
project teams to address outstanding project items until a "Final Acceptance" is agreed
upon.
5&5 has planned for and budgeted 2 person weeks of Post Go-Live Support effort for AUD's
enQuesta 3.0 bflse upgrade.
G. Final Svstem Acceotance
In order to gain the utility's final acceptance, the Systems Acceptance criteria and all issues
on the punch list must be resolved. Systems Acceptance criteria will be identified through
the final contract language and Statement of Work.
The Final System Acceptance will be achieved when the following events have taken place:

. No outstanding 'critical' or 'showstopper' issues
. Users have been trained
. Major (contractual) deliverables are complete with no critical defects
. Outstanding issues have been scheduled for completion

Hardware
AUD's current IBM 6H1 server is over three years old. Current performance is reasonable.
However, this server is due to come off lease shortly and AUD would like to consider replacing this
server with a newer model. Growth-wise, it is possible that AUD's future use of the enQuesta
environment would increase with the addition of new offerings such as the enQuesta Reporting
Portal and Cog nos' ReportNet. The load that AU D's new business requirements or increased
usage of enQuesta would put on the system is undetermined at this juncture.
During the enQuesta 3.0 implementation, AUD will required to provide both production
enQuesta 1.1 environments (current) and enQuesta 3.0 Training / Testing environments. This
hardware will additionally be used to execute AUD's final data conversions during the Go-Live
timeframe.
Due to these requirements, AUD and 5&5 agree to address hardware requirements under a
separate Statement of Work.

MAINTENANCE
Maintenance - enQuesta 1.1 to enQuesta 3.0 Transition
Through this agreement, the Augusta Utilities Department and 5&5 continue their existing
Customer - Vendor relationship. The terms and conditions, which have governed the ongoing and
annual maintenance responsibilities of this relationship, have been in accordance with Attachment
A of the Annual Software Maintenance & Support Contract (ASM&SC). This agreement has been in
force between AUD and 5&5 for the last 3 years with the terms, conditions and associated costs
renewed annually.
As an existing customer that has maintained their ASM&SC in force, AUD is entitled to receive, at
no additional software cost, the enQuesta 3.0 versions of the enQuesta 1.1 software modules for
which AUD is currently licensed. AUD and 5&5 agree that the existing ASM&SC, which currently
covers all existing enQuesta software, support and 3rd party software, will remain in force through
this project. AUD and 5&5 agree that the base, annual enQuesta 1.1 software module license
and support fees will transfer directly to the corresponding enQuesta 3.0 software modules.
Maintenance - Newly implemented enQuesta Software
There is no "new" enQuesta software proposed as part of this implementation.

All 3rd party software and hardware maintenance and support is effective and due upon initial'order
and delivery from the associated vendor.

ASSUMPTIONS
Base Scope
As previously stated, the scope of the enQuesta Version 1.1 to enQuesta Version 3.0 upgrade is
expected to migrate existing enQuesta v1.1 business process, functionality and interfaces to
enQuesta v3.0 in an "as is" state. AUD will derive significant benefit through the improved
usability and data access of enQuesta v3.0. There are significant functional improvements made
within enQuesta v3.0, some of which AUD may wish to implement but these are as yet undefined
and unknown. AUD may wish to have 5&5 analyze and ultimately implement some of these
business process improvements and this additional effort will be managed through the 5&5
Change Control Process or under separate contract.
As a guideline and foundation, AUD and 5&5 agree the base scope to be:

individuals that attend training will have prior enQuesta ~xperience.
. Any Train-The-Trainer or Certified User / Trainer programs. 5&5 has both Train-The-
Trainer and Certification programs available to AUD but until defined and agreed to, these
are not within project scope.
. Any upgrades to current production hardware unless explicitly stated within this Statement
of Work. 5&5 expects that the AUD 's current utilization of enQuesta Version 1.1
(number of users, level of work, business procedures) will be similar under enQuesta
Version 3.0. AUD and 5&5 will work together to assess system performance, if necessary
and at the appropriate time.
. IWR / WebConnect Enhancements - Enhancements or business rules that are targeted
for the Integrated Web Response system implemented jointly with First Data Government
Solutions
