Dear Mayor Sconyers:
Georgia Rehabilitation Institute~ Inc., a Georgia
non-profit corporation (the "Company"), has requested that the
Development Authority of Richmond County (the "Issuer") assist
the Company in financing the acquisition and construction of an
assisted living facility located on Walton Way Extension,
Augusta, Richmond County, Georgia (the "Project"), by issuing its
revenue bonds for that purpose in the aggregate principal amount
currently estimated as not to exceed $1,500,000.00 ("the Bonds).
The Issuer proposes to assist the Company in the
financing of the Project. The hearing officer of the Issuer has
conducted a public hearing on your behalf with respect to the
proposed financing of the Project and hereby recommends and
requests that you approve the issuance of the Bonds and the
financing of the Project as required by Section 147(f) of the
Internal Revenue Code 'of 1986, as amended.
Attached hereto is (1) a certificate evidencing the
conduct of a public. hearing by the hearing officer of the Issuer
on August 31, 1997, and the action taken by the hearing officer
of the Issuer and (2) the form of your approval of the issuance
of the Bonds.

CERTIFICATE OF
THE DEVELOPMENT AUTHORITY OF
RICHMOND COUNTY REGARDING PUBLIC HEARING
I, the undersigned Hearing Officer of the Development
Authority of Richmond'County (the "Issuer") DO HEREBY CERTIFY, as
follows:
(1) A Public Hearing was held pursuant to Section
147(f) of the Internal Revenue Code of 1986, as amended and under
Treasury Regulations, Section Sf.163-2(e), on August 14, 1997, at.
9:00 o'clock A.M., at the Chamber of Commerce Building, 600 Broad
Street Plaza, in Augusta, Georgia pursuant to proper notice given
in accordance with law as to the time and place of this Hearing
prior to such Hearing. The Hearing ,was open to the public. The
time of the Hearing and the room in which the Hearing was held
provided a reasonable opportunity for persons of differing views
to appear and be heard. At such Hearing Jerry B. Dye, the duly
authorized Hearing Officer of the Issuer was present and acting
on behalf of the Issuer.
(2) I announced the commencement of a Public Hearing
on behalf of the Augusta-Richmond County Commission- Council
(The Consolidated Government of Augusta - Richmond County), on
the application of Georgia Rehabilitation Institute, Inc. a
Georgia non-profit corporation (the "Company"). The Chairman of
the Issuer has caused the publication of a notice of the Hearing
at least fourteen (14) days prior to the Hearing in The Augusta
Chronicle, a newspaper having general circulation in Richmond
County, Georgia (the "Notice"). A copy of the Notice has been
filed and appears of record in the Minute .Book of the Issuer and
is attached hereto together with an affidavit of publication as
Exhibit "A". .
(3) The following person appeared and addressed the
Issuer on behalf of the Company.
A summary statement of the Company is attached hereto
as Exhibit "B".
(4) The following person(s) also appeared and asked to
be heard with respect to the granting by the Issuer of the
financial assistance requested by the Company and the financing
referred to in the Notice: None' ,

deciared the Public Hearing closed at 9;~6 o'clock a.m.

Gentlemen:
Georgia Rehabilitation Institute, Inc. ("GRi") has requested the issuance of your First
Mortgage Revenue Bonds (Georgia Rehabilitation Institute, Inc. Project) Series 1997, in
the principal amount of $1,500,000.00, the proceeds of which will be loaned to GRI to
finance in part the costs of acquiring, constructing, installing, and equipping an assisted
living facility located south of the intersection of Walton Way Extension, Pleasant Home
Road, and Skinner Mill Road (the "Project"), in Augusta, Richmond County, Georgia.
The Project will contain fourteen assisted living units, two studio apartments, two one
bedr09m apartments and two two bedroom apartments all designed to home the
disabled and their families. The cost of the Project will exceed $1,500,000.00.
The owner of the Project will be Georgia Rehabilitation Institute, Inc., a Georgia
nonprofit corporation. .
This letter is submitted to be made a part of the record of the Public Hearing conducted
by you on August 14, 1997 under the provisions of section 147(f) of the Internal
Revenue code of 1986 as amended and the applicable Treasury Regulations.

APPROVAL BY THE MAYOR OF AUGUSTA~RICHMOND COUNTY
OF
DEVELOPMENT AUTHORITY OF RICHMOND COUNTY
FIRST MORTGAGE REVENUE BOND
(GEORGIA REHABILITATION INSTITUTE, INC. PROJECT) SERIES 1997
WHEREAS, under section 147(f) of the Internal Revenue Code of
1986, as amended, and under Treasury Regulation
Section 5f.l03-2(e), the consolidated government of Augusta-
Richmond County (the "Consolidated Government") must approve the
revenue bond to be designated "Development Authority of Richmond
County First Mortgage Revenue Bond (Georgia Rehabilitation
Institute, Inc. Project) Series 1997" (the "Bond") because it is
the governmental unit on behalf of which the Bond is to be issued
by the Development Authority of Richmond County (the "Issuer") and
because it is the governmental unit having jurisdiction over the
area in which the facilities are to be located with respect to
which financing is to be provided from the proceeds of the Bond;
and
WHEREAS, under Treasury Regulation Section 5f.l03-2(d), the
Consolidated Government will approv~ the Bond only if its
applicable elected representative approves the Bond following a
public hearing held in a location which, under. the facts and
circumstances, is convenient for residents of the Consolidated
Government and for which there was reasonable public notice; and
WHEREAS, the Mayor of Augusta-Richmond County is the
applicable elected representative of the Consolidated Government,
within the meaning of Treasury Regulation Section 5f .103-2 (e) ,
because he is the Consolidated Government's chief elected executive
officer popularly elected at-large by the voters of the
Consolidated Government; and
WHEREAS, on August 14, 1997, at 9:00 a.m., at the offices of
the Issuer at 600 BroadStreet Plaza in Augusta, Georgia, the
Issuer, through its designated public hearing officer, conducted a
pUblic hearing on the Bond and the location and nature of the
facilities to be financed with the proceeds of the Bond, notice of
which was published in The Augusta Chronicle on July 31, 1997;
NOW, THEREFORE, THE MAYOR OF. AUGUSTA-RICHMOND COUNTY ACTS AS
FOLLOWS:
1. The Mayor of Augusta-Richmond" County hereby approves the
Bond:
(a) the proceeds of which will finance the costs of
acquiring, constructing, furnishing, and equipping
an approximately 20-unit assisted living facility,

and will finance a portion of the costs of issuing
the Bond,
(b) the maximum face amount of which will be
$1,500,000,
(c) the initial owner of the facilities to be financed
from the proceeds of which will be Georgia
Rehabilitation Institute, Inc., a Georgia nonprofit
corporation, and
(d) the location of the facilities to be financed from
the proceeds of which will be south of the
intersection of Pleasant Home Road, Walton Way
Extension~. and Skinner Mill Road in Richmond
County, Georgia.
2. This approval is solely for the purpose of complying
with, and is to be construed in accordance with, the provisions of
Section 147(f) of the Internal Revenue Code of 1986, as amended,
and shall not result in or impose any pecuniary liability upon or
constitute a lien upon the property of or a claim against the
Consolidated Government, the State of Georgia, or any political
subdivision thereof.
