SUBJECT: Proposal for Construction Testing and Inspection Services South Augusta Recreation Complex Augusta, Georgia Graves Engineering Proposal No. P-98275 Gentlemen: Graves Engineering Services, Inc. is pleased to submit this proposal to provide construction testing and inspection services for the subject project. Based on our conversations, the project is to involve the construction of the South Augusta Recreation Complex to be located off of Willis Foreman Road in Augusta, Georgia. The project consists primarily of site grading and the construction of several small structures. . Based on our conversations, we anticipate that the construction testing services will primarily consist of field and laboratory soils (compaction) and concrete testing. In addition, we anticipate that the inspection services may consist of footing inspections and inspection of proofrolling operations. Graves Engineering Services will provide experienced field engineering technicians to perform field and laboratory testing and quality assurance inspection in accordance with the project specifications. Graves Engineering Service's laboratory is conveniently located in Augusta near the intersection of Bobby Jones and 1-20 and is authorized to operate in the state of Georgia. All testing activities comply with applicable ASTM and industry standards and our field engineering technicians have the proper training and certifications. A registered professional engineer in the state of Georgia is on staff to revie\v all services provided. Graves Engineering meets the requirements of ASTM E-329 and is a member in good standing with the American Council of Independent Laboratories. September 14, 1998 - Page 2 - Compensation for the above anticipated scope of services will be based on the unit rates in the fee schedule contained in the appendix. Please note that all equipment costs( except nuclear density gauge) are incorporated into the engineering technician unit rate. In addition, engineering report review costs for concrete testing services have also been incorporated into individual testing unit rate unless otherwise specified. The above approach is proposed to reduce the need for extensive review of submitted invoices. We will proceed with the work on the basis of your verbal authorization and can mobilize within one day of notice to proceed. Please sign and return one copy of this proposal as it will serve as a contract for the work. Please note that the attached general terms and conditions will apply to this contract. A minimum charge of 2 hours per site visit will apply. Invoices will be submitted once a month. Payment terms are net 30 days. Interest will accrue at the rate of 1.5 percent per month after 30 days. mNERAL TERMS AND COND ONS 1. SERVICES TO BE PROVIDED. Graves EngineeringServices, Inc. (Graves), is an independent consultant and agrees to provide Client, for its sole benefit and exclusive use, consulting services set forth in our proposal. . 2. PAYMENT TERMS. Client agrees to pay our invoice upon receipt. If payment is not received within 30 days from the invoice date, Client agrees to pay a service charge on the past due amount at the prevailing legal rate, including reasonable attorney's fees if collected through an attorney, and Graves reserves the right to suspend all work until payment is received. No deduction shall be made from our invoice on account of liquidated damages or other sums withheld from payments to contractors or others. Either party may terminate this Agreement without cause upon 30 days written notice. In the event Client requests termination prior to completion of the proposed services, Client agrees to pay Graves for all costs incurred plus reasonable charges associated with termination of the work. 3. STANDARD OF CARE. Graves will perform its services using that degree of care and skill ordinarily exercised under similar conditions by reputable members of our profession practicing in the same or similar locality. No other warranty, express or implied, is made or intended by our proposal or by our oral or written reports. 4. INSURANCE. Graves maint:lins insurance coverage as follows: (a) Worker's Compensation Insurance - statutory. (b) Employer's Liability Insurance - $500,000. (c) Commercial General Liability Insurance - $2,000,000 (d) Automobile Liabilitv Insuran"ce - $1,000,000 (e) Excess Umbrella - $5,000,000 Client agrees that Grave's liabilty to client or any third party will be limited to $ 50,000, or our fee, \vhichever is greater. Higher limits of professional liability are available for an additional consideration of ten percent of our toatal fee. Please request the additional liability insurance in \\!fiting. 5. SITE OPERA TI ONS. Client will arrange for right-of-entry to the property for the purpose of performing studies, tests and evaluations pursuant to the agreed services. Client represents that it possesses necessary permits and licenses required for its activities at the site. Grave's field personnel arc trained to initiate field testing, drilling and/or sampling within a reasonable distance of each designated location. Our field personnel will avoid hazards or utilities which are visible to them at the si te. If we are advised or gi ven data in wri ting that reveals the presence or potential presence of underground or overground obstructions, such as utilities, we will give special instructions to our field personnel. Graves is not responsible for any damage or loss due to undisclosed or unknown surface or subsurface conditions, owned by Client or third p:.mies. Except as such damage or loss is a result of our sole negligence, Client agrees to indemnify us from any such claims, suits or losses, including reasonable attorney's fees, resulting therefrom. We will take reasonable precautions to minimize damage to the property caused by our operations. Unless otherwise stated in our proposal, our fee does not include cost of restoration due to any related damage which may result. Field tests or boring lpcationsdescribed in our report or shown on sketches are based on spcciric information furnished by others or estimates made in the field by our personnel. Such dimensions, depths or elevations should be considered as approximations unless otherwise stated in our proposal or report. Page I I -. 6. FIELD REPRE5. iT A TIVE. The presence of our fiel . crsonnel, either full-time or part- time, may be for the purpose of providing project administration, assessment, observation and/or field testing of specific aspects of the project as authorized by Client. Should a contractor(s) not retained by us be involved in the project, Client will advise contractor(s) that our services do not include supervision or direction of the actual work of the contractor(s), his employees or agents. Client will also inform contractor that the presence of our filed representative for project administration, assessment, observation or testing will not relieve the contractor of his responsibilities for performing the work in accordance with the plans and specifications. If the contractor (not the subcontractor of Graves) is involved in the project, Client agrees, in accordance with generally accepted construction practices, that the contractor will be solely and completely responsible for working conditions on the jobsite, including safety of all persons and property during performance of the \'vork, and compliance with OSHA regulations. These requirements will apply continuously and will not be limited to normal working hours. It is agreed that Graves will not be responsible for job or site safety on the project, other than for our employees and subcontractors, and that we do not have the duty or right to stop the work of the contractor. 7. UNFORESEEN CONDITIONS OR OCCURRENCES. It is possible that unforeseen conditions or occurrences mav be encountered which could substantiallv al ter the necessarv services or the risks involved in completing our services. If this occurs, we will promptly notify and con"sult \vith Client, but will act based on our sole judgment \vhere risk to our personnel is involved. Possible actions could ine! ude: (a) Complete the original Scope of Services in accordance \vith the procedures originally intended in our Proposal, if practicable in our judgement; . (b) Agree \vith Client to modify the Scope of Services and the estimate of charges to include studv of the unforeseen conditions or occurrences, \vith such revision a~reed to in \Vritin~; (c) Terminate the services effective on the date specified by us in.\vriting. ~ ~ 8. SAMPLE DISPOSAL. Test specimens or samples generally are consumed or substantially altered during testing and are disposed of immediately upon completion of tests. Drilling samples and other specimens are disposed of 30 days after submission of our report. a. NON-HAZARDOUS SAMPLES. At Client's written request, Graves will retain preservable test specimens or the residue therefrom for 30 days after submission of our report free of storage charges. After the initial 30 days and upon wri tten request, we \vill retain test specimens or samples for a mutually acceptable storage charge and period of time. Client agrees that \\le are not responsible or liable for any loss of test specimens or samples retained in storage. b. HAZARDOUS OR POTENTIALLY HAZARDOUS SAMPLES. In the event that test samples contain constituents deemed hazardous by federal, state or leea! regulations, Graves will: 1) return such samples to Client; or, 2) using a manifest signed by Client as generator and at additional cost, have such samples transported to a location selected by Client for proper final disposal. Client agrees to pay all costs associated with the storage, transport, and disposal of samples. Client recognizes and agrees that Graves is acting as a bailee and at no time assumes title to said materials. 9. CLIENT DISCLOS URE. Client agrees to advise Graves upon execution of this Agreement of any hazardous substance or any condition, knmvn or that reasonable should be kn'own by Client, existing in, on, or near the site that present a potent~al danger to human health, the environment, or equipment. Client agrees to provide continuing infonn::ltion as it becomes aV::lilable to the Client in the future. By virtuc or entering into this control of or responsibility for the site or the person in charge of the site, or undcrtake responsibility for reporting to any federal, statc or local public agencies any conditions at the site that may prcsent a potential danger to public health, safety or the environment. Client agrces under advice of Client counsel to notify the appropriate federal, state or leeal public agencies as required by law, or othef\vise to disclose, in a timely manner, any inrormation th::lt may be necessary toprevent damage to human health, safety, or the environment. . Page 2 10. CLAIMS. The parties agree to attempt to resolve any dispute without resort to litigation. However, in the event a claim is made that results in litigation, and the claimant does not prevail at trial, then the claimant shall pay all costs incurred in defending the claim, including reasonable attorney's fees. The claim will be considered proven if the judgment obtained and retained through any applicable appeal is at least ten percent greater than the sum offered to resolve the matter prior to the commencement of trial. 11. TESTIMONY. Should Graves or any employee of Graves be called or asked to provide testimony or other evidence by any party, whether at deposition, hearing or ~rial, in relation to services provided under this Agreement, Graves shall be compensated by Client for the associated reasonable expenses and labor at appropriate unit rates to the extent the part compelling or requesting the testimony does not provide such compensation. 12. CONFIDENTIALITY. Graves will maintain as confidential any documents or information provided by Client indicated to be confidential and will not release, distribute or publish to any third party without prior permission from Client, except as compelled by order of a court or regulatory body of competent jurisdiction and then only after notice to Client. 13. SEVERABILITY. In the event that any provision of this Agreement is found to be unenforceable, the other provisions shall remain in full force and effect. 14. SUR VIV AL. All obligations arising prior to the termination of this Agreement and all provisions of this Agreement allocating responsibility or liability between Client" and Graves shall survive the completion of the services and the termination of this Agreement. 15. INTEGRA TION. This Agreement, the attached documents and those incorporated herein constitute the entire Agreement between the parties and cannot be changed except by a written instrument signed by both parties. 16. GOVERNING LA \-V. This Agreement shall be governed in all respects by the laws of the State of Georgia.
