ASSIGNMENT
This Assignment (the "Assignment") is made and entered into
as of the ~ day of ~~4ne~ ' 1997, by and between Shelter
Ad Systems ("SAS") and Lamar ransit Advertising ("Lamar").
WIT N E SSE T H:
WHEREAS, the City Council of Augusta, SAS and Augusta Public
Transit entered into an Agreement dated October 12, 1992 (the
"Agreement") whereby SAS would provide shelters for bus stops
throughout the City of Augusta; and
WHEREAS, subsequent to this Agreement, the City of Augusta
and Richmond County, Georgia were consolidated pursuant to state
legislation and are now governed by the Augusta-Richmond County
Commission; and
WHEREAS, SAS desires to assign its rights, duties and
liabilities under responsibilities under the Agreement to Lamar,
Lamar desires to accept such assignment on the terms and
conditions set forth herein and in the Agreement, and the County
consents to said assignment.
NOW, THEREFORE, for and in consideration of the mutual
promises contained herein, and other good and valuable
consideration, the receipt and sufficiency of which are hereby
acknowledged, the parties hereby agree as follows:
1. Pursuant to section 10 of the Agreement, the County
consents to SAS' assignment of the Agreement to Lamar under the
terms and conditions set forth herein and in the Agreement.
2. Lamar hereby accepts the assignment of the Agreement by
SAS, and hereby agrees that it is bound by all terms and
conditions of the Agreement and that it will comply with all such
terms and conditions.
3. Lamar acknowledges that, prior to this assignment, SAS
was notified by the County of problems with its performance under
the Agreement which had to be resolved. Lamar hereby agrees to
take the following actions with regard to the aforementioned
problems:
a. Lamar shall replace all broken glass on all
shelters covered by the Agreement with glass, lexan or
plexiglass. Such replacement will be within thirty (30) days of
the execution of this Assignment.
