Dear Mayor Young:
This will confIrm our understanding 01' our engagemCI1l to serve as the Internal Audit DepanmenL
for Augusta. The tenn of this engagement. shall be for the year to end December 31, 2002 and will
continue from y ear-to-y car unless soonerterminated. Either parLy may rem1inale this agreement at
any time upon giving si>..'TY (60) days written notice,
In consultation with tht adminismllor or his designee and comptroll~r. we will prepart an rllldil phm
which will be presented to the Audit Committee for approval. Also, ~e will perform vaJ.-iou:) audits
as instructed by you, the administrator or the commission.
We will meet witb the administ.rator or his designee and comptroller on a quarTerly basis and will
provide written rep01-ts on our completed auditl' and the status of audits in prof;,Tress. We wil] also
meet with the Audit Committee on a regular basis and be available to meet with you, any
commission committee or any commissioner at their convenience.
Our fee for the year to end December 31, 2002 will nor exceed the maximum approved in the 2002
budget. We will submit invoices monthly and the billing will be based on the actual number of
hours and classification of the individuals who are working on this engagement. The rates v~ry
depending on the c1assification and e>"'Perienee of t:ach individual.

We will provide a backup detail with our invoices of the individuals who work on this
engagement including the week the work was performed, the number of hours spent, the
hourly rate and the amount billed per each individuals. Out of pocket costs sllch as travel,
supplies, telephone and postage will be billed in addition to Ollr fee.
All disputes arising under this agreement shall be suhmitted to mediation. Each party shall
designate an exectilive ofticer or oplincipal empowered to resolve the dispute. Should the
designated representatives be unable to agree on a resolution, a mediation service acceptable
to both parties shall select a mediator [0 mediate the dispute. Each disputing party shall pay
an equal percentage of the mediator's fees and expenses, No suit or arbitration proceeding
shall be commenced under this agreement until at least sixty (60) days after the mediator's
first meeting with the involved parties. In the event that the dispute is required to be litigated,
the court shall be authorized to assess litigation costs against any parly found not to hnve
parlicipated in mediation process in good faith.
