ASSIGNMENT
This Assignment (the "Assignment") is made and entered into
as of the ~day of Janua~ ' 1998, by and between LSW
Environmental, Inc. d/b/a Su livan Environ~ental Services North
("Sullivan") and Southland Waste Systems, Inc. ("Southland").
WIT N E SSE T H:
WHEREAS, the Augusta-Richmond County Commission (the
"Commission") and Sullivan entered into an Agreement dated
February 1, 1997 (the "Agreement") whereby Sullivan would provide
certain sanitation services in certain areas of Augusta-Richmond
County; and
WHEREAS, Sullivan desires to assign its_ T-j,g,h,ts, ,d~lties and
liabilities under responsibilities under the Agieement to
Southland, Southland desires to accept such assignment on the
terms and condit:ions set forth herein and in the Agreement, and
the Commission consents to said assignment.
NOW, THEREFORE, for and in consideration of the mutual
promises contained herein, and other good and valuable
consideration, t.he receipt and sufficiency of which are hereby
acknowledged, the parties hereby agree as follows:
1. Pursua.nt to section 10 of the Agreement, the Commission
consents to Sullivan's assignment of the Agreement to Southland
under the terms and conditions set forth herein and in the
Agreement.
2. Southland hereby accepts the assignment of the
Agreement by Sullivan, and hereby agrees that it is bound by all
terms and conditions of the Agreement and that it will comply
with all such terms and conditions. Southland and Sullivan
specifically agree that Southland shall not perform any
responsibilities or obligations under the Agreement until such
time as the performance bond and insurance required under the
Agreement have been, obtained by Southland and approved~by the
designated represemtati ve . of the Commission.
3. The Commission hereby acknowledges that the execution
and performance of this Assignment do not constitute an event of
default by Sullivan under the Agreement, that it shall not
terminate the Agreement based solely on the fact of the
assignment effectuated by this Agreement, that as of the date of
execution of this Assignment, Sullivan is not in breach or in
default under any of the provisions, covenants or conditions of
the Agreement, and that the execution and performance of this
Assignment shall not be construed so as to modify, waive or
affect any of the provisions, covenants or conditions of the
Agreement.
