Dear Mayor Young:
This will confirm our understanding of our engagement to serve as the Internal Audit Department for
Augusta-Richmond County. The term of this engagement shall be for the year to end December 31, 2003
and will continue from year-to-year unless sooner tern1inated. Either party may terminate this agreement
at any time upon giving sixty (60) days written notice.
In consultation with the administrator or his designee and comptroller, we will prepare an audit plan
which will be presented to the Audit Committee for approval. Also, we will perform various audits as
instructed by you, the administrator or the commission.
We will meet with the administrator or his designee and comptroller on a quarterly basis and will provide
written reports on our completed audits and the status of audits in progress. We will also meet with the
Audit Committee on a regular basis and be available to meet with you, any commission committee or any
commissioner at their convenience.
Our fee for the year to end December 31, 2003 will not exceed the maximum approved in the 2003
budget. We will submit invoices monthly and the billing will be based on the actual number of hours and
classification and experience of each individual. '

We will provide a backup detail with our invoices of the individuals who work on this engagement
including the week the work was performed, the number of hours spent, the hourly rate and the amount
billed per each individual. Out of pocket costs such as travel, supplies, telephone and postage will be
billed in addition to our fee.
All disputes arising under this agreement shall be submitted to mediation. Each party shall designate an
executive officer or principal empowered to resolve the dispute. Should the designated representatives be
unable to agree on a resolution, a mediation service acceptable to both parties shall select a mediator to
mediate the dispute. Each disputing party shall pay an equal percentage of the mediator's fees and
expenses. No suit or arbitration proceeding shall be commenced under this agreement until at least sixty
(60) days after the mediator's first meeting with the involved parties. In the event that the dispute is
required to be litigated, the court shall be authorized to assess litigation costs against any party found not
to have participated in the mediation process in good faith.
