BYD.~;;ha::! . r Mayor, Consolidated Government of Augusta and Richmond County, Georgia CERTIFICATE OF ELECTED REPRESENT A TIVE REGARDING PUBLIC APPROVAL IN CONNECTION WITH BONDS The undersigned is the Mayor of the Consolidated Government of Augusta and Richmond County and as such is the chief elected official of Richmond County, Georgia (the "County"). The Development Authority of Richmond County (the "Authority") intends to execute and deliver its not to exceed $4,500,000 principal amount revenue bonds (the "Bond"). The proceeds of the Bonds will be used to fund the acquisition, construction, installation and equipping of health care related facilities and operations and related assets located in the County. On November 19,2009, the Authority adopted a resolution with respect to the proposed issuance of the Bond. On November2~, 2009, notice of a public hearing was published in The Augusta Chronicle, a copy of which notice is attached hereto as Exhibit A. The notice was designed to apprise residents of Augusta and Richmond County, Georgia of the proposed issuance of the Bond and was published no less than 14 days prior to the scheduled date of the public hearing referred to in the Notice. On December 10, 2009, a public hearing was held at the location set forth in the Notice with regard to the issuance of the Bond. The hearing was conducted in a manner that provided a reasonable opportunity for persons with differing views on the proposed issuance of the Bonds to be heard. The undersigned hereby approves the issuance of the Bonds as contemplated by the Authority's resolution. Thll (formerly knOwn ~tltute a dllbt of the State of Bond will not con olitieal subdivision thereof, ~~~od County or Augusta, Geor- I bepa~able solely from paym~nts., k H d Rehablllta- mad y Stevens ar e it" 'ty ti L c;or EXHIBIT "A" CERTIFICATE WITH RESPECT TO PUBLIC HEARINGS AND NOTICES The undersigned Hearing Officer, on behalf of the Development Authority of Richmond County (the "Authority"), hereby certifies on behalf of the Authority, that: (1) Attached hereto is an affidavit of publication for the notice for the public hearing held with respect to the issuance by the Authority of its revenue bonds, the proceeds of which will be used to fund the acquisition, construction, installation and equipping of health care related facilities and operations and related assets located in Richmond County, Georgia (the "County"), including interests in a skilled nursing and rehabilitation facility located at 820 Stevens Creek Road, Augusta, Georgia 30907 currently known as Stevens Park Health and Rehabilitation Center (formerly known as The Place at Augusta)(the "Bond"), which such notice was published in The Augusta Chronicle, a newspaper having general circulation in Richmond County, Georgia, at least 14 days prior to the hearing, which notice apprised the residents of the Augusta and Richmond County, Georgia of the proposed issuance of the Bond by the Authority, in compliance with all legal requirements, including Section 147(f) of the Internal Revenue Code of 1986, as amended. (2) The public hearing described in said notice was duly held at the date and place set forth in said notice, and that such hearing was held before the undersigned Hearing Officer as official representative of the Authority, and the hearing was conducted in a manner which provided a reasonable opportunity for persons with differing views on the proposed issuance of the Bond to be heard. (3) The following persons appeared and asked to be heard with respect to the granting by the Authority of the financial assistance requested through the financing of the apartment community referred to in said notice: AI 0 N IE. (4) There were no other comments from the public regarding the proposed execution and delivery of the Bond at such hearing. (5) Based on the above information, it is the recommendation of the undersigned on behalf of the Authority that the Mayor, Consolidated Government of Augusta and Richmond County, Georgia approve the issuance of the Bonds to the extent required by Section 147(f) of the Internal Revenue Code of 1986, as amended.
