Grant Amount and Authority. (a) Grant Amount. The Department has determined, and the Recipient acknowledges, that the Recipient is eligible to receive a "State Challenge Grant" in the amount of $ 10,000 ("Grant Amount") for Fiscal Year 2008-2009. (b) Authority. O.C.G.A. Section 50-8-8 authorizes the Department to make grants, such as the Hands On Georgia State Challenge Grant Program. A description of the grant is found in the Official Compilation of the Rules and Regulations of the State of Georgia that is maintained by the Georgia Secretary of State. Chapter 110-26-1-.02 of the Hands On Georgia State Challenge Grant Program defines the State Challenge Grant as a grant provided to a Hands On Georgia Affiliate, or an organization not yet affiliated with Hands On Georgia, that presents a clear vision of growth and development that is anticipated, as well as precise methods for demonstrating the level of growth and development that has been achieved. Hands On Georgia and The Department of Community Affairs State Challenge Grant 1 ~ (c) Purpose. As specified in Chapter 110-26-1-.01, the purpose of the State Challenge Grant is to build capacity within current and proposed Hands On Georgia organizations to implement Hands On Programming. Hands On Georgia Programming is defined in Chapter 110-26-1-.02 as a calendar of service opportunities in partnership with multiple agencies and providing team-based volunteer opportunities that are led by a trained volunteer. (d) Subrecipient. The Department has determined, and the Recipient acknowledges, that this State Challenge Grant designates a subrecipient identified as: Name of Organization United Way of the CSRA, Inc. Director Joan Stoddard Address PO Box 1724, Augusta, GA 30901 The Recipient will require the Subrecipient to give the Recipient and the Department written notice of any change in the foregoing information. The Recipient will implement the Grant by contracting for the services of the Subrecipient. The services must be for the Grant Purpose and must provide the Recipient a substantial benefit in aid of a public function or service consistent with the Grant Purpose and within the Recipient's lawful powers. In its contract or contracts with the Subrecipient, the Recipient must incorporate this Grant Agreement and . require the Subrecipient to perform its Agreement with the Recipient in compliance with the Grant Agreement and thereby enable the Recipient to comply with the Grant Agreement; make the Department a third party beneficiary of the Recipient's contract with the Subrecipient without responsibility, liability or obligation to the Subrecipient. . Hands On Georgia and The Department of Community Affairs State Challenge Grant 2 2. Grant and Acceptance. The Department, therefore, now makes, and the Recipient accepts, this State Challenge Grant in the Grant Amount and for the Grant Purpose set forth in Section 1, upon the terms and conditions of this Agreement. 3. Disbursement. (a) Installments. Pursuant to Chapter 110-26-1-.04, the Department will disburse in two installments to the Recipient funds appropriated or otherwise made available to the Department and Hands On Georgia for the State Challenge Grant Program. Twenty five percent of the grant amount will be disbursed to the Recipient within ten business days upon receipt by the Department of the Recipient's signed Duplicate Original of this agreement. The remaining disbursement will be made by the Departmentto the Recipient upon satisfactory demonstration that the Recipient has met the match requirement. (b) Match Requirement. Pursuant to Chapter 110-26-1-.06, Recipients of State Challenge Grants will match the amount of Grand Funds. specified in this Agreement on no less than a dollar for dollar basis. The Recipient match must be met in cash. 4. Use. (a) Permitted Purposes. The Recipient may use the Grant Funds only for the Grant Purpose set forth in Section 1. The purpose of the State Challenge Grant, as further described in Chapter 110-26-1-.01, is to build capacity within current and proposed Hands On Georgia organizations to implement Hands On Programming. (b) Eligible Activities. Activities of the Recipient pursuant to this Grant, as set forth in Chapter 110-26-1-.05, may include, but are not limited to: building organizational capacity (including expanding or developing staff resources) to implement Hands On Georgia programming; creating one-time and ongoing service projects with a variety of agency partners, addressing a diverse array of issue areas; engaging volunteers Hands On Georgia and The Department of Community Affairs State Challenge Grant 3 as leaders in all aspects of hands-on programming; project leaders, committee members, etc.; organizing large-scale "day of service" events; engaging corporate partners, including employee volunteer programming, customized project development and management; developing volunteer leaders, including issue-education, project reflection, infusion of civic engagement strategies, and skill-building opportunities for volunteers. (c) Ineligible Activities. Activities of the Recipient pursuant to this Grant, as set forth in Chapter 110-26-1-.05, that are ineligible for reimbursement, payment or compensation by use of State Challenge Grant funds include, but are not limited to, parades, celebrations, or cash awards. A State Challenge Grant cannot be used for any activity that would violate the gratuities clause of the State Constitution. (d) Deadlines. Except as extended by written permission of the Commissioner of Community Affairs, the following deadlines will be in force: (1) Expenditure or Obligation. The Recipient must expend or contractually obligate the full amount of the Grant within 12 calendar months from the date of this Agreement. At the end of that time, the authority to expend unencumbered Grant Funds or to obligate them contractually will expire, and the Recipient must repay to the Department all Grant Funds paid to the Recipient which the Recipient has not spent or contractually obligated by the end of the following calendar month. 5. Accountability. (a) Accounting. The Recipient will include the Grant Funds in its annual budget consistent with the "Uniform Chart of Accounts for Local Governments in Georgia" and will account for Grant Funds in accordance with generally accepted governmental accounting principles. The Recipient will also keep track of Grant Funds in such a way that their receipt, deposit, budgeting, contractual commitment, Hands On Georgia and The Department of Community Affairs State Challenge Grant 4 expenditure and uses may be determined and confirmed chronologically by auditors at all times. (b) Records Retention. The Recipient will maintain the records described in subsection 5 (a) for at least three years after the Recipient has fully spent or returned to the Department all Grant Funds. (c) Written Contracts. Any external expenditure or obligation of Grant Funds by the Recipient or the Subrecipient must be under a contract in writing. 6. Remedies. (a) Remedies Cumulative. The following remedies are cumulative of one another and of all other remedies at law or in equity which the Department may have. (b) Remedies. (1) Statutory Forfeiture under Chapter 110-26-1. The failure to comply with the requirements of Chapter 110-26-1 will result under law and this Agreement in forfeiture of the Grant Funds, whether paid to the Recipient or not and whether spent, unspent, or contractually obligated. Except as qualified in the immediately following paragraph, the Recipient will then repay and return to the Department the amount of any Grant Funds paid to the Recipient. The Subrecipient will be responsible for the return to the Department of any Grant Funds if it is determined that the Grant Funds were not used by the Subrecipient for the express Grant Purpose. The Department will not consider the Subrecipient an agent of the Recipient nor will the Department require the Recipient to indemnify the Department or hold the Department harmless for any negligence, misfeasance, or malfeasance of the Subrecipient. The Recipient will not be liable to the Department for any expenditure of Grand Funds by a Subrecipient. However, this sentence does not relieve the Recipient of Hands On Georgia and The Department of Community Affairs State Challenge Grant 5 its obligations and terms under this Agreement including the obligation to require the Subrecipient to perform its obligations to the Recipient. (2) Non-conforming Use. The Recipient must also repay the Department the amount of any Grant Funds spent or contractually committed for purposes outside the Grant Purpose or in violation of this Agreement, promptly and in any event no later than the end of the month following any such expenditure or contractual commitment. . (3) Withholding of Grants for Unresolved Findings. The Commissioner of Community Affairs may in the Commissioner's sole discretion withhold from the Recipient any other grants of state or federal funds so long as any audit or report findings respecting the Grant remain unresolved as determined by the Commissioner in the Commissioner's sole discretion, or during any other time in which Recipient is not in compliance with this Agreement, as determined by the Commissioner in the Commissioner's sole discretion. (4) Material Breach. The Department may terminate this Agreement for material breach, after first allowing a reasonable time for correction determined in the sole discretion of the Commissioner of Community Affairs. The Recipient must then return to the Department by the deadline referred to in Section 4 (d) of this agreement all remaining and unexpended Grant Funds, whether contractually obligated or not, the amount of any Grant Funds spent outside the Grant Purpose, and, if the Commissioner of Community Affairs so determines, the amount of any other Grant Funds spent or obligated improperly under this Agreement. Hands On Georgia and The Department of Community Affairs State Challenge Grant 6 7. General Terms. (a) Responsibilities ofthe Recipient. In implementing this Agreement, the Recipient agrees to require of the Subrecipient the following requirements: (1) Reports. The Subrecipient will provide program information as requested by Hands On Georgia (e-newsletters, press releases, annual conference reports). (2) Site Visits. The Subrecipient will permit a site visit from Hands On Georgia and/ or Department staff as requested during the term of this Agreement. (3) Branding and Recognition. The Subrecipient will recognize and acknowledge Hands On Georgia and the Department of Community Affairs as a funder of the Recipient. (4) Mandatory Participation. The Subrecipient will participate in any designated Hands On Georgia meetings or projects, such as Hands On Georgia Week and Martin Luther King, Jr. Day. (5) Reports. The Subrecipient will submit to the Department, Hands On Georgia and the Recipient a financial status report that records Grant Funds expenses during the grant period. The Subrecipient will also submit to the Department and Hands On Georgia a progress report that documents activities of Hands On Programming by the subrecipient during the grant period. Due dates for the submission of all reports by the subrecipient to the Department, Hands On Georgia and the Recipient will be determined by the Department and Hands On Georgia. (b) Compliance with Law. The Recipient will comply with the following in accepting and implementing the Grant and will exercise due diligence in factual inquiries in order to do so. Hands On Georgia and The Department of Community Affairs State Challenge Grant 7 (1) Conflicts of Interest. The Recipient will not implement the Grant if it learns that the origination of the Grant or its implementation present a conflict of interest for any public officer or employee, whether statutory, or at common law or under the Constitution of Georgia. (2) Sectarian Aid. The Recipient will not implement the Grant in violation of the prohibition against sectarian aid, Ga. Const. art I, Sec. II, Par. VII. (3) Gratuities. The Recipient may not make Grant Funds available in violation of the prohibition against gratuities in Ga. Const. art I, Sec. II, par. VII. (4) Open Meetings and Open Records. In activities respecting the grant, The Recipient will comply with the open meetings law in Chapter 50-14 of the Official Code of Georgia, Annotated, and with open records law in Chapter 50-18. (b) Enforceable and Legally Binding Act. By entering into this Agreement, the Recipient undertakes to have complied with all law applicable to its participation in the Agreement and to make the Agreement binding, including proper meeting conduct (in compliance with open meeting law requirements and otherwise) and with proper entries into its minutes. (c) Relationship of Parties. The Recipient shall be solely responsible for its activities respecting the Grant and this Agreement. The Recipient may not delegate away its responsibility and obligations under the Agreement or assign any rights it may have under it. (d) Notices. The Department and the Recipient will give one another notice in writing by first class United States mail, return receipt requested; by equivalent commercial carrier with return receipt requested, or by hand delivery, to their respective Hands On Georgia and The Department of Community Affairs State Challenge Grant 8 chief executive officers at the address of record at the Department for the Recipient and Department. The chief executive officers may designate another officer or employee for receipt or giving of notice by written communication to their counterpart, with specific reference to this Agreement. ( e) Time of Essence. Time is of the essence in this Agreement. (f) No Waiver. No delay by the Department in enforcing this Agreement will estop, waive or otherwise adversely affect the Department's right and power to enforce the Agreement and require performance of any provision. (g) Counterparts. The parties will execute and deliver numbered duplicate original counterparts to one another, each of which will be equal in dignity to the other. (h) Entire Agreement. This Agreement constitutes the entire agreement between the Department and the Recipient respecting its subject matter, superseding all prior discussions or understandings.
