Hydro Conduit Corporation d/b/a/Knox-Rivers Construction, as contractor for the Georgia
Department of Transportation, was awarded a contract on September 26, 1997 to proceed
with the proposed construction on the above numbered project.
Attached for your files is an executed counterpart of the three party Force Account
Agreement dated September 23, 1997 which is supported by a detailed cost estimate from
MCr Telecommunications, rnc. for $31,693.50 of which the County will participate in the
amount of $7,184.92 or 22.67 percent.

THIS AGREEMENT, made this SfP "2 3 1997J ,
by and between the Department of Transportation, an agency of the State of Georgia, hereinafter
called the DEPARTMENT, first party, and AugustalRichmond County, a political subdivision of
/ the State of Georgia, hereinafter called the COUNTY, party of the second part and; MCI
Telecommunications Corporation, hereinafter called the COMPANY, party of the third part; and
WITNESS that:
WHEREAS, the DEPARTMENT proposes under the above nwnbered project to
widen 1-520 from Wrightsboro Road to Gordon Highway iu Richm6nd County, 6eorgia with its
funds or with funds apportioned to the State by the Federal Highway Administration under Title
23, Highways, of the Code of Federal Regulations (CFR); and
WHEREAS, due to the construction of this project, it will become necessary to
make certain adjustments of the existing telecommunications facilities of the COMPANY in
accordance with the detailed COst estimate for $31,69350, prepared by the COMPANY, attached
hereto and made a part of this Agreement. The COUNTY shall bear 22.67% or $7,184.92, an~
the COMPANY shaH bear 77.33% or $24,508.58; and
WHEREAS, . said construction being the location and improvement of said road
and the COMPANY having its fucilities presently located upon an easement with rights to install,
operate and maintain such facilities .on the rights-of'way thereof which were acquired prior to the
acquisition of such rights-of-way by the DEPARTMENT; and
WHEREAS, the location of said presently existing facilities and the Proposed
new location of such. facilities are shown on the highway construction plans for this project, a
copy of said plans in pertinent Part being attached hereto, it is desired that the COMPANY adjust
its facilities within the existing easement or move to the new location as shown on said plans and
relinquish such existing easement rights as it may have on the present location and accept in lieu
thereof the easement rights hereinafter stated.
NOW TIlEREFORE, in consideration of the premises and the mntual covenants
of the parties hereinafter set forth, it is agreed:
I. It is specifically understood that the project nwnher shown above is for the
DEPARTMENT's identification purposes only and may be subject to change by the
DEP ARlMENT. In the event it becomes necessary for the DEPARTMENT to assign a different
projeci nwnber, the DEPARTMENT shaJl notifY the COUNTY and the COMPANY of the new

project designation. Such change in project designation shall have no effect whatsoever on any
of the other terms of this Agreement.
2. The COMPANY retains their pre-existing rights to operate and maintain
existing facilities and to install, operate and maintain new facilities as required, except that the
future installation of COMPANY's facilities that falls within the State Highway System shall be
in accord with the 1988 edition of the Utility Accommodation Policy and Standards Manual
issued by the DEPARTMENT and Title 23 of the CFR, Chapter I, Subchapter G, Part 645,
Subpart A and B. It is agreed that the COMPANY has the right now and in the future to install,
operate and maintain its facilities under the portion of said highway. If it becomes necessary to
adjust such facilities on future DEPARTMENT construction and maintenance .work, then the
cost of the subsequent adjustment shall be eligible for reimbursement as described in the Letter
of Understanding dated December 16, 1994 between the COMPANY and the DEPARTMENT, a
copy of which is attached hereto, in the same manner as the initial adjustment expense covered
by this Agreement.
3. The COMPANY, with its regular construction or maintenance crews and
personneI, and at its standard schedule of wages and working hours, and working in accord with
the terms of its agreements with such employees, shall make such changes in its facilities as may
be necessary to permit the construction of the project and as may be required by the
DEPARTMENT. The COMPANY may let to contract any portion of the work contemplated
subject to prior approval, except as may be shown in the detailed cost estimate attached hereto.
4. The COMPANY may submit to the COUNTY monthly bills for the
eligible cost of the work as done by the COMPANY during the current month and will submit
one final and complete billing of all eligible costs when the work has been completed.
5. The COUNTY shall pay monthly bills promptly upon receipt and
verification thereof by the COUNTY. Upon completion of the work the COMPANY shall
submit one final bill to the COUNTY and the COUNTY shall make a conditional final payment
promptly upon verification of the final bill by the COUNTY. The totaIliability of the COUNTY
shall not exceed the reimbursable cost of the work as ascertained by computing the items of cost
as set forth in the aforesaid Title 23 of the CFR, Chapter I, Subchapter G, Part 645, Subparts A
and B. At any time within three years after the date of the conditional final payment the
COUNTY or the DEPARTMENT may audit the cost records and accounts of the COMPANY
pertaining to this project and will bilI the COMPANY any amount of any unallowable
expenditure made in the conditional final payment of this Agreement or, if no unallowable .
expenditure is found, notify the COMPANY of that fact in writing. For audit purposes, the cost.
records and accounts of the COMPANY pertaining to this project shall be made available to the
representatives of the COUNTY, the DEPARTMENT or the Federal Highway Administration at
the General Office of the COMPANY during the progress of the work and for a period of not less

than three years from the date conditional final payment has been received by the COMPANY.
7. The COUNTY shall not be bound to pay any amount in excess of the reimbursable
portion of the detailed cost estimate attached hereto, nor for any items of work not provided for
in the detailed cost estimate. In the event it is detennined that a change in the work to be
perfonned by the COMPANY shall be required or that an increase in cost anticipated will be
incurred by the COMPANY, a written change or extra work order approved by the COUNTY
will be required as provided in Title 23 of the CFR, Chapter I, Subchapter G, Part 645, Subparts
A and B. The amount of the detailed cost estimate attached hereto will be allotted from available
funds and written notice given to the COMPANY by the DEPARTMENT before the
COMPANY is authorized to proceed with the work to be perfonned by the COMPANY under
this Agreement.
8. The COUNTY shall not be liable for payment of any biil r~ceived more
than twelve months after the work is completed by the COMPANY and the project is accepted
by the DEPARTMENT unless the COMPANY has requested an extension of the billing period
in writing.
9. It is mutually agreed that the final cost of the changes in the facilities of
the COMPANY covered by the detailed cost estimate shaH be borne by the COMPANY and the
COUNTY on the percentage basis indicated in said estimate.
10. The COMPANY shall be responsible for providing signing and other
traffic control measures during construction in accordance with PART VI of the Manual on
Unifonn Traffic Control Devices, current edition, or as required by the DEPARTMENT'S
engmeer.
11. The DEPARTMENT agrees to notify the COUNTY and the COMPANY
when the highway construction contract is awarded and furnish the name of the contractor who
will perfonn the highway work. The COMPANY agrees to plan with the DEPARTMENT'S
contractor a schedule of operations which shall clearly set forth at which stage of the Contractor's
operations the COMPANY will need to perfonn its removal, relocation and adjustment work.
12. It is mutually agreed between the parties hereto that this document shall be -
deemed to have been executed in the City of Atlanta, Georgia and that all questions of
interpretation and construction shall be governed by the laws of the State of Georgia.
13. The covenants herein contained shall, except as otherwise provided, accrue
to the benefit of and be binding upon the Successors and assigns of the parties hereto.

Consolidated Government of Augusta-Richmond, and it is hereby resolved, that the
foregoing attached Agreement, relative to the relocation of MeI Telecommunications,
Inc. facilities in conflict with the widening of 1-520 from Wrightsboro Road to Gordon
Highway in Richmond County, be entered into by the Augusta-Richmond County
consolidated government and that Larry Sconyers, as Chairman/Mayor and Lena
Bonner, as Clerk, be and they are, thereby authorized and directed to execute the same

REF: Letter of Understanding
We appreciated the opportunity on November 10, 1994 to meet with you,
Rich El~er, and Lois Meeks to discuss the prior rights and relocation
cost issues. ouring our discussions we agreed that the Georgia
Department of Transportation (GOOT) would ~ite a Letter of
Understanding to confirm what MCI Telecommunications corporation (MCll
and GDOT discussed and agreed to in our meeting. The' following is the
GDOT'S understanding:
1. The GOOT is authorized by O.C.G.G. Section 32-6-174 to promulgate
regulations to gov~rn utility installations in, on, along, over
or under any part of the State highway system or any public road
proj ect which the GDOT has undertaken or completed. The GDOT
requires that utility owners gain permission through an
encroachment permit to install th~ir facilities within the public
right of way where GDOT has authority to regulate these
installations. The public right of way may be purchased in fee or
established by easement rightS.

2. Where GooT has prior existing right of way or easement rights and
Me! or any other private utility has to relocate their facilities
due to the construction, repair, improvement, maintenance, safe
and effective operation, alteration or relocation of all or any
portion of the highway, as determined by the GDOT, MeI as well as
the other private utilities shall reset or relocate their
facilities as required by GDOT at the sole expense of the utility
company.
3. Where MeI or any other utility company has prior existing right
of way or easement rights and the compensable interest in the
lands they occupy can be defined and supported ~ a deed, written
easement, or by other written evidence satisfactory to GOOT to
establish that a prior property right exists, then the utility
company is eligible for reimbursement if the company has to reset
or relocate its facilities due to the construction" repair,
improvement, maintenance, safe and effective operation,
alteration or relocation of all or any portion of the highwaY.
4 . Where both GOOT and Mer can deIllOnstrate that each has a
compensable interest then a prorata snare of any costs to reset
or relocate utilities, when required due to the construction,
repair, improvement, maintenance, safe and effective operation,
alteration or relocation of all or any portion of the highway,
shall be determined jointly by MeI and GooT. The percentage to be
borne by each party shall be included in the written force
account agreement required for the utility work and approved by
the GooT and MeI.
5. All utility accommodation and adjustments will be in accordance
with the most current edition of the GDOT'S Utility Accommodation
PoliCY and Standards manual and all applicable State and Federal
laws .
