BILL OF SALE
KNOW ALL MEN BY THESE PRESENTS:
That the undersigned, AUGUSTA, GEORGIA, by and through the
Augusta-Richmond County Commission, hereinafter called "GRANTOR,"
for and in consideration of the payment of Six Thousand and
no/lOO Dollars ($6,000.00), and for other good and valuable
consideration, the receipt and sufficiency of which are hereby
acknowledged, has, effective as of the date hereinafter
specified, granted, bargained, s61d, transferred, assigned, set
over, conveyed and delivered, and by these presents does,
effective as of said date, grant, bargain, sell, transfer,
assign, set over, convey and deliver to AUGUSTA METROPOLITAN
CONVENTION AND VISITORS BUREAU, INC., hereinafter called
"GRANTEE," those assets described as follows:

GRANTOR .CONVEYS SAID ASSETS "AS-IS" AND WITHOUT ANY
REPRESENTATION, WARRANTY, OR COVENANT, EXPRESS OR IMPLIED, WITH
RESPECT TO THE MERCHANTABILITY, CONDITION, QUALITY, DURABILITY,
DESIGN, OPERATION, FITNESS FOR USE, OR SUITABILITY OF THE ASSETS
IN ANY RESPECT WHATSOEVER.
GRANTOR hereby warrants that it has good and merchantable
title to, and is the lawful owner of, said assets and that it has
the full power and authority to transfer all rights, interests
and title in and to the same to GRANTEE, and that said assets are
free and clear of any and all liens, encumbrances, security
interests, judgments, restrictions and charges of every nature
whatsoever.
IN WITNESS WHEREOF, GRANTO~ has cau~ this Bill of Sale to

COVENANT NOT TO SUE AND HOLD HARMLESS AGREEMENT
WHEREAS, Augusta, Georgia, has conveyed to the AUGUSTA METROPOLITAN
CONVENTION & VISTORS BUREAU, INC. (hereinafter "CVB") two Chance buses; and
WHEREAS, the CVB does not at this time have a facility to park these buses and has requested
that the buses be allowed to remain on the property of Augusta, Georgia;
NOW, THEREFORE, for and in consideration the promises herein contained, the CVB does
hereby covenant and agree to assume all risk and hazards incidental to allowing the two Chance buses to
remain on Augusta Transit property from the date of the execution of the bill of sale conveying said buses
to the CVB until such time as the CVB removes the buses from said location. The' CVB does further
release and covenant not to sue Augusta, Georgia, the Augusta-Richmond County Commission, and its
officers, elected officials, agents, employees and representatives from any and all liability or damages,
including damages to the vehicles themselves, in connection with said buses remaining on Augusta
property. Further, the CVB does hereby agree to indemnify and hold harmless Augusta, Georgia, the
Augusta-Richmond County Commission, and its officers, elected officials, agents, employees and
representatives, for any and all claims that may be asserted against Augusta, Georgia, the Augusta-
Richmond County Commission, or its officers, elected officials, agents, employees and representatives,
arising out of said buses being parked on, or allowed to remain on, the property of Augusta, Georgia.
IN WITNESS WHEREOF, the AUGUSTA METROPOLITAN CONVENTION & VISITORS
BUREAU, INC. has caused this Agreement to be executed effective this 2ls!: day of ~
