Dear Mayor Young:
Thank you very much for retaining Bennett Associates to assist the Augusta-Richmond
County in recruiting a new Administrator.
Bennett Associates is a member-company of Richard T, Bennett & Co" Inc" a Massachusetts
corporation, Our EIN number is 04-3345331. For all contractual purposes, including billing,
payment, and obligation for delivery of services, this contract is between the Augusta-Richmond
County and RichardT. Bennett'& Co" Inc. For purposes of record keeping, this search started
on October 16,2000. '
Bennett Associates shall recruit, evaluate and refer qualified candidates to the Augusta-
Richmond County for the position of Administrator. These services shall include liaison with
authorized representatives of the Augusta-Richmond County, to facilitate completion of this
search assignment.
The search shall be focused on identifying potential candidates, screening them for
suitability with the Augusta-Richmond County Commission, motivating them to interview for the
position of Administrator, scheduling interviews, checking references, extending offers,
reviewing benefits, arranging relocation, and assisting in the ways and at the times requested by
the Augusta-Richmond County to fill the position,
Bennett Associates shall act at all times in an attentive, ethical and responsible manner so as
to represent Augusta-Richmond County with the utmost concern for its interests, goals and image
with candidates, competitors, and members ofthe general public,
The Augusta-Richmond County Commission agrees to submit information on all candidates
to be considered for the search regardless of the source, to Bennett Associates for screening and
disposition in accordance with the exclusive nature of this Agreement. In the event any of said
candidates are hired, Bennett Associates shall be deemed the source of the referral.
The Augusta-Richmond County Co~mission agrees to fully and expeditiously consider all
candidates presented by Bennett Associates for the position; interview qualified ones thoroughly,
and extend job offers to those who match the specifications of the search assignment herein.

act reasonably with regard to facilitating the placement to conclude the search herein.
The retainer for this search is $25,000 inclusive of expenses. As an accommodation to the
Augusta-Richmond County Commission, this shall be payable in three installments of$8,333.33
each, the first at the beginning of the search, the second in 45 calendar days, and the third when a
candidate is hired, Unless there are special circumstances, we expect payment within 30 days of
the statement date.
'Reimbursement of candidate's expenses will be your responsibility, and we shall arrange to
have these expenses submitted directly to you,
In the event the Agreement becomes impossible or unnecessary for Bennett Associates to
perform due to supervening circumstances beyond the control of either party, Bennett Associates
shall be discharged from completing the search and Augusta-Richmond County Commission
shall owe nothing beyond the paymerits made since the official start date of the contract, at the
rate agreed to in the schedule above,
The retained search shall be deemed completed no later that 120 days after the execution of
this Agreement unless extended in writing by the parties, The retainer paid to Bennett
Associates shall be non-refundable,
If, in the course of this search, we introduce you to a person whom you hire for another
position within twelve months of the closing of this search, we will bill you 75% of the retained
fee for this recruitment.
This agreement is valid for twelve months from this date allowing the Augusta-Richmond
County Commission to retain our services for other recruitments at a retained fee of $25,000, ,
including Direct Expenses. This allows you to use our services without further solicitations,
If you hire a candidate whom we have found and recommended, and if you choose to
terminate the person for any reason excepting disability, or if the person leaves for any reason
excepting death or disability, within twelve (12) months from the date of hire, we will reopen this
search for the position of Administrator and replace the person for no additional professional fee.
You will only be responsible for actual reimbursable expenses as outlined above, This guarantee
is offered provided the client requests such a process within 30 days of the resignation.
A successful search results from the mutual efforts of a client and the firm. Bennett
Associates commits to finish this search to your satisfaction, without limitation on the investment
of professional time or effort. You commit, in return, to respond to our inquiries and candidates
in a timely manner, to pay our bills promptly, and to provide honest guidance to us in the course
of the search on both position definition and candidates. '
The Agreement is intended to embody the complete understanding of the parties, and there
are no oral or written terms and conditions relating to it except those contained herein, This
Agreement may not be changed orally, but only by a written agreement signed by the parties.
