RE: Auction of Surplus Equipment for Augusta-Richmond County (Seller)
By Hudson & Marshall, Inc. (Auctioneer)
Dear Harry:
This letter will serve as our agreement of understanding concerning the auction of the above
equipment:
I. Auctioneer will conduct a public auction on February 20, 1999 (or other mutually
agreeable date); advertising and promoting said sale as shown on the advertising budget attached
hereto. In addition, Auctioneer shall prepare, conduct and conclude sale activities pursuant to its
previous proposal which is attached hereto and incorporated herein.
2. The Auctioneer shall charge a ten per cent (10%) buyers' premium to each purchaser,
which fee will be retained by the Auctioneer as its commission and Auctioneer shaH pay all
advertising costs as set out in Auction Budget.
3. Auctioneer shall provide supervisory personnel to line up, arrange and prepare said
property for optimum auction results. Seller shall provide laborers and such equipment that it has
available to assist in assembling, organizing, tagging and lining up assets for auction.
4. Auctioneer shall be responsible for collecting all proceeds and remitting applicable
Sales and Use Tax to the State of Georgia. Auctioneer shall pay Seller its net proceeds within 15
banking days from sale date. Auctioneer shall immediately after auction provide Seller a breakdown
of the sale, reflecting the following: (A) A list of each item; (B) The sale price; ~ The name and
address of purchaser in regard to whom each item sold.
5. Seller will provide Certificates of Title, Bills of Sales or any other documents
necessary to effectuate a transfer of ownership to auction buyers.

6. Auctioneer and Seller will perform such other tasks as set out in the Auction Proposal
and mutually cooperate to do all things reasonable to insure maximum sales results.

I. Sale Site Preparation
Iilspect facilities approximately 4 weeks prior to sale and formulate sale strategy for organiZing and
tagging all Auction assets. ( to include minor maintenance to have vehicles and/or trucks/equipment
in best feasible shape).
Inventolry and load into the computer
One inspection day prior to sale from 9:00 AM to 5 :00 PM. (Hudson & Marshall set up on site
computer system).
Buyer can preregister to bid
Provide three people to monitor the inspection

Payments'received to 5:00 PM day of sale and from 8:00 AM to 5:00 PM the following day
Full preliminary accounting printout by end of day
