The Officers of the Board of Elections (the "Board") shall be (1) a Chairman, (ii) a Vice Chairman and (iii) a Secretary. The Board shall have the power to create any additional offices it deems advisable and to appoint members of the Board to fill such offices and to serve upon such terms and conditions as the Board may determine appropriate. Section 2. The Chairman shall be appointed in the manner prescribed by law and shall serve for a term of four (4) years until his/her successor is duly appointed and qualified. Section 3. The Vice Chairman and Secretary shall be elected initially by majority vote (and the term "majority" as used herein shall mean a majority of those present at a meeting at which a quorum is present and voting), at the meeting immediately following the meeting at which these Bylaws are adopted and thereafter at the July meeting of the Board upon proper notice to all members of the Board as hereinafter provided, and they shall serve for a period of one (1) year from the date of their election or until their successors are elected and qualify. Any member of the Board shall be eligible to serve as Vice Chairman or Secretary; however, no person shall hold any two offices. The Vice Chairman shall perform the duties of the Chairman of the Board in the event of the absence or disability of the Chairman. The Secretary shall record and preserve the minutes of the meetings of the Board, and shall affix the Board's seal and attest such other documents as may be required for transaction of the Board's business. Section 4. Vacancies either by death, resignation or otherwise, in the office of Chairman shall be filled in the manner prescribed by law. Vacancies either by death, resignation or otherwise of the Vice Chairman or the Secretary shall be filled by majority vote at any meeting of the Board especially called for that purpose at which a quorum is present and voting. ARTICLE II Meetings Section 1. The Board shall meet monthly at such a place as may be designated by the Board. The Board shall also have the right to change the place, time, and/or date of its meetings as the Board may see fit. Additionally, the Board shall meet on election nights to ARTICLE III Employees Section1. The Board shall be authorized to appoint an Executive Director and to employ such other employees as provided by law. Section 2. Appointment of the Executive Director shall require the affirmative vote of not less than four (4) members of the Board at a meeting of the Board especially called for that purpose. Section 3. Employment of such other full-time employees shall be made by a majority vote of the Board at any meeting of the Board at which a quorum is present and voting. Section 4. The Executive Director may be dismissed from employment at any time by vote of any four (4) members of the Board at a meeting especially called for such purpose. Vacancies in the office of Executive Director, whether by death, resignation or otherwise, shall be filled as provided in Section 2, above. Section 5. Any employee of the Board other than the Executive Director may be dismissed from such employment at any time by recommendation of the Executive Director with approval by majority vote of the Board, or by majority vote of the Board. The Board hereby reaffirms Georgia's at -will employment standard and expressly disclaims any intent, expressed or implied, to create an entitlement to continued employment of employees. Section 6. Vacancies among employees other than the Executive Director, whether by death, resignation or otherwise, shall be filled by recommendation of the Executive Director and approved by a majority vote of the Board at any meeting of the Board at which a quorum is present and voting. ARTICLE IV Records Section 1. The Board shall keep correct and complete books and records of account and shall also store the Minutes of all meetings of its members at the principal office of the Board or at such other location as may be designated by the Board. ARTICLE V Investigations Section 1. By majority vote, the Board may conduct investigations of irregularities in voting practices and suspected violations of the election laws. These Bylaws shall supersede and replace the By-Laws of the Board of Elections dated August 27,1973 in their entirety.
