S. Census Department Randy, Attached are three (3) copies of the Lease Agreement for parking spaces at the Municipal Parking Lot at the corner of 9th and Greene Streets for execution by the Mayor. Sherman and Hemstreet based the terms of this agreement on the lease between Augusta and the lessor for the Probation office, but a review by Mr. Wall would be appropriate. The Commission approved this arrangement on Tuesday September 7th. Should you need any additional information or have further concerns, please contact me. Sibley, Jr. (Sibley). For and in consideration of the mutual promises and covenants hereinafter set forth, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto agree as follows: 1. LEASE OF SPACE. The City hereby leases to Sibley, three (3) parking spaces located at the Northeast Corner of the Municipal Parking Garage, Ellis Street, Augusta, Georgia (the "Spaces"), Said Spaces shall be available exclusively to Sibley, The City agrees to maintain the lighting within the Municipal Parking Garage and in any event will replace or repair any nonfunctional light promptly after notice from Sibley. City agrees to provide routine cleaning service at the Municipal Parking Garage, which is reasonably customary for parking garages, Sibley will provide signs "Reserved- Census Bureau". 2, PAYMENT TO CITY. In consideration of the lease of parking spaces as set forth in Section 1 above, Sibley hereby agrees to pay to City the sum of ($45,00) Forty-five Noll 00 Dollars per month, for the term of this agreement. Said payments shall be due on or before the first day of each month of the term of this Agreement. Rental for any partial month shall be prorated, The sum of ($585.00)Five Hundred Eighty -Five and Noll 00 Dollars is being pre-paid upon execution of this Agreement. 3. TERM AND TERMINATION. This agreement shall be effective as of the 1st day of September, 1999, or the move-in date by the Census Bureau under a Rental Agreement dated May 6, 1999, between Sibley and the U.S, General Services Administration, whichever date is later, and continue for a period of thirteen (13) months, ending the 30th day of September, 2000, with the option to lease for two (2) additional months, 4, NOTICES. For the purpose of this agreement, notices shall be deemed given by certified mail, return receipt requested, sent to: FOR SIBLEY: George R. Sibley, Ir, C/o Margaret Sibley Dale 2808 Hillcrest Ave. Augusta, GA 30909 , FOR CITY: Charles R. Oliver C/o Augusta-Richmond County Commission 8th Floor, ICity-County Bldg, (II) 530 Greene Street J'fl./IV Augusta, Georgia 30911 ~ ~;''''~-'''''' '.,. '.~ -,.: i -' i' (6) NO ASSIGNMENT. Tlus agreement may not be assigned by Sibley without the prior written consent to the City, (7) RELEASE AND INDEMNIFICATION. Sibley hereby release the City from any and all liability to Sibley arising out of or in connection with Sibley lease of the Spaces. Sibley agrees to indemnify and hold harmless the City from any claim, demand, cause of action, suit and/or liability arising our of any injury to the person or property of a Sibley employee or contractor while present with the Municipal Parking Garage during the effective hours of this Agreement. ' Sibley agrees to indemnify and hold harmless the City from any claim, demand, cause of action, suit an/or liability arising out of any injury to a person or property to the extent caused by any act or omission of a Sibley employee, contractor or representative while present or within the Municipal Parking Garage during the effective hours of this Agreement. For purposes of this Section "City" includes its officers, elected officials, agents, employees and representatives. These indemnification obligations do not run to casualty or fire damage to the Municipal parking Garage, (8) MISCELLANEOUS. Time is of the essence of this agreement. This agreement shall be governed by and construed pursuant to the laws of the State of Georgia. This agreement is binding on the successors and assigns of the parties hereto. Sibley shall be allowed to post notices regarding Sibley's lease of the Spaces as set forth herein. (9) VENUE. All claims, disputes and other matters in question between the Sibley and the City arising out of or relating to the agreement, or the breach thereof, shall be decided in the Superior Court of Richmond County, Georgia. Sibley, by executing this agreement, specifically consents to venue in Richmond County and waives any right to contest the venue in the Superior Court of Richmond County, Georgia.
