WITNESSETH, that for the term and upon the conditions and for the consideration hereinafter set out, the Lessor does hereby grant to the Lessee the following described rights and privileges on the Bush Field Airport I The exclusive ri9ht to operate a t.axi and limousine service from the Bush Field Airport. to points in R~ehroond County and othe~ surrounding areas, together with parking space for taxi ~na limousine vehicles as hereinafter provided for together with office space as designatad by ~.ssor. It being understood that these rights and privileges in no way excludes the unload,ing of passengers by other grounO transportation companies or the ioa~in9 of passengers when other ground trBnsportatio~ companies are specifically request.ed by a passenger or passengers. (3) Lessee aqreea that eomplete books and records of Lessee's operations reflectinq every phase of activity in connection with this lease sball ~e maintained by Lessee. Said books and records shall be subje~t to audit and ln9pectlon by Lessor at anr time during ths normal working day. It is e~pre591y understood that the number of vehicles shall not be decreased without prior written approval of the Leasor and further the number of vehicles shall be 1ncre8Be4 in the amount specified apon thirty (30) days written notice by the Lesser. Regardlese of the number of vehicles ae.i9ne~ for ~irport service, Lessee aqreeg that there ahall be no less than two (2) taxi vehicles available at the Airport twenty-foar (24) hour. daily. The limousine vehicles shall be available at desiqnated times to serVe arriving airline flight!. All schedules shall be approved by the Lessor. (5) The vehicles assigned to Airport service shall at all times be subject to approval by Les~o~ as to ago, meehanical oondition, model, and paint scheme. Drivers and other employees of Lessee at the Airport shall be aUbjece to the approval of Lessor. (6) It is understood that all rates and charges for taxi se~ice at the Airport shall be post~d in each vehicle a9 specified by Lessor. Said rates and char~e$ shall be approved in writing by Lessor and no changes shall be made without prior written approval. Limousine rates and charges ahall be as specified by the Georgia Public Service Commission and any request, for changes Made to said Commission shall ,first be approved by Lessor in writing, it being expressly understodd that any rent paid to Lessor by Lessee ~hA1l not be added to the limou~ine fare as an additional fee or charqe. (7) The parkinq of all taxi and limousine vehicles shall be only at locations On the Airport a~ designated from time to time by Lessor. (9) It is further agreed that Lessor will furnish a Manager of said Airport, who shall be at all times in full and complete charge of said Airport in its entirety and his direotiong as to, policy shall be final and eonclusive upon said Lessee. (10) Lessee further agrees to fully indemnify and to save harmless the Lessor f~om ~nd aqainst all claims and 8ctiops based upon or arising out of damagB and injuries to persons or property caused or contributed to by the fault or negliqence of said Lessee, its aqents Or employees, or arising out of t~e conduct of LesseelG business in accordance with City of ~uqusta Ordinance No. 3833, Section 5 governin9 vehicles for hire. Upon request of Lessor, Lessee aqrees to assume, without expense to Lessor, the defense of any such claims o~ actions and Lessee agrees to carry and keep in force public liability insurance covering perGonal injury and property dmmaqes and such other insurance as may be necessary and to furniah Leesor with proper evidence that such insurance is in force. (11) Lessee shall not a~Gi9n this lease or any part thereof, or become inactive in the operation without the prior written consent of Lessor. (14) It is understood that in the event of default by the Lessee during the term of th1a contract, that the Lessor shall have the ri9ht forthwith to 9tve notice thereof to Lessee, sam~ to be in writing, and if such condition or d.fault is not removed and restored within five (5) days after ~he receipt of auch notice, then ~e9S0r shall have the op~ion of deelarinq thig cont~act in default and proceed to enforce their rights in accordance with law. January 27. 1997 Mr. Dav-id Fields City Cab Company 1503 Aviation Way Augusta, Georgia 30906-9600 Subject: Meeting of January 23, 1997 (COfl1' Dear David: Thank you for meeting with us on Thursday, January 23. Below are issues and concerns addressed at the meeting. Attendees were David Fields. Major William Farkas, Michael Norton, Cindy Schoellman and Al McDill. Concerns: o It was agreed first contact with City Cab when problems occur is with Dispatcher, Archie Burckhalter. o David Fields will address complaints in writing and will copy Bush Field on all correspondence. a Agreed controlling access problem to City cab break room to be addressed by qiving Bush Field Police a key to do inspections at will. a Agreed improvement of office facilities needed. Office to be cleaned up. Smoke detectors and carpet replacement to be handled by Bush Field's faciiities department. o As concerns the aqe and maintenance of taxis, better maintenance of vehicles was discussed. Vehicles will be . repainted. lettered and transitioned to Radio Cab within sixty (60) days. Agreed all vehicles to be no older than 7- 8 mOdel years in age. The next twelve (12) new cabs purchased will come to Bush Field Airport. o Transportation rates to be posted on sides of cabs. '. Mr. David Fields January 27, 1997 Page Two o Appearance of drivers. A dress code needs to be established. The Airport Director will provide the general language of dress code to the City cab manager. o Drivers are not to throw cigarette butts onto airport grounds. Cigarette trash containers have been placed on each meter along curb and are to be used. A directive/memo will be sent by David Pields to all employees addressing this situation. Airport will replace shrubs removed due to associated clean-up problems. o In reference to queuing of taxis for customer piCk-up, it was agreed City Cab should queue 2-) cabs forward and others to be parked along the curb side in a hOlding area near the north side of the south wing of the hotel. Parking spaces for taxi queuing will be redefined to put cabs on the west side of the curb in front of the Tenninal Building to alleviate peak hour loading/unloading congestion at curbside. Oil leaks on cabs to be fixed within seven (7) days. o Research to be done by Michael Norton on a starter qate in front of the ~erminal Building.
