PREMISES LEASED AND TERM. Lessor does hereby rent and lease to the Lessee that property located at 3645 London Boulevard, Augusta, Richmond County, Georgia ("premises"), for a term commencing on the \ S~ day of --s- C\\\ 4Clj-' 193:L. 2. RENTAL. On or before ~~"Q~ \ , 19~, Lessee shall pay Lessor the sum or $10.00 representing the above advance payment of all rent due under this agreement for the first lease term. 3. USE OF PREMISES. The Premises shall be used as the Weed and Seed proj ect Operations. Office and for no other purpose. The Premises shall not be used for any illegal purposes, nor in violation of any valid regulation of any governmental body. 4. LIABILITY FOR DAMAGES. Lessee hereby releases Lessor from liability for any and all damages to personal property suffered upon the premises and Lessee shall be solely liable for all damages of any kind sustained by Lessee, its agents, servants, employees, invi tees and licensees arising on the leased premises or as a result of the Lessee's use thereof. 5. REPAIRS AND MAINTENANCE. Lessor warrants that the Premises will be habitable for the use as specified herein at the time of initial occupancy by Lessee. Lessee shall accept the Premises, if habitable, and shall be fully responsibl~ for all repairs to and maintenance of the Premises. Without limiting Lessee's obligation to make all necessary repairs to the Premises, Lessor shall make all structural repairs necessary for safety and habitability; shall keep in good order the roof, exterior walls, abutting sidewalks, heating, water, sewer, electrical and sprinkler systems, and fixtures pertaining to such systems caused by freezing; shall repair partitions, all glass, electric and public fixtures. The Lessor will be responsible for all machinery in the Premises and shall maintain all landscaping on the' Premises including grass cutting and litter control. No damage will be considered covered by the Lessor if neglect is found to be the cause of such damage. Page 1 of 4 7" \' 6. EFFECT OF TERMINATION OF LEASE. No termination of this lease prior to the normal ending thereof by lapse of time or by prior notice as provided above shall affect Lessor's right to collect rent. 7. ASSIGNMENT OR SUBLETTING. Lessee may not assign this lease or any interest thereunder or sublet the Premises or any part thereof, or permit the use of the Premises by any other entity. 8. DESTRUCTION OF OR DAMAGE TO PREMISES. If the Premises are totally destroyed (or so substantially damaged as to be untenantable) by storm, fire, earthquake, or other casualty, this lease shall terminate as of the date of such destruction or damage, and rental shall be accounted for as between Lessor and Lessee as of that date. If the Premises are damaged but not rendered wholly untenantable by any such casualty rental shall abate in proportion as the Premises have been damaged and Lessor shall restore as speedily as practicable, whereupon full rent shall recommence. 9. REMOVAL OF FIXTURES. Lessee may, prior to the expiration of this lease or any renewal thereof, remove all portable fixtures and equipment which Lessee has placed in the Premises provide Lessee restores the Premises to their condition at the installation thereof as improved under the provisions of paragraph 3 above. 10. UTILITY BILLS. Lessor will pay all bills for gas, electricity, fuel, light, heat, or power for the Premises. 11. INSURANCE. Lessee shall insure the contents of the Premises at its own expense. Lessee shall also maintain at its expense a general liability insurance policy insuring both Lessor and Lessee issued a company acceptable to Lessor providing protection against not less than an aggregate $1,000,000.00 in liability for bodily inj ury and property damage. Augusta Housing Authority as ?in additional insured. 12. RENEWAL. The term of this agreement shall be automatically -=en~we~1 ,for one (1) year periods runningfrom~~~Q~ I~~ to ~ upon the expiration of the initial term o~al term, as the case may be unless one party shall give to the other party at least sixty (60) days prior to the expiration of the initial term or any renewal term, written notice that the party giving such notice elects not to renew this agreement for an additional term. The term of this agreement may be renewed in this manner for up to but not exceeding tem (10) such one (1) year renewal periods. Page 2 of 4 l' " 13. ENTIRE AGREEMENT. This Lease contains the entire agreement of the parties and no representations, inducements, promises or agreements, oral or otherwise, between the parties not embodied herein shall be of any force or effect. No failure of Lessor to exercise any power given Lessor hereunder, or to insist upon strict compliance by Lessee of any obligation hereunder, and no custom or practice of the parties at variance with the terms hereof shall constitute a waiver of Lessor's right to demand exact compliance with the terms hereof. 14. EXTERIOR SIGNS. Lessee may not place or paint any signs upon the walls or roof of the Premises without the prior written consent of Lessor. 15. NO ESTATE IN LAND. This contract shall create the relationship of landlord and tenant between Lessor and Lessee and no estate shall pass out of Lessor and shall be deemed a usufruct. 16. RIGHTS CUMULATIVE. All rights, powers and privileges conferred hereunder upon parties hereto shall be cumulative but not restrictive to those given by law. 17. HOLDING OVER. If Lessee remains in possession after expiration of the term hereof, with Lessor's acquiescence and without any distinct agreement of parties, Lessee shall be a tenant at will and there shall be no renewal of this lease by operation of law. 18. SURRENDER OF PREMISES. At the termination of this lease, Lessee shall surrender Premises and keys thereof to Lessor in the same condition as at commencement of the term, natural wear and tear excepted. 19. NOTICES. All notices required under this lease shall be deemed given three days after the same shall be mailed certified, return receipt requested to the other party at the following addresses: To Lessee: Larry E. DUPLICATE ORIGINALS. This lease may be execut~d in duplicate, each of which will be deemed a duplicate original. 21. HEADINGS. The headings used in this lease agreement are for convenience of reference only and in no way shall be used to construe or modify the provisions set forth herein.
