under the laws of the State;
A. Incor oration of the Stand rd Terms and Provisions. The terms and provisions of the Master Equipment Lease-
Purchase Agreement dated as of 1'1. /(1 n.. by and between Lessor and Lessee (the "Agreement") are incorporated
herein by this reference as though fully set forth in this Schedule. This Schedule, together with the Agreement as incorporated herein
and the documents and other items referred to therein and herein, attached thereto or hereto or required thereby or hereby are
collectively referred to herein as the "Lease". Capitalized terms used in this Schedule and not otherwise defined shall have the
meanings ascribed thereto in the Agreement.
B. Lease of EauiDment. There is hereby subject to the terms of this Lease the following described Equipment:

C. Location. The Equipment will be located at Lessee's address provided above unless a location is provided herein:

D. Commencement Date and Lease Term. The term of this Lease shall commence on (the
"Commencement Date"). If a date is not provided for the Commencement Date, the Commencement Date shall be the date Lessor
disburses the Lease proceeds. The term of this Lease shall be for ~ months unless terminated earlier pursuant to the Agreement.
E. Lease Payments. Lease Payments shall be payable monthly until the end of the term of this Lease. Such Lease
Payments shall be comprised of principal components and interest components paid in accordance with the following schedule:

The Principal outstanding from time to time shall bear interest (computed on the basis of actual days elapsed in a 360-day
year) at the rate of % per annum.
F. Lease Payments to be Unconditional. EXCEPT AS PROVIDED IN PARAGRAPH 24 OF THE AGREEMENT, THE
OBLIGATION OF LESSEE TO MAKE LEASE PAYMENTS OR ANY OTHER PAYMENTS REQUIRED UNDER THIS LEASE SHALL
BE ABSOLUTE AND UNCONDITIONAL IN ALL EVENTS. LESSEE AGREES THAT LESSOR, NOT BEING THE VENDOR OR
SUPPLIER OF ANY OF THE EQUIPMENT, NOR A DEALER IN ANY OF SUCH EQUIPMENT, HAS NOT MADE AND DOES NOT
MAKE ANY WARRANTY, REPRESENTATION OR COVENANT, EXPRESS OR IMPLIED, AS TO THE EQUIPMENT.
G. Essential Nature of Eauipment. By execution of this Schedule, Lessee confirms that it has an immediate need for, and
expects to make immediate use of, substantially all the Equipment, which need is not temporary or expected to diminish in the
foreseeable future. The Equipment will be used by Lessee for the purpose of performing one or more of Lessee's governmental
functions consistent with the scope of Lessee's authority and not in any trade or business carried on by a person other than Lessee.
H. Prepayment and EarlY Purchase Terms. On any Lease Payment Date, Lessee may exercise an option to purchase the
Equipment for the applicable Purchase Option Price set forth above subject to Paragraph 26 of the Agreement.
I. Entire Aareement. This Lease, together with exhibits, constitutes the entire agreement between Lessee and Lessor and
supersedes all prior and contemporaneous writings, understandings, agreements, solicitations, documents and representations,
express or implied. Any terms and conditions of any purchase order or other documents submitted by Lessee in connection with this
Lease which are in addition to or inconsistent with the terms and conditions of this Lease will not be binding on Lessor and will not apply
to this Lease.
J. Counterparts. This Schedule may be executed in several counterparts, each of which when executed shall be deemed to
be an original, but all together shall constitute but one and the same agreement, provided that only the original marked "Original: 1 of 3"
on the execution page shall constitute chattel paper for the purposes of perfecting the assignment of or security interest in this
Schedule.
K. Other Documents. In connection with the execution of this Schedule, Lessee shall cause to be delivered to Lessor (i) an
Acceptance Certificate substantially in the form attached hereto as Attachment A; (ii) a certified copy of Lessee's Authorizing Resolution
substantially in the form attached hereto as Attachment B, (Iii) a Certificate of Insurance substantially in the form attached hereto as
Attachment C, (iv) an opinion of Lessee's counsel substantially in the form attached hereto as Attachment D, (v) a form 8038 G or 8038 GC
as required under the Code, and (vi) any other documents or items required by Lessor.
IN WITNESS WHEREOF, Lessor has executed this Schedule in its corporate name and attested by its duly
authorized officers and Lessee has caused this Schedule to be executed in its name by its duly authorized officers. All of the above
occurred as of the date first written above.

ATTACHMENT A
ACCEPTANCE CERTIFICATE
This Acceptance Certificate is executed and delivered by Auausta. Georaia ("Lessee") in connection with the Master Equipment Lease-
Purchase Agreement dated as of and Master Equipment Lease-Purchase Schedule No. ~ thereto (the
"Schedule"), dated as of (together. the "Lease"), each between Lessee and The CIT
Group/Equipment Financing, Inc. ("Lessor").
Lessee hereby certifies that:
1. Capitalized terms used herein and not defined shall have the meanings assigned to them in the Lease.
2. The Equipment described in the Lease has been delivered to it, and has been inspected by it, and is in good working order
and condition and is of the size, design, capacity and manufacture selected by it and meets the provisions of the purchase orders with
respect thereto. Lessee hereby confirms it irrevocably accepts said items of Equipment "as-is, where-is" for all purposes of the Lease as
of the Acceptance Date set forth below.
3. Except as provided in Paragraph 24 of the Agreement, its obligation to make the Payments to Lessor in the amounts
required by the Lease is absolute and unconditional. Lessee further expressly agrees that it will make all such Payments to Lessor
regardless of, and will not assert against Lessor, any defense, claim, setoff, or counterclaim or other right, existing or future, which
Lessee may have against the Lessor or any other person or entity for any reason.

5. In the event Equipment under the Lease has been delivered in increments and Lessee and Lessor have not implemented
an escrow funding with respect to the Lease, with the execution of this Acceptance Certificate Lessee confirms that all the Equipment
described in the Schedule has been accepted by Lessee.

ATTACHMENT B
LESSEE'S AUTHORIZING RESOLUTION
Whereas, Auausta. GeorQia (the "Governmental Entity"), a body politic and corporate duly organized and existing as a political
subdivision, municipal corporation or similar public entity of the State of Georgia (the "State"), is authorized by the laws of the State to
purchase, acquire and lease personal property for the benefit of the Governmental Entity and its inhabitants and to enter into contracts
with respect thereto; and
Whereas, the Governmental Entity desires to purchase, acquire and lease certain equipment constituting personal property necessary
for the Governmental Entity to perform essential governmental functions; and
Whereas, in order to acquire such equipment, the Governmental Entity proposes to enter into various lease transactions pursuant to
that certain Master Equipment Lease/Purchase Agreement (the "Agreement") with The CIT Group/Equipment Financing, Inc. (the
"Lessor"), the form of which has been presented to the governing body of the Governmental Entity at this meeting; and
Whereas, the governing body of the Govemmental Entity deems it for the benefit of the Governmental Entity and for the efficient and
effective administration thereof to enter into the Agreement for the purchase, acquisition and leasing of the equipment therein described
on the terms and conditions therein provided;
Now, Therefore, Be It And It Is Hereby Resolved:
Section 1. Aooroval of Documents. The form, terms and provisions of the Agreement and all schedules and exhibits attached
thereto are hereby approved in substantially the form presented at this meeting, with such insertions, omissions and changes as shall
be approved by counsel of the Governmental Entity or other members of the governing body of the Governmental Entity executing the
same, the execution of such documents being conclusive evidence of such approval; and the persons holding the titles listed below or
any other officer of the Governmental Entity who shall have the power to execute contracts on its behalf are hereby authorized and
directed to execute, acknowledge, countersign and deliver the Agreement and all exhibits attached thereto, and the Secretary/Clerk of
the Governmental Entity is hereby authorized to attest to the foregoing and affix the seal of the Governmental Entity to such documents.
Section 2. Other Actions Authorized. The officers and employees of the Governmental Entity shall take all action necessary or
reasonably required by the parties to the Agreement to carry out, give effect to and consummate the transactions contemplated thereby
and to take all action necessary in conformity therewith, including, without limitation, the execution and delivery of any closing and other
documents required to be delivered in connection with the Agreement.
Section 3. No Generalliabilitv. Nothing contained in this Resolution, the Agreement nor any other instrument shall be
construed with respect to the Governmental Entity as incurring a pecuniary liability or charge upon the general credit of the
Governmental Entity or against its taxing power, nor shall the breach of any agreement contained in this Resolution: the Agreement or
any other instrument or document executed in connection therewith impose any pecuniary liability upon the Governmental Entity or any
charge upon its general credit or against its taxing power, except to the extent that the Rental Payments payable under the Agreement
are special limited obligations of the Governmental Entity as provided in the Agreement.
