Attached are two "draws" for the GMA Lease Program. Fleet Management had submitted
a "draw" for $318,319.60 that had been duplicated in year 2000. Draw 31 was submitted as
per Matt Williams instructions to correct the duplications.
Upon being reviewed by the Attorney representing the GMA Lease program he advised
that the one "draw" should be divided and processed as two draws.
The enclosed administration is to correct "draw" 31 that was previously processed.
Slupporting invoices and purchase requests have been held by Matt Williams, GMA
program administrator, and will be divided between the two "draws".
Please sign both sets of administration so we may have final resolution on the duplicate
"draws" (leases).

"Assignor'), a municipal corporation or political subdivision created and existing under the laws
of the State of Georgia, hereby GRANTS, BARGAINS, SELLS, ASSIGNS, DELNERS,
TRANSFERS, AND SETS OVER unto Georgia Municipal Association, Inc" a nonprofit
corporation duly organized, validly existing, and in good standing under and by virtue of the laws
of the State of Georgia, and its successors and assigns, all of its right, title, and interest in and to
the following items:
(A) all of the equipment which is described in Exhibit A, Schedule B-101-27 hereto; and
(B) all guaranties, warranties, and agreements given with respect to such equipment;

LEASE SCHEDULES
Lease Schedule D-IOl-27
This Lease Schedule to that certain 1998A Master Lease and Option Agreement (the
"Lease"), dated as of June 1, 1998, by and between Georgia Municipal Association, Inc.
("Lessor") and the undersigned Lessee ("Lessee"), is made by and between the undersigned and
shall be effective as of the date set forth below. The terms and conditions of the Lease are hereby
incorporated in this Lease Schedule by reference, Unless otherwise indicated, all capitalized
terms, when used herein, which are defined in the Lease, are intended to have the same meaning
as when used therein.
1, Lessee hereby authorizes Lessor to acquire the Equipment identified on Schedule
B-IOl-27 of Exhibit A.
2, In addition, Lessee hereby
a, agrees to lease such Equipment from Lessor effective on the date set forth below,
and
b. agrees to pay Lessor Equipment Deposits related to such Equipment (calculated
as the amount disbursed from the Equipment Fund in connection with such
Equipment divided by the hereinafter specified Equipment Deposit Period), in
the annual amount of $487,828.25 equipment Deposit Period of 3 years (which
may not exceed the maximum Equipment Deposit specified in Exhibit F to the
Lease for such type of Equipment without the approval of the Insurer and which
may not extend beyond the date of the last principal component of Rental
Payment), all as provided in the Lease.
3. Lessee hereby represents and warrants that all representations, warranties, and covenants
made by Lessee in the Lease are true and correct and in full force and effect on the date
hereof as if made on the date hereof.
4. Attached hereto for each item of the above-listed Equipment are:
(i) Evidence of title in Lessor or its assignee;
(ii) Equipment Purchase Approval, if necessary;
(iii) Appropriation Certificate;
(iv) Acceptance Certificate;
(v) U.c.c. Financing Statement; and
(vi) Evidence of Insurance in accordance with the Lease.
IN WITNESS WHEREOF, Lessor has executed this Lease Schedule in its corporate
name by its duly authorized officer, and Lessee has executed this Lease Schedule in its corporate
name with its official seal hereunto affixed and attested by its duly authorized officials, all as of

This Lease Schedule to that certain 1998A Master Lease and Option Agreement (the
"Lease"), dated as of June 1, 1998, by and between Georgia Municipal Association, Inc,
("Lessor") and the undersigned Lessee ("Lessee"), is made by and between the undersigned and
shall be effective as of the date set forth below. The terms and conditions of the Lease are hereby

may not exceed the maximum Equipment Deposit specified in Exhibit F to the
Lease for such type of Equipment without the approval of the Insurer and which
may not extend beyond the date of the last principal component of Rental
Payment), all as provided in the Lease,
3. Lessee hereby represents and warrants that all representations, warranties, and covenants
made by Lessee in the Lease are true and correct and in full force and effect on the date
hereof as if made on the date hereof.
